ACTA CONSTITUTIVA Y ESTATUTOS	BYLAWS
ASOCIACIÓN CIVIL WIKIMEDIA VENEZUELA Nosotros, XXXX XXXXXXX, mayores de edad, de este domicilio y titulares de las cédulas de identidad Nº XXXXXXXXX respectivamente, hemos venido a constituir como en efecto lo hacemos mediante este documento, el cual ha sido redactado con suficiente amplitud para que sirva a su vez de Acta Constitutiva y Estatutos Sociales, una Asociación Civil sin fines de lucro denominada “WIKIMEDIA VENEZUELA” con Personalidad Jurídica y Patrimonio Propio, la cual se regirá por las cláusulas que a continuación se expresan:	ASOCIACIÓN CIVIL WIKIMEDIA VENEZUELA We XXXX XXXXXXX, venezuelan citizens, adults, residents in Venezuela and holders of the ID cards Nº XXXXXXXXX respectively, have come to constitute as indeed we do with this document which has been drafted broadly enough to serve its time as both Constitutive Act and Bylwas, a non-profit Civil Association called "WIKIMEDIA VENEZUELA", with legal personality and estate, which is governed by the clauses stated below:
CAPÍTULO I DE LA DENOMINACIÓN, OBJETO, DOMICILIO Y DURACIÓN DE LA ASOCIACIÓN PRIMERA: La Asociación se denominará WIKIMEDIA VENEZUELA. SEGUNDA: El domicilio de la Asociación será el Distrito Metropolitano de la ciudad de Caracas, y su dirección es Calle……………….., Edificio y/o Quinta…………………………, Piso…………, Número………, Urbanización Colinas de Bello Momte, Municipio Baruta, y podrá establecer sucursales, agencias, corresponsalías o representaciones tanto en el interior de la República Bolivariana de Venezuela como en el extranjero. TERCERA: El objeto de la Asociación será: Promover directa o indirectamente la difusión, mejora y sustento de todas las iniciativas que apoyen el libre acceso, uso, estudio, modificación y redistribución de contenido. Contribuir activamente en la difusión, el mejoramiento y el progreso del saber y de la cultura, mediante el desarrollo y distribución de enciclopedias, colecciones de citas, libros educativos y otras compilaciones de documentos y/o con la difusión de información y de diversas bases de datos, especialmente en las lenguas habladas en territorio venezolano, que se encuentren disponibles a través de medios tecnológicos y en particular de Internet, siempre que utilicen un formato libre. Organizar encuentros, congresos, conferencias, talleres, cursos o cualquier otro tipo de actividad pública destinada a difundir sus iniciativas y proyectos. Establecer relaciones, colaboraciones y acuerdos con cualquier tipo de entidades públicas y privadas, nacionales e internacionales, para mejorar el conocimiento, aprovechamiento y uso de todas las iniciativas de la Asociación, desarrollar sistemas que las difundan y promocionen, o recibir recursos económicos, humanos o de contenidos. Informar de forma adecuada a través de cualquier medio de comunicación disponible, por iniciativa propia o cuando se le solicite, sobre su propio funcionamiento y sobre asuntos relacionados con las iniciativas. Realizar cualquier otra actividad que sea necesaria para la consecución de los fines de la Asociación. CUARTA: La Asociación tendrá una duración de cincuenta (50) años, contados a partir de la protocolización de su Acta Constitutiva-Estatutaria en la Oficina Subalterna de Registro o Registro Inmobiliario, aunque la Asamblea de Miembros anticipadamente podrá disolverla o prorrogar su duración.	CHAPTER I ON THE NAME, HEADQUARTERS AND DURATION OF THE ASSOCIATION First Clause: The Association shall be called "Wikimedia Venezuela." Second Clause: The address of the Association shall be XXXX street, Municipality of Baruta, Metropolitan District of Caracas; and the Association may establish branches, agencies, bureaus or representations within the Bolivarian Republic of Venezuela and abroad. Third Clause: The purpose of the Association shall be: directly or indirectly promote the dissemination, improvement and support of all initiatives supporting the free access, use, study, modification and redistribution of content; actively contribute to the dissemination, improvement and advancement of knowledge and culture through the development and distribution of encyclopedias, collections of quotations, educational books and other collections of documents and/or the dissemination of information and diverse databases, especially those in the languages ​​spoken in Venezuela, which are available through technological means and in particular the Internet, provided they use a free format; organize meetings, congresses, conferences, workshops, courses or any other public activity aimed at spreading its initiatives and projects; build relationships, partnerships and agreements with any type of public and private, national and international organization, to enhance the development of knowledge and use of all the initiatives of the Association, to develop and promote its spread, or receive resources, be them financial, human or content; report adequately through any media available on its own initiative or when requested, on the operation and on issues related to the initiatives; and perform any other activities necessary to achieve the aims of the Association. Fourth Clause: The Association shall have a term of fifty (50) years from the date of notarization of its constitution and bylaws, in the registry branch offices, although the Assembly of Members in advance may dissolve or extend its duration.
CAPÍTULO II DE LA ADMINISTRACIÓN QUINTA: La Junta Directiva de la Asociación estará integrada por cinco (5) Miembros, con los siguientes cargos: Un (1) Presidente, un (1) Vicepresidente, un (1) Secretario, un (1) Tesorero y un (1) Portavoz, los cuales serán elegidos en Asamblea Ordinaria de la Asociación, contando con el voto favorable de, al menos, las dos terceras (2/3) partes de los Miembros Plenos presentes. SEXTA: Los Miembros de la Junta Directiva durarán tres (3) años en sus funciones, debiendo permanecer en sus cargos hasta tanto sean relevados por otro Miembro elegido por la Asamblea en el tiempo establecido anteriormente, pero podrán ser ratificados en sus funciones o cesados en sus servicios si así fuese necesario. SÉPTIMA: La Junta Directiva se reunirá por lo menos una vez cada treinta (30) días o en las oportunidades que la propia Junta Directiva determine. Se reunirá extraordinariamente cuando lo solicite el Presidente y al menos dos (2) Miembros de la Junta Directiva. OCTAVA: La sesiones de la Junta Directiva se considerarán válidas cuando a ella asistan la mitad más uno de sus Miembros, entre los cuales deberán estar el Presidente o quien haga sus veces. Las decisiones se tomarán por mayoría de votos. NOVENA: La Junta Directiva ejercerá la Dirección y la Administración de la Asociación y tendrá los deberes y atribuciones siguientes: a.-) Elaborar las actividades, planes y programas de la Asociación. b.-) Elaborar los proyectos de modificación de los Estatutos. c.-) Elaborar el presupuesto de ingresos y gastos y someterlo a consideración de la Asamblea. d.-) Resolver sobre la incorporación de nuevos Miembros. DÉCIMA: El Presidente es el representante de la Asociación en todos los aspectos judiciales y extrajudiciales, y el encargado de la ejecución de las decisiones de la Junta Directiva. En particular, el Presidente tendrá las siguientes deberes y atribuciones: a.-) Representar a la Asociación en todos los aspectos judiciales y extrajudiciales, cuando no exista otra persona con mandato judicial para estos fines. b.-) Dirigir las reuniones de la Junta Directiva. c.-) Autorizar con su firma la convocatoria de las Asambleas. d.-) Presidir las Asambleas de la Asociación. e.-) Proponer a la Junta Directiva el presupuesto de gastos del ejercicio económico. f.-) Cuidar de que todas las actividades de la Asociación se desarrollen en cumplimiento de todas las disposiciones legales que regulen la materia y de estos Estatutos. g.-) Autorizar con su firma el Balance Anual, el Informe Financiero y las Publicaciones de la Asociación. h.-) Hacer preparar los documentos que designe a los apoderados judiciales, haciendo señalamiento expreso de sus facultades, previa autorización y aprobación de la Junta Directiva. i.-) Suscribir conjuntamente con el Tesorero los documentos que movilicen las erogaciones de patrimonio de la Asociación, así como también cualquier otro documento que implique compromisos para ésta. j.-) Recibir conjuntamente con el Tesorero de la Asociación todos aquellos aportes que por cualquier título o causa ingresen a ésta. k.-) Suscribir los convenios y contratos que se realicen con los diferentes organismos públicos y privados. l.-) Abrir las cuentas bancarias de la Asociación conjuntamente con el Tesorero. DÉCIMA PRIMERA: Son deberes y atribuciones del Vicepresidente: a.-) Suplir las faltas temporales del Presidente, con las mismas atribuciones que éste. b.-) Asistir a las reuniones de la Junta Directiva y las Asambleas. c.-) Firmar, junto con el Presidente, las convocatorias para las Asambleas. d.-) Estar enterado de todas las gestiones de la Asociación, informando en su momento a la Junta Directiva. e.-) Impulsar y supervisar las actividades sociales y culturales que tengan que ver con los fines de la Asociación. f.-) Desempeñar las encomiendas que, en función de su cargo, le encargue el Presidente. DÉCIMA SEGUNDA: Son deberes y atribuciones del Tesorero: a.-) Asistir a las reuniones de la Junta Directiva y las Asambleas. b.-) Controlar los fondos e intereses de la Asociación, manteniéndoles en depósito a nombre de la misma en los Institutos Bancarios que indique la Junta Directiva. c.-) Firmar, conjuntamente con el Presidente, las órdenes de pago para movilizar fondos de la Asociación. d.-) Controlar, custodiar y mantener los Libros de Contabilidad y velar que los mismos sean llevados al día. e.-) Presentar a la Junta Directiva anualmente, con sesenta (60) días de anticipación a la reunión de la Asamblea Ordinaria, un Informe detallado del movimiento de la Tesorería, así como los balances y cortes de cuentas de fin de ejercicio. f.-) Verificar, conjuntamente con el Vicepresidente, el inventario anual de los bienes de la Asociación, antes de presentarlo a la Junta Directiva. g.-) Dar apertura a las cuentas bancarias, conjuntamente con el Presidente. DÉCIMA TERCERA: Son deberes y atribuciones del Secretario: a.-) Asistir a las reuniones de la Junta Directiva. b.-) Asentar en libros separados las actas de las reuniones de la Junta Directiva y de las Asambleas, las cuales firmará junto con el Presidente o quien haga sus veces. c.-) Redactar la correspondencia que emane la Asociación, la cual deberá ser firmada por el Presidente o cualquiera de los Miembros de la Junta Directiva en quien se delegue la función. d.-) Llevar un libro foliado donde se inscriban, por separado, los distintos Miembros de la Asociación, con indicación de: fecha de admisión, dirección y teléfono. e.-) Realizar todas las actividades relacionadas con el cargo que le sean asignadas. DÉCIMA CUARTA: Son atribuciones del Portavoz: a.-) Asistir a las reuniones de la Junta Directiva. b.-) Sustituir las faltas temporales y/o absolutas de algún Miembro de la Junta Directiva, menos del Presidente. c.-) Desempeñar las funciones que en atención a su cargo le sean encomendadas por la Junta Directiva o el Presidente.	CHAPTER II ON THE ADMINISTRATION Fifth Clause: The Board of Directors of the Association shall consist of five (5) members, comprised of the following: One (1) President, one (1) Vice-President, one (1) Secretary, one (1) Treasurer and one (1 ) Spokersperson, who shall be elected at a Regular Meeting of the Association, with the affirmative vote of at least two-thirds (2/3) of the Full Members attending that meeting. Sixth Clause: The Board members will take three (3) years in office, shall remain in office until they are relieved in the exercise of their duties by another member elected by the Assembly at the time described above, but may be ratified in their duties or dismissed from their services if necessary. Seventh Clause: The Board shall meet at least once every thirty (30) days or the opportunities that the Board itself determine. Will convene special meetings when requested by the President and at least two (2) other Members of the Board. Eighth Clause: The Board meetings are considered valid when it was attended by half plus one of its members, among whom shall be the President or his/her substitute. Decisions are taken by majority vote. Ninth Clause: The Board shall exercise the management and administration of the Association and shall have the following duties and powers: a. -) Develop activities, plans and programs of the Association. b. -) Prepare the draft amendment of the Statutes. c. -) Prepare the Budget and present it to the Assembly for its consideration. d. -) Rule on the incorporation of new members. Tenth Clause: The President is the representative of the Association in all aspects of judicial and extrajudicial, and responsible for implementing the decisions of the Board. In particular, the President shall have the following powers: a. -) Represent the Association in all judicial and extrajudicial aspects, where there is no person with a warrant for these purposes. b. -) Conducting meetings of the Board. c. -) to authenticate with his signature call of the Assemblies. d. -) preside over the Assembly of the Association. e. -) propose the budget to the Board for the fiscal year. f. -) Ensure that all activities of the Association are carried out in compliance with all laws governing the matter and these Bylaws. g. -) authorize and sign the Annual Balance, the Financial Report and all Publications of the Association. h. -) To prepare documents which designates the legal representatives, making explicit signaling of their powers, subject to authorization and approval of the Board. i. -) together with the Treasurer, subscribe documents, mobilize equity disbursements of the Association, as well as any other document that containts financial commitments for the Association. j. -) Together with the Treasurer of the Association, receive, register and sign all those contributions submitted by any cause of reason to the Association. k. -) Enter into contracts and agreements made with different public and private agencies. l. -) Open the accounts of the Association, together with the Treasurer. Eleventh Clause: The duties of the Vice-President are: a. -) To replace the temporary absence of the President, with the same powers convened. b. -) Attend meetings of the Board and the Assemblies. c. -) sign, together with the President, calls for the Assemblies. d. -) Be aware of all the efforts of the Association, reporting in time to the Board. e. -) Promote and monitor the social and cultural activities related to the purposes of the Association. f. -) Perform duties, according to his/her role, commissioned by the President. Twelveth Clause: The duties and powers of the Treasurer are: a. -) Attend meetings of the Board and the Assemblies. b. -) Control the funds and interests of the Association, held in trust on behalf of the it in the Banking Institution indicated by the Board. c. -) sign with the President of the payment orders to mobilize the funds of the Association. d. -) control, custody and maintenance of accounting books and ensure that they are kept up to date. e. -) Submit to the Board annually, with sixty (60) days prior to the ordinary Assembly Meeting, a detailed report of movement of the Treasury, as well as audited year-end account balances. f. -) Verify, along with the Vice-President, the annual inventory of the assets of the Association, prior to its submission to the Board. g. -) To open bank accounts with the President. Thirteenth Clause: The duties of the Secretary are: a. -) Attend meetings of the Board. b. -) The entry of separate records of each of the meetings of the Board and the Assembly, which will be sign together with the President or his/her substitute. c. -) Draft all correspondence emanating from the Association, which shall be signed by the President or any Member of the Board of Directors who are delegated the function. d. -) Keep a numbered register book which shall contain, separately, information of the members of the Association, stating: admission date, address and telephone. e. -) Perform all activities related to the position as assigned. Fourteenth Clause: The duties of the Sppokesperson are: a. -) Attend meetings of the Board. b. -) Replace temporary and/or absolute failures of a Member of the Board, except the President. c. -) perform the functions related to his/her role assigned by the Board or the President.
CAPÍTULO III DE LOS MIEMBROS DE LA ASOCIACIÓN DÉCIMA QUINTA: La Asamblea de Miembros estará conformada por tres (3) tipos de asociados, que se denominarán: 1) Miembros Plenos; 2) Miembros Honorarios; y 3) Miembros Estudiantes. DÉCIMA SEXTA: Son Miembros Plenos: Todas aquellas personas que, al momento de su solicitud de ingreso en la Asociación, tengan la mayoría de edad y sean aceptadas por la Junta Directiva. Tendrán derecho a voz y voto en las decisiones de las Asambleas de Miembros. DÉCIMA SÉPTIMA: Son Miembros Honorarios: Todas aquellas personas que, por su trayectoria en defensa y promoción de la cultura y el conocimiento libre, fueran propuestas a la Junta Directiva por solicitud de al menos dos Miembros Plenos. Tendrán derecho a voz pero no a voto en las decisiones de las Asambleas de Miembros. DÉCIMA OCTAVA: Son Miembros Estudiantes: Todas aquellas personas menores de edad que se muestren interesadas en contribuir a la expansión y promoción del conocimiento libre y fueran aceptadas por la Junta Directiva. Pasarán a ser Miembros Plenos, con todas sus atribuciones y derechos, al cumplir la mayoría de edad. DÉCIMA NOVENA: Son derechos y obligaciones de los Asociados: a.-) Asistir a las Asambleas Ordinarias y Extraordinarias que sean convocadas por la Junta Directiva de la Asociación. b.-) Elegir y ser elegidos para la Junta Directiva de la Asociación, únicamente los Miembros Plenos. c.-) Participar y colaborar en las actividades programadas por la Junta Directiva de la Asociación. d.-) Cancelar con puntualidad las cuotas ordinarias y extraordinarias que fije la Asamblea a los Asociados.	CHAPTER III ON THE MEMBERS OF THE ASSOCIATION Fifteenth Clause: The Assembly of Members shall consist of three (3) types of members, namely: 1) Full Members; 2) Honorary Members, and 3) Student Members. Sixteenth Clause: Full Members are: All persons who, at the time of application for membership in the Association, have come of age as indicated by the Venezuelan Constitution and are accepted by the Board. Entitled to a say in the decisions of the Assembly of Members. Seventeenth Clause: Honorary Members are: All persons who, for his/her career in defense and promotion of science, culture and free knowledge, are proposed to the Board at the request of at least two Full Members. Will have voice but no vote in decisions of the Assembly of Members. Eighteenth Clause: Student Members are: All those minors who are interested in contributing to the expansion and promotion of free knowledge and are accepted by the Board. They will become full members with all its powers and duties, on reaching adulthood, as defined by the Venezuelan Constitution Nineteenth Clause: The rights and obligations of the Members are: a. -) To attend Ordinary and Extraordinary Meetings convened by the Board of Directors of the Association. b. -) To elect and be elected to the Board of Directors of the Association, only the Full Members. c. -) Participate and collaborate in the activities planned by the Board of Directors of the Association. d. -) Cancel on a timely manner the fees (ordinary and extraordinary) fixed by the Assembly to the Members.
CAPÍTULO IV DEL PATRIMONIO VIGÉSIMA: El Patrimonio de la Asociación estará constituido por los aportes de cada uno de los Miembros, los ingresos que se obtengan por las actividades realizadas, las donaciones o aportes realizados por sus Miembros y por otras personas naturales o de entes públicos o privados, y los bienes que fuesen el resultado de la conversión o inversión de dichos aportes. Todo esto debe quedar asentado en el Libro de Contabilidad, y el efectivo será depositado en una cuenta bancaria a nombre de la Asociación. VIGÉSIMA PRIMERA: La Junta Directiva nombrará a la(s) persona(s) que llevará(n) los estados contables de la Asociación, los cuales serán puestos al conocimiento de cualquier Asociado que lo solicite, y de igual forma deberán ser publicados periódicamente para el conocimiento de los Asociados.	CHAPTER IV ON THE ESTATE Twentieth Clause: The Estate of the Association shall consist of contributions from the Members, the income derived from activities, donations or contributions made ​​by its members and other individuals or entities, and property and/or goods resulting from the conversion or investment of those contributions. All this must be recorded in the Book of Acts, and the cash will be deposited in a bank account on behalf of the Association. Twenty-first Clause: The Board shall appoint to the of person (or persons) that will be in charge of the financial statements of the Association, which will can be accessed by any Member who requests them, and likewise these statements should be published regularly for the knowledge of the Members.
CAPÍTULO V DE LA ASAMBLEA DE MIEMBROS VIGÉSIMA SEGUNDA: La suprema autoridad y dirección de la Asociación será la Asamblea legalmente constituida, sea esta Ordinaria o Extraordinaria. Sus decisiones se aprobarán cuando cuenten con el voto favorable de al menos las dos terceras (2/3) partes de los Miembros Plenos que asistan a la Asamblea, y serán de obligatorio cumplimiento. VIGÉSIMA TERCERA: La Asamblea se reunirá de forma Ordinaria por lo menos una (1) vez al año, en la fecha que lo determine la Junta Directiva, y de forma Extraordinaria cuando a juicio de la Junta Directiva sea necesario o cuando al menos dos terceras (2/3) partes de los Miembros Plenos lo soliciten a la Junta Directiva. VIGÉSIMA CUARTA: La modificación de los Estatutos sólo podrá hacerse en Asamblea Extraordinaria especialmente convocada para ello y con el voto favorable de las dos terceras (2/3) partes de los Miembros de la Asociación. VIGÉSIMA QUINTA: La convocatoria de la Asamblea Ordinaria será comunicada por la Junta Directiva con al menos treinta (30) días de anticipación a la fecha prevista para la reunión. VIGÉSIMA SEXTA: Son atribuciones de la Asamblea Ordinaria: a.-) Elegir a los Miembros de la Junta Directiva. b.-) Aprobar e improbar las Actas, el Informe Anual de Actividades y el Balance Financiero de la Asociación. c.-) Determinar el monto de las cuotas que deben cancelar los Asociados. VIGÉSIMA SÉPTIMA: Las Asambleas estarán legalmente constituidas cuando a las mismas asistan la mitad más uno de los Miembros Plenos de la Asociación.	CHAPTER V ON THE ASSEMBLY OF MEMBERS Twenty-second Clause: The supreme authority and direction of the Association shall be the legally constituted Assembly, be it ordinary or extraordinary. Its decisions are adopted when they are taken with a favorable vote of at least two-thirds (2/3) of the Full Members that attend this Assembly and shall be binding. Twenty-third Clause: The Ordinary Assembly shall meet at least once a year, on the date determined by the Board, and the Extraordinary when in the opinion of the Board are necessary, or called by at least two thirds (2/3) of the Full Members upon request to the Board. Twenty-fourth Clause: The amendment to the bylaws may only be in Special Meetings specially convened for that and with a favorable vote of at least two-thirds (2/3) of the Full Members of the Association. Twenty-fifth Clause: The call for the Regular Meetings shall be communicated by the Board at least thirty (30) days before the date fixed for the meeting. Twenty-sixth Clause: The powers of the Ordinary Assembly are: a. -) elect the members of the Board. b. -) Approve and disapprove the meeting minutes, the Annual Activity Report and Financial Statements of the Association. c. -) Determine the amount of contribution to be submitted by the Members. Twenty-seventh Clause: The Assemblies are legally constituted when attending at least half plus one of the Full Members of the Association.
CAPÍTULO VI DISPOSICIONES FINALES VIGÉSIMA OCTAVA: Todos los firmantes de esta Acta y asistentes de esta Asamblea tienen carácter de Miembros Plenos. La Junta Directiva debe cumplir a cabalidad sus funciones y solo quedarán exentos de sus cumplimientos en los siguientes casos: a.-) Por recibir sanciones de suspensión o expulsión al violentar sus deberes o normas del Acta Constitutiva-Estatutaria. b.-) Por renuncia voluntaria a su cargo. c.-) Por incursión en hechos ilícitos, malversación de fondos, atentado a las buenas costumbres y a la moral, irrespeto con los Asociados o algún otro delito castigado por la ley. d.-) Por incapacidad física y/o mental que lo restrinja en sus funciones. e.-) Por muerte. VIGÉSIMA NOVENA: De presentarse alguno de los casos señalados anteriormente, se convocará una Asamblea Extraordinaria para tomar las decisiones pertinentes, siendo éstas válidas cuando tengan el apoyo de la mitad más uno de los presentes o, en caso de empate, con el voto del Presidente o quien le suceda en rango de la Junta Directiva, el cual será contabilizado como doble para dirimir dicha situación. TRIGÉSIMA: Se designa por unanimidad para dirigir los destinos de la Asociación a los siguientes ciudadanos: OSCAR JOSÉ COSTERO GONZÁLEZ, Presidente; LAURA ROSA FIORUCCI RÍOS, Vicepresidente; SAMUEL C, Secretario; CARLOS MANUEL COLINA PEÑA, Tesorero; DAMIÁN ALY FINOL CORREA, Portavoz. TRIGÉSIMA PRIMERA: En caso de disolución y liquidación, la Junta Directiva, conjuntamente con los Miembros Plenos, decidirá el destino del patrimonio de la Asociación, el cual debe estar ajustado a la realidad del momento cuando suceda la disolución, prefiriéndose que el mismo sea destinado a una Asociación Civil de carácter Científico, Tecnológico o Social. TRIGÉSIMA SEGUNDA: Se autoriza amplia y suficientemente a los ciudadanos que integran la Junta Directiva de la Asociación Civil WIKIMEDIA VENEZUELA para que en su carácter efectúen todos los trámites y diligencias necesarios a los fines de la protocolización de esta Acta Constitutiva-Estatutaria ante el ciudadano registrador de la Oficina subalterna de Registro Inmobiliario del Municipio Baruta, de acuerdo con los objetivos de la Asociación. Todos conformes firman.	CHAPTER VI FINAL PROVISIONS Twenty-Eight Clause: All signatories of this Act and attendees of this Assembly have the character of Founders.
