| 1. ARTICLE I – NAME |

The name of this organization is Iraqi Wikimedians Usergroup and it could be used as Wikimedia Iraq (WMIQ). It operates as a nonprofit association of volunteers dedicated to promoting free knowledge through Wikimedia projects in Iraq. |

| 4․ ARTICLE IV – BOARD OF TRUSTEES |

The Board of Trustees shall govern the Usergroupand manage its affairs, either directly or through delegated authority.
The Board shall consist of 5 members. Trustees shall serve 2-years terms and may be re-elected or reappointed once. Trustees shall remain in office until a successor is appointed or elected.
The Board shall reflect diversity in gender, geography, skills, and experience. Trustees are expected to act with fiduciary duty, integrity, and alignment with the Wikimedia Foundation values.
Trustees shall be elected by the membership through a democratic voting process every two years. The Board shall oversee election procedures, ensuring fairness and transparency.
The Board shall meet at least once every quarter. Meetings may be held in-person or online. A quorum consists of a simple majority of Trustees. Decisions are passed by majority vote unless otherwise specified.
Voting may occur via electronic mail, secure wiki platforms, virtual conferencing tools, or other verifiable methods. |
| 5․ ARTICLE V – DISSOLUTION |

If the board or user group leadership remains inactive for one year, any member or group of members may nominate themselves to assume leadership, provided they secure the support of at least 51% of the active members. |
| 6․ ARTICLE VI – OFFICERS AND DUTIES |

Wikimedia Iraq shall be governed by a Board of Trustees, The Board shall appoint an Executive Director to manage the usergroup.
The Executive Director, shall serve as the chief executive officer of the user group. The Executive Director shall be responsible for executing Board directives, overseeing daily operations, managing/recruiting staff and volunteers, and ensuring that strategic goals are achieved. The Executive Director may sign contracts and manage organizational partnerships. The Executive Director can handle the Treasurer duties if needed.
The Treasurer, shall oversee the usergroup’s finances. They shall keep proper records, prepare financial statements, supervise audits, and provide annual financial reports. The Treasurer could be The executive director or one of the coordinators.
Each region with over active 5 contributors within Iraq shall have a Coordinator appointed by the Director. Coordinators shall implement user group goals at the regional level, maintain regular communication with the Executive Director, and ensure the regional activities align with the User group’s mission.
A Wikimedia Iraq region is defined as a governorate or a group of governorates within Iraq that includes at least five active Wikimedians contributing to Wikimedia projects in alignment with the mission of Wikimedia Iraq. Each region is led by a regional coordinator and operates under the supervision of the Board and the Director. The region is responsible for supporting Wikimedia activities locally, fostering community engagement, and establishing partnerships within its geographic area. |
| 7․ ARTICLE VII - ASSETS |

The assets of Wikimedia Iraq shall be used exclusively for charitable, educational, and public benefit purposes. |

These Bylaws may be amended by the half+1 votes of the Board and ratified by a simple majority of active registered members. |

Support Iraqi communities through free knowledge and connect local heritage and culture with global understanding through Wikimedia projects. Mission The Wikimedia Iraq User Group is committed to enriching Wikimedia projects with high-quality content about Iraq, building strong local editor communities, and promoting inclusive knowledge sharing through training, partnerships, and innovation.
1. Content Enrichment Expand high-quality content about Iraq in Arabic, Kurdish, and other local languages across Wikipedia, Wikidata, and Wikimedia Commons. Strengthen thematic content campaigns (such as culture, history, and science), as well as religion and minority-related topics. 2. Community Growth and Inclusion Increase the number and diversity of contributors, particularly among youth and women. Encourage the establishment of local communities and collaborative learning hubs in major cities (Baghdad, Basra, Erbil and Mosul). 3. Capacity Building Deliver structured training programs on Wikimedia editing tools, policies, and leadership skills. Collaborate with universities and educational institutions to transfer knowledge and integrate Wikimedia into academic environments. Cooperate with Wikimedia Foundation–affiliated entities to exchange experiences and engage with Wikimedia communities in other countries. 4. Partnerships and Outreach Strengthen relationships with cultural and academic institutions, as well as civil society organizations. Raise awareness of the Wikimedia mission in Iraq through events and public campaigns. 5. Sustainability and Governance Improve governance systems and volunteer support mechanisms. Secure long-term funding through diversified sources, including Wikimedia Foundation grants, local partnerships, and international organizations operating in Iraq. 6. Hosting Regional Conferences Prepare the community to organize and host WikiArabia by 2027–2028.
