Wikimedia Foundation bylaws/May 2013 - Article IV Section 6 (Vacancies)

The following bylaw adds a sentence to the Bylaws, Article IV, Section 6. This provision is intended to explain without any ambiguity the intent of the bylaws to allow the Board to continue to take action, when allowed by law, despite a vacancy on the Board. The Board is considering this now after the announcement that Ting Chen will leave his position as a community-elected trustee, a position that will not be filled until after the conclusion of the community election this year.

The word "Act" refers to the Florida Not For Profit Corporation Act, as defined in the Bylaws Article IV, Sec. 3(a).

Within the next ten days, the Board would like to consult the community for comment on this proposed bylaw amendment.

Proposed resolution amending the Bylaws, Article IV, Section 6

The Wikimedia Foundation Board of Trustees hereby amends the Bylaws, Article IV, Section 6, to add the following sentence:

As permitted by the Act, the Board may continue doing business as a Board during the vacancy of any Trustee position.

This amendment is effective May 1, 2013.
