PRIVATE CORPORATION WIKIMEDIA CHILE

TÍTULO PRIMERO
DE LA DENOMINACIÓN, DOMICILIO, OBJETO Y PATRIMONIO

SECTION 1
ON THE NAME, RESIDENCE, OBJECTIVE AND PATRIMONY

Artículo primero: Se constituye una corporación de derecho privado, sin fin de lucro, que se denominará “WIKIMEDIA CHILE”, y que se regirá por las normas del Título Trigésimo Tercero del Libro Primero del Código Civil, por el Reglamento sobre Concesión de Personalidad Jurídica a Corporaciones y Fundaciones o por la disposición reglamentaria que lo reemplace, y por los presentes Estatutos.- Article 1.: A nonprofit private corporation, to be called “WIKIMEDIA CHILE”, is constituted and governed by the rules of the 33rd Title of Book I of the Civil Code, the Regulations on the Grant of Legal Personality to Corporations and Foundations, the regulatory provision which replaces the latter, and by these bylaws.-
Artículo segundo: El domicilio de la Corporación será la Comuna de Santiago, en la Provincia de Santiago, en la Región Metropolitana de Santiago, sin perjuicio que también podrá desarrollar sus actividades en otros puntos del país, y podrá establecer oficinas o sedes en cualquier lugar geográfico de la República de Chile.- Article 2.: The legal residence of the Corporation shall be in the Commune of Santiago, Province of Santiago, in the Metropolitan Region of Santiago, notwithstanding that it can develop activities in other parts of the country, and may establish offices and branches in any geographical location in the Republic of Chile.-
Artículo tercero: La Corporación tendrá por finalidad u objeto:
  1. Contribuir activamente a la difusión, el mejoramiento y el progreso del saber y de la cultura mediante el desarrollo y distribución de enciclopedias, colecciones de citas, libros educativos y otras compilaciones de documentos; la difusión de información y de diversas bases de datos, especialmente en las lenguas que se hablan en el territorio de la República de Chile, que:
    1. Se encuentren disponibles gracias a las tecnologías de Internet y similares, siempre que: exista disponibilidad de los datos fuente (en el caso de que dichas obras sean el resultado de compilar o procesar otros contenidos), se utilice un formato libre (entendiéndose como tal aquel que puede ser implementado sin restricciones por cualquier persona con base en especificaciones técnicas documentadas y a disposición pública, sin que la implementación y el uso estén limitados por el pago de regalías), y el acceso a la obra no se encuentre restringida por medidas técnicas.
    2. El contenido de dichas obras sea libre, ya sea por condiciones de licenciamiento o por las normas que rigen los derechos de autor, entendiendo por "libertad":
      1. la libertad de usar dichas obras y disfrutar de los beneficios de su uso;
      2. la libertad de estudiar dichas obras y aplicar el conocimiento adquirido de ellas;
      3. la libertad de hacer y redistribuir copias, totales o parciales, de la información o expresión;
      4. la libertad de hacer cambios y mejoras, y distribuir los trabajos derivados.-
  2. Promover y sostener directa o indirectamente los proyectos albergados por Wikimedia Foundation, Inc., entidad sin fines de lucro registrada en el Estado de Florida, Estados Unidos de América, y especialmente las aplicaciones, trasposiciones, explotaciones o traducciones en las lenguas que se hablan en territorio de la República de Chile. Se consideran proyectos de Wikimedia Foundation Inc. a los que aparecen listados en el sitio oficial http://www.wikimedia.org/ o el que lo sustituya en el futuro. A estos fines, la utilización de las marcas de Wikimedia Foundation Inc., será en cada caso objeto de un contrato específico entre Wikimedia Foundation Inc. y Wikimedia Chile.-

Para conseguir estos objetivos, y sin que esta enumeración sea taxativa, la Corporación podrá:

  1. Destinar para sus fines u objetivos los fondos que recibiera, de fuentes nacionales, internacionales o extranjeras.
  2. Recaudar recursos económicos y destinarlos a dichos propósitos;
  3. Organizar o colaborar en encuentros, congresos, seminarios, simposios, charlas, talleres, cursos y eventos;
  4. Editar, imprimir, y distribuir folletos, boletines, revistas, periódicos, libros, y en general producir y hacer uso de todo tipo de medios audiovisuales y computacionales;
  5. Adquirir, enajenar, arrendar, gravar, y en general celebrar toda clase de actos jurídicos destinados a la adquisición, administración y disposición de bienes raíces y muebles, tanto corporales como incorporales, incluyendo títulos y valores, y realizar operaciones con cualquier institución bancaria o financiera, pública o privada, nacional o internacional, necesarios para el cumplimiento de los fines u objetivos de la Corporación;
  6. Contratar personal, profesional, técnico o administrativo, que fuese necesario para el cumplimiento de los fines u objetivos;
  7. Mantener relaciones e intercambio cultural con otras entidades nacionales, internacionales o extranjeras, públicas o privadas, pudiendo asociarse con éstas en forma transitoria o permanente;
  8. Colaborar con instituciones públicas o privadas, que persigan fines análogos, en materias que le sean comunes;
  9. Mantener relaciones con las autoridades y gestionar su apoyo para la consecución de los fines u objetivos de la Corporación.-
Article 3.: The Corporation shall have as goals and objectives:
  1. To actively contribute to the diffusion, improvement and progress of the knowledge and culture by means of the development and distribution of encyclopedias, collections of quotes, educational books and other document compilations; the diffusion of information and diverse data bases, especially in the languages spoken in the Republic of Chile, which:
    1. are available through technologies as Internet or similar, provided that: (a) the source of the data is available (for works resulting from either the compilation or processing of other works), (b) are given in a freely available format (defined as those that can be implemented by anyone, based on publicly available and documented specifications, and whose implementation and use does not require the payment of any royalties), and the availability of the work is not restricted by technical measures.
    2. the content of those works is free, due to either licensing conditions or copyrights law. In this context, “free” shall be understood as any work that entitles the user to the following rights:
      1. freedom to use it and to enjoy the benefits of its use
      2. freedom to study it and to apply the knowledge acquired from it
      3. freedom to make and redistribute copies, either complete or partial, of the information or expression
      4. freedom to make changes and improvements to it, and to distribute the derived work
  2. To promote and support either directly or indirectly the projects hosted by the Wikimedia Foundation, Inc., a nonprofit organization incorporated in the State of Florida, United States of America; and especially applications, transpositions, developments and translations in the languages spoken in the territory of the Republic of Chile. The projects of the Wikimedia Foundation, Inc. are those listed in the official site http://www.wikimedia.org/ or any other replacing it in the future. To these objectives, the use of the registered trade and service marks owned by the Wikimedia Foundation, Inc., will be subject to a specific contract between Wikimedia Foundation Inc. and Wikimedia Chile on a case-by-case basis.-

To achieve these objectives, the Corporation may exercise (but is not limited to) the following options:

  1. use for their purposes and objectives the funds received from national, international and foreign sources;
  2. collect funds and devote them to the aforementioned goals;
  3. either organize or collaborate in meetings, conferences, seminars, symposiums, lectures, workshops, courses and events
  4. edit, print and distribute brochures, newsletters, magazines, newspapers, books, and generally produce and make use of all types of audiovisual and electronic media;
  5. buy, sell, lease, tax and generally celebrate all kinds of legal acts for the acquisition, management and disposition of real and personal property, both tangible and intangible, including titles and values, with any bank or financial institution, either public or private, either national or international, needed to fulfill the purposes and objectives of the Corporation;
  6. hire and employ professional, technical and administrative personnel, if it is necessary to fulfill its purposes and objectives;
  7. maintain relationships and cultural exchange with other national, foreign, public and private organizations, being able to associate with on a temporary or permanent way;
  8. collaborate with public and private institutions, aimed for similar purposes, in common areas;
  9. maintain relations with authorities and gather their support for achieving the goals and objectives of the Corporation.-
Artículo cuarto: La duración de la Corporación será indefinida. La Corporación no persigue ni se propone fines sindicales o de lucro, ni aquellos de las entidades que deban regirse por un estatuto legal propio. Estará prohibida para ella toda acción de carácter político partidista.- Article 4.: The duration of the Corporation shall be perpetual. The Corporation neither pursues nor proposes trade union purposes or profit, nor those of the entities which must be governed by its own legal status. It is prohibited any partisan political action.-
Artículo quinto: El patrimonio de la Corporación estará formado por:
  1. Las cuotas de incorporación y las cuotas sociales ordinarias y extraordinarias, determinadas con arreglo a los Estatutos, que abonen los socios;
  2. Los bienes que adquiera en lo sucesivo por cualquier título, así como las rentas que los mismos produzcan;
  3. Las donaciones entre vivos o asignaciones por causa de muerte que le hicieren;
  4. La enajenación de sus activos y por las erogaciones y subvenciones que obtenga de personas naturales o jurídicas, de derecho público o de derecho privado, y demás bienes que adquiera a cualquier título;
  5. El producto de cualquier otro concepto que la ley permita.-
Article 5.: The patrimony of the Corporation shall be composed by:
  1. Incorporation fees and ordinary and extraordinary membership fees, determined according to the bylaws, paid by the members;
  2. The goods which might be acquired in the future by any title, as well as the rent they might produce;
  3. Donations by living persons and inheritances that might be given;
  4. The disposal of assets and disbursements and grants obtained from either natural or legal persons, either public or private law, and other assets acquired by any means;
  5. The product of any other concept endorsed by the law.
Artículo sexto: Los fondos sociales se destinarán exclusivamente a la consecución de los fines u objetivos de la Corporación de la entidad y a los pagos de los gastos de administración. Las rentas, beneficios o excedentes de la Corporación no podrán por motivo alguno distribuirse entre los asociados ni aún en caso de disolución.- Article 6.: The social founding will be used exclusively for the achievement of the association's goals and the administration expenditures. Income, profits or surplus of the Corporation for any reason shall not be distributed to its members even in case of dissolution.-

TÍTULO SEGUNDO
DE LOS SOCIOS

SECTION 2
ON THE MEMBERS

Artículo séptimo: Podrá ser socio toda persona sin limitación alguna de sexo, nacionalidad o condición.- Article 7.: Every person could be a member, regardless of sex, nationality or condition.-
Artículo octavo: Habrá las siguientes clases de socios: activos, honorarios, adherentes y cadetes; entendiéndose por:
  1. Socio activo: aquella persona natural que tiene la plenitud de los derechos y obligaciones que se establecen en estos Estatutos. Para ser socio activo se requiere:
    1. Ser mayor de edad;
    2. Encontrarse registrado con nombre de usuario en al menos un proyecto de Wikimedia Foundation Inc., habiendo realizado contribuciones utilizando dicho nombre de usuario, con la única excepción del supuesto considerado en el número siguiente.-
  2. Socio honorario: aquella persona natural o jurídica que, por su trayectoria en defensa y promoción de la cultura y el conocimiento libre, haya obtenido esta distinción, a propuesta de al menos dos socios activos, en virtud de acuerdo de la Asamblea General de Socios. Este socio no tendrá obligación alguna para con la Corporación y sólo tendrá derecho a voz en las Asambleas Generales, a ser informado periódicamente de la marcha de la Institución, y a asistir a los actos públicos de ella. La persona jurídica que tenga la calidad de socio honorario hará uso de sus derechos por intermedio de su representante legal o de un apoderado especialmente designado para estos efectos. El socio honorario que desee tener los mismos derechos que un socio activo deberá solicitar su admisión en esa categoría, a cuyo efecto se aplicarán las condiciones que el presente Estatuto exige para el ingreso a la misma, exceptuando la condición de colaboración activa en al menos un proyecto de Wikimedia Foundation, Inc.-
  3. Socio adherente: aquella persona natural que, reuniendo las exigencias del artículo noveno del presente Estatuto, no se desempeñen como colaboradores activos de ningún proyecto de Wikimedia Foundation, Inc.-
  4. Socio cadete: aquella persona natural que no ha llegado a la mayoría de edad al momento de solicitar su ingreso como socio, pasando automáticamente a la categoría de activo o socio adherente, según correspondiera, al momento de alcanzar la mayoría de edad.-

Todo socio que, sin importar su categoría, se encontrare presente en el acto constitutivo, será considerado socio fundador, sin que esta denominación le otorgue privilegio alguno. El primer Directorio deberá confeccionar un diploma individual donde conste esta circunstancia.-

Article 8.: There shall be the following categories of members: active, honorary, adherent and junior ones; understood as:
  1. Active member: every natural person with all the rights and obligations specified by these bylaws. To be an active member, it is required:
    1. To be of legal age (18 years old);
    2. To be registered with an username in at least one project of the Wikimedia Foundation Inc., and have contributed to them using this username, with the exception specified in the following section.-
  2. Honorary member: an either natural or legal person who, because of his/her career in defense and promotion of culture and free knowledge, has obtained a proposal from at least two active members agreed by the General Assembly of Members. This member has no obligation to the Corporation and shall have the right to speak at General Meetings, to be informed periodically of the progress of the institution, and attend its public events. The legal person who has honorary membership will use their rights through their legal representative or an agent specially appointed for this purpose. Honorary members who want to have the same rights as an active member must apply for admission in that category, for which the terms specified in these bylaws apply, except the status of active involvement in at least one project of the Wikimedia Foundation, Inc.-
  3. Adherent member: a natural person who fulfills the requirements of the article 9 of these bylaws but is not an active contributor to any project of the Wikimedia Foundation, Inc.-
  4. Junior member: any natural person applying to membership, who is not yet of legal age by the time of the application. They will be automatically promoted to the category of either active member or adherent member when coming of age.

All members regardless of their category, present at the constituent act, will be considered founder members. This denomination shall not grant any additional privilege. The first Board will make an individual diploma to document this circumstance..-

Artículo noveno: Para ser admitido como socio, el aspirante deberá presentar una solicitud de ingreso, por los medios que fije el Directorio, consignando los siguientes datos:
  1. Nombre completo;
  2. Fecha de nacimiento;
  3. Domicilio y dirección de correo electrónico;
  4. Cédula nacional de identidad.-

El nombre completo de todo aspirante a socio será expuesto en lugar designado por el Directorio, por un plazo no menor a 15 (quince) días, a efecto de que cualquier socio pueda impugnar su solicitud, dentro del mismo plazo, si aquél no reuniese los requisitos expresados en el presente Estatuto.-

El Directorio deberá pronunciarse sobre las solicitudes de ingreso, en la primera sesión que celebre después de presentadas éstas, en base a su mérito y considerando la o las impugnaciones que se hubiesen formulado, en su caso. No podrá transcurrir más de 60 (sesenta) días desde la fecha de la presentación, sin que el Directorio conozca de ellas y resuelva; en caso contrario, se entenderá que el Directorio se pronuncia favorablemente a la solicitud de ingreso. El Directorio podrá solicitar a los aspirantes, dentro del plazo de 15 (quince) días contados desde la fecha de la presentación de la respectiva solicitud de ingreso, otros datos no establecidos en este artículo, fijando un plazo para la entrega de los mismos.-

Las solicitudes de ingreso presentadas con 15 (quince) días de anticipación a la fecha de celebración de una Asamblea General en que deban realizarse elecciones, deberán ser conocidas por el Directorio antes de dicha Asamblea.-

En el caso de ser rechazado, el aspirante podrá reiterar su solicitud ingreso en la próxima reunión de Asamblea General Ordinaria, pudiendo esta solicitud ser aprobada por mayoría simple.-

Article 9.: In order to be admitted as a member, the applicant shall present an official application form in a way approved by the Board with the following information:
  1. Full name;
  2. Birth date;
  3. Address and email;
  4. National Identity Document number.-

The full name of every applicant will be displayed at a location to be determined by the Board, for a period of not less than 15 (fifteen) days, in order to enable the application to be challenged by any board member in the same period, in case that the applicant does not fulfill any of the conditions expressed in this bylaws.-

The Board shall decide on applications for admission in the first session held after the submissions were made, based on their merit and considering the challenges made, if so. There could not be more than 60 (sixty) days from the date of filing, without the Directors meet and resolve them; otherwise, it will be assumed that the submission was aproved. The Board may request the applicants, within 15 (fifteen) days from the date of filing the relevant application for admission, other data not intended in this article, establishing a period for its delivery.-

The applications submitted at least 15 (fifteen) days before a General Assembly with scheduled elections, should be known by the Board before the Assembly.-

In the case of rejection, the applicant may send again his/her request to the next Ordinary General Assembly meeting, this application may be approved by simple majority.-

Artículo décimo: La calidad de socio activo, adherente o cadete se adquiere:
  1. Por suscripción del acta de constitución de la Corporación, o
  2. Por la aceptación del Directorio, por los 2/3 (dos tercios) de sus miembros, de la solicitud de ingreso patrocinada por dos socios activos, en la cual se manifieste plena conformidad con lo fines de la Corporación, y se comprometa el aspirante a cumplir fielmente los Estatutos, los Reglamentos y los acuerdos del Directorio y de la Asamblea General de Socios.

Se adquiere la calidad de socio honorario por acuerdo de la Asamblea General de Socios, aceptada por el interesado.-

Article 10.: The status of active, adherent and junior membership is acquired:
  1. when subscribing the Act of Constitution of the Corporation, or
  2. when at least 2/3 (two thirds) of the Board members accept the membership application, supported by two active members, in which the applicant agrees with the goals of the Corporation and makes a compromise to fully comply with the bylaws, regulations and agreements of the Board and the General Assembly of Members.

The status of honorary member is acquired by resolution of the General Assembly of Members, accepted by the concerned.-

Artículo undécimo: Los socios activos tienen derecho a voz y voto, y están capacitados para ocupar cargos en la Corporación. Los socios honorarios, adherentes y cadetes tienen derecho a voz pero no tienen derecho a voto, ni pueden ocupar cargos electivos.-

Los socios honorarios están exceptuados de pagar las cuotas sociales.-

Article 11.: Active members have both right to speak and vote, and are qualified to hold positions in the Association's Board. Honorary, adherent and junior members have the right to speak but not to vote, and do not qualify to hold any elective position.-

Honorary members are exempt from paying the membership fees.-

Artículo décimo segundo: Los socios activos tienen las siguientes obligaciones:
  1. Llenar la ficha de afiliación, sin falsear los datos que allí se consignan, y dar cuenta de cualquier cambio en los mismos;
  2. Asistir a las Asambleas Generales a que fueren legalmente convocados;
  3. Servir con eficiencia y dedicación los cargos para los cuales sean designados y las labores o comisiones que se le encomienden:
  4. Cumplir fiel y oportunamente las obligaciones pecuniarias para con la Corporación;
  5. Informar por escrito al Directorio cualquier condición que se produjera y que le inhabilitara para continuar siendo socio;
  6. Respetar y cumplir las disposiciones de estos Estatutos y los acuerdos del Directorio y de la Asamblea General de Socios.-

A los socios adherentes y cadetes le son aplicables las obligaciones contenidas en las letras a), c), d), e) y f) precedentes

Article 12.: Active members have the following obligations:
  1. To file an application form with the veridical information requested thereby and to notify of any changes;
  2. To attend the General Assemblies that are legally convened;
  3. To serve with efficiency and dedication the charges for which they are appointed and the tasks entrusted;
  4. To accurate and timely fulfill the financial obligations to the Corporation;
  5. To inform in written to the Board of any change in that would prevent him from retain his/her membership in the Corporation;
  6. To respect and comply these Articles of Association, and any regulations and dispositions established by the Assembly or the Board.-

Adherent and junior members shall comply with the obligations contained in points a), c), d), e) and f) explained above.

Artículo décimo tercero: Los socios activos tienen los siguientes derechos:
  1. Asistir a las reuniones públicas de Directorio;
  2. Presentar por escrito al Directorio ideas, proposiciones y proyectos de utilidad que encuadren dentro de los fines de la Corporación;
  3. Solicitar al Directorio información acerca de las cuentas de la Corporación, así como de sus actividades y programas;
  4. Asistir a las Asambleas Generales, deliberar y votar en las mismas, y a elegir y ser elegido para servir cargos directivos, con las limitaciones fijadas por este Estatuto;
  5. Tener libre acceso a las dependencias de la Corporación, si las hubiere, en las condiciones que fije el Directorio; y uso y goce de los beneficios que se establecen en estos Estatutos.-

Los socios adherentes y cadetes tienen los derechos contemplados en las letras a), b), c) y e) precedentes, y el de asistir a las Asambleas Generales, con derecho a voz, y de asumir labores o comisiones que la Corporación le encomiende.-

Los socios honorarios tienen los derechos contemplados en las letras a) y b) precedentes, y el de asistir a las Asambleas Generales, con derecho a voz, y de asumir labores o comisiones que la Corporación le encomiende, y el uso y goce de los beneficios que se establecen en estos Estatutos.-

Article 13.: Active members have the following rights:
  1. To attend the public meetings of the Board;
  2. To submit to the Board ideas and projects that fit within the goals of the Corporation;
  3. To request to the Board information about the accounts of the Corporation and its activities and programs;
  4. To attend the assemblies, to deliberate, to vote in them, to elect and to be elected for Board's positions within the limitations determined by these bylaws;
  5. To have free access to the premises of the Corporation, if any, following the conditions established by the Board; and to use and enjoy the benefits that are set in these bylaws.-

Adherent and junior members have the rights referred to in points a), b), c) and e) above, and to attend the General Assemblies, with right of voice, and to assume tasks entrusted by the Corporation.-

Honorary members have the rights referred to in points a) and b) above, and to attend the General Assemblies, with right of voice, and to assume tasks entrusted by the Corporation, and the use and enjoyment of the benefits set in these bylaws.-

Artículo décimo cuarto: La calidad de socio activo, adherente o cadete se pierde:
  1. Por fallecimiento;
  2. Por renuncia escrita presentada al Directorio;
  3. Por expulsión decretada en conformidad al artículo décimo quinto de estos Estatutos.-

Tratándose de un socio honorario, se pierde la calidad de tal, por acuerdo de Asamblea General, por motivos graves y fundados.-

El socio que por cualquier causa dejare de pertenecer a la Corporación, deberá cumplir con las obligaciones pecuniarias que hubiere contraído con ella.-

Article 14.: The status of active, adherent or junior membership is terminated:
  1. In case of death;
  2. By written resignation submitted to the Board;
  3. By expulsion decreed in accordance with Article 15 of these bylaws.-

In case of an honorary member, this status is lost by agreement of the General Assembly for serious and grounds reasons.-

The member who for any reason cease to belong to the Corporation, shall meet the financial obligations that have accrued to it.-

Artículo décimo quinto: El Tribunal de Honor, a que se refiere el título octavo de estos Estatutos, podrá sancionar a los socios, por las faltas y transgresiones que cometan, sólo con algunas de las siguientes medidas disciplinarias:
  1. Amonestación por escrito;
  2. Suspensión hasta por 3 (tres) meses de todos los derechos en la Corporación:
    1. Por incumplimiento de las obligaciones prescritas en el artículo décimo segundo letras c) y f) de estos Estatutos;
    2. Al socio que atrasare en más de 90 (noventa) días en el cumplimiento de sus obligaciones pecuniarias para con la Corporación, o que adeudare un monto equivalente a 3 (tres) cuotas sociales mensuales. Esta suspensión cesará de inmediato al cumplirse la obligación morosa;
  3. Expulsión basada en una de las siguientes causales:
    1. Por incumplimiento de las obligaciones pecuniarias para con la Corporación, durante seis meses consecutivos, previa intimación por carta certificada, invitándolo a efectuar el pago dentro de los 30 (treinta) días de notificado. Podrá reincorporarse por una sola vez abonando el importe de su deuda, más los gastos que demandare la gestión;
    2. Por causar grave daño de palabra, por escrito o con obras a los intereses, imagen o patrimonio de la Corporación. El daño debe haber sido comprobado por medios incuestionables.
    3. Por haber sufrido tres suspensiones en sus derechos, de conformidad a lo establecido en la letra b) de este artículo, dentro del plazo de 2 (dos) años contados desde la primera suspensión.
    4. Haber perdido los requisitos para ser socio, de conformidad a los presentes Estatutos;

El socio a quien se le impusiera alguna de las medidas antes referidas, será citado por carta certificada a prestar descargos de la resolución dictada, dentro del plazo de 15 (quince) días de notificado, salvo cuando fuere por la situación contemplada en la letra b) número 1 de este artículo.-

En caso que el afectado presentare descargos, el Tribunal de Honor analizará su mérito y podrá reconsiderar su decisión. De no presentarse descargos dentro de plazo, la medida disciplinaria quedará a firme.-

El afectado por la medida de expulsión de la Corporación, podrá apelar de la resolución dictada por el Tribunal de Honor, pronunciándose sobre los descargos presentados, dentro del plazo de 15 (quince) días, contados desde la respectiva notificación, para ante la Asamblea General. La apelación será conocida en la primera Asamblea General Ordinaria a realizarse, la que resolverá en definitiva. Mientras la Asamblea no se pronuncie, quedarán suspendidos sus derechos de socio.-

Para todos los efectos establecidos en estos Estatutos, las citaciones, intimaciones o notificaciones efectuadas mediante carta certificada, se entenderán practicadas desde el tercer día siguiente a aquél en que fueron expedidas. Los plazos fijados en Estatutos son de días corridos.-

Article 15.: The Court of Honour, referend in the Section 8 of these bylaws, may penalize members, for any misdemeanors and transgressions they commit, only with some of the following disciplinary measures:
  1. Written warning;
  2. Suspension for up to 3 (three) months of full rights to the Corporation:
    1. For breach of the obligations prescribed in Article 12 c) and f) of these bylaws.
    2. A member that is late more than 90 (ninety) days in fulfilling its financial obligations to the Corporation, or in debt of an amount equal to 3 (three) monthly membership fees; suspension shall immediately cease as soon as the member fulfills his/her financial obligations;
  3. Expulsion based on one of the following reasons:
    1. To not fulfill the financial obligations with the Corporation for six consecutive months, after warning by letter inviting him to make the payment within 30 (thirty) days of notification. The member may return only once after paying the total amount of its debt plus the expenses for its management;
    2. To cause serious harm by word, by letter or by actions to the interests, the image or the assets of the Corporation. The damage must have been checked by unquestionable means;
    3. To have suffered three suspensions of his rights according to the provisions in subparagraph b) of this section, within 2 (two) years from the first suspension.
    4. To lose the requirements for membership, in accordance with these bylaws;

The affected member by any of the aforementioned measures will be summoned by registered letter to provide disclaimer of the decision, in the following 15 (fifteen) days after the notification, except in the case explained in letter b) number 1 of this article.

If a disclaimer is provided, the Court of Honour will discuss its merits and may reconsider its decision. In case of not providing a disclaimer in the established period, the decision will stay.-

The affected party by expulsion may appeal the decision of the Court of Honour, pronuncing about the disclaimers provided, within fifteen (15) days from the respective notification to the General Assembly. The appeal will be known at the first Ordinary General Meeting to be held, which ultimately resolved. While no decision is taken by the Assembly, his/her membership rights shall be suspended.-

For all effects established in these bylaws, citations, demands and notifications made by registered letter, will be considered executed from the third day after they were sent. The periods established in these bylaws consider consecutive days.-

Artículo décimo sexto: Las renuncias para que sean válidas deben constar por escrito, y la firma debe ser ratificada ante el Secretario del Directorio, o encontrarse autorizada ante Notario Público. Cumplidos estos requisitos formales tendrá la renuncia plena vigencia, no siendo necesaria su aprobación por el Directorio o por la Asamblea. Article 16.: Resignations to be valid must be written and the signature must be confirmed with the Secretary of the Board or be authorized by a public notary. When these formalities have been met, the resignation will be in full force, not being required approval by the Board or by the Assembly.

TÍTULO TERCERO
DE LAS CUOTAS SOCIALES

SECTION 3
ON THE MEMBERSHIP FEES

Artículo décimo séptimo: La cuota ordinaria será determinada por la Asamblea General Ordinaria anual a propuesta del Directorio, y no podrá ser inferior a ___________ ni superior a ____________ unidad(es) tributaria(s) mensual(es). Asimismo, la cuota de incorporación será determinada por la Asamblea General Ordinaria del año respectivo, a propuesta del Directorio, y no podrá ser inferior a _________________ ni superior a _____________ unidad(es) tributaria(s) mensual(es).-

El Directorio estará autorizado para establecer que el pago y recaudación de la cuota ordinaria, se haga mensual, trimestral, semestralmente o anualmente.-

Si, por circunstancias particulares, un socio se encontrara en dificultades para afrontar dicho pago, podrá solicitar al Directorio eximirse de esta obligación, durante un plazo máximo de 6 (seis) meses, pudiendo volver a solicitarlo si sus dificultades continúan, y comprometiéndose a comunicar de inmediato si dichas circunstancias se modificaran. El Directorio deberá resolver la petición en la primera sesión que celebre luego de haberse presentado ésta.-

Article 17.: Regular fee will be determined by the annual General Assembly after being proposed by the Board, and shall not be less than ____________ nor more than ___________ monthly tax units (UTM). Also, the incorporation fee will be determined by the General Assembly of the respective year after being proposed by the Board, and shall not be less than nor more than ___________ monthly tax units (UTM).-

The Board is authorized to decide if the payment and collection of regular fee will be made every month, every three months, every six months or every year.-

If, in particular circumstances, one member has difficulties to cope with such payment, the Board may request the exemption of this obligation, for a maximum period of 6 (six) months and may re-apply if his/her difficulties continue, and pledging to report immediately if these circumstances change. The Board shall decide the petition at the first session held after the reception of the application.-

Artículo décimo octavo: Las cuotas extraordinarias serán determinadas por una Asamblea General Extraordinaria, a propuesta del Directorio, no pudiendo ser su valor inferior superior a ___________ unidad(es) tributaria(s) mensual(es). Se procederá a fijar y exigir una cuota de esta naturaleza, cada vez que lo requieran las necesidades de la Corporación. No podrá fijarse más de 1 (una) cuota extraordinaria en cada trimestre.-

Los fondos recaudados por concepto de cuotas extraordinarias no podrán ser destinados a otro fin que al objeto para el cual fueron recaudados, a menos que una Asamblea General especialmente convocada al efecto, resuelva darle otro destino.-

Article 18.: Extra fees will be determined by an Extraordinary General Meeting after being proposed by the Board, and its lowest value shall not be more than ___________ monthly tax units (UTM). An extra fee of this nature can be established whenever required by the needs of the Corporation. It shall not set more than 1 (one) extra fee for each quarter.-

The funds raised by extra fees shall not be intended for another purpose than the purpose for which they were collected, unless a General Meeting specially convened for the purpose, resolved for a different destination.-

TÍTULO CUARTO
DE LA ASAMBLEA GENERAL

SECTION 4
ON THE GENERAL ASSEMBLY

Artículo décimo noveno: La Asamblea General es el órgano colectivo principal de la Corporación e integra al conjunto de sus socios. Sus acuerdos obligan a los socios presentes y ausentes, siempre que hubieren sido tomados en la forma establecida por estos Estatutos y no fueren contrarios a la ley.-

Habrá Asambleas Generales Ordinarias y Extraordinarias. En el mes de abril de cada año se celebrará la Asamblea General Ordinaria en el local ubicado en el domicilio de la Corporación, que el Directorio designe al efecto; en ella el Directorio rendirá cuenta de la inversión de los fondos y de la marcha de la Corporación durante el año anterior, y someterá a aprobación la memoria explicativa de las actividades y el balance del ejercicio anterior; y se procederá a las elecciones determinadas por estos Estatutos, cuando corresponda. El Directorio, con acuerdo de la Asamblea, podrá establecer que el acto eleccionario se celebre en otro día, hora y lugar, que no podrá exceder en 90 (noventa) días a la fecha original cuando de conveniencia institucional así lo indiquen. En dicho caso, se cumplirá con lo dispuesto en el artículo vigésimo primero de estos Estatutos.-

En la Asamblea General Ordinaria se fijará la cuota ordinaria, extraordinaria y de incorporación, conforme a lo establecido en estos Estatutos. En la Asamblea General Ordinaria podrá tratarse cualquier asunto relacionado con los intereses sociales, a excepción de los que correspondan exclusivamente a las Asambleas Generales Extraordinarias.-

Si por cualquier causa no se celebrare una Asamblea General Ordinaria en el tiempo estipulado, el Directorio deberá convocar a una nueva Asamblea dentro del plazo de 30 (treinta) días y la Asamblea que se celebre tendrá, en todo caso, el carácter de Asamblea Ordinaria.-

La memoria explicativa de las actividades de la Corporación y el balance del ejercicio anterior, que se someterán a aprobación de la Asamblea General Ordinaria, deberán ser puestos a disposición de los socios con a los menos quince (15) días de anticipación a la celebración de la Asamblea, por los medios que el Directorio estime convenientes.-

En caso que el patrimonio de la Corporación o los ingresos totales anuales superen los límites establecidos por la ley o la norma administrativa que corresponda, la contabilidad, balance general y estados financieros se someterán al examen de auditores externos independientes designados por la Asamblea General Ordinaria, de entre los inscritos en el Registro de Auditores de la Superintendencia de Valores y Seguros. En todo caso, por petición escrita del 25% (veinticinco por ciento) de los socios activos, la contabilidad, balance general y estados financieros deberá someterse al examen antes referido.-

Article 19.: The General Assembly is the main collective body of the Corporation and is composed by all of its members. Its agreements are compulsory for all the present and absent members, providing they have been taken in the manner prescribed by these bylaws and are not against to law.-

There will be Ordinary and Extraordinary General Assemblies. In April of each year, an annual Ordinary General Assembly will be hold on the place assigned as the address of the Corporation by the Board; in it, the Board shall account the state of investments and the progress of the Corporation and submit for approval the report and balances of the previous year; and shall realize the elections determined by these bylaws, as appropriate. The Board, with the consent of the Assembly, may provide for the election act to be hold on another day, time and place, which shall not exceed 90 (ninety) days from the original date when institutional convenience indicates so. In this case, there shall comply with the provisions of the Article 21. of these bylaws.-

At the Ordinary General Assembly, the regular, extraordinary and incorporation fees shall be established as provided in these bylaws. At the Ordinary General Assembly any matter related to social interests may be discussed, except those that apply exclusively to the Extraordinary General Assemblies.-

If for any reason an Ordinary General Assembly is not celebrated in the stipulated time, the Board shall convene a new Assembly within 30 (thirty) days and the Assembly will have, in any case, the character of an Ordinary Meeting.-

The report of activities of the Corporation and the balance of the previous year, which are subject to approval by the Ordinary General Assembly shall be made available to members at least fifteen (15) days prior to holding the Assembly, by the means that the Board deems appropriate.-

In the event that the assets of the Corporation or the total annual income exceed the limits set by law or applicable administrative rules, accounting, balance sheet and financial statements shall be presented by independent external auditors appointed by the Ordinary General Assembly among those enrolled in the Register of Auditors of the Superintendency of Securities and Insurance. In any case, by a written request signed at least by 25% (twenty-five percent) of the active members, the accounting, balance sheet and financial statements shall be presented by the mentioned external auditors.-

Artículo vigésimo: Las Asambleas Generales Extraordinarias se celebrarán cada vez que el Directorio convocar a ellas, o cada vez que lo soliciten al Presidente del Directorio, por escrito, a lo menos un 10% (diez por ciento) de los socios activos.-

En las Asambleas Generales Extraordinarias únicamente podrán tratarse las materias indicadas en la convocatoria; cualquier acuerdo que se adopte sobre otras materias será nulo y de ningún valor.-

Corresponde exclusivamente a la Asamblea General Extraordinaria tratar de las siguientes materias:

  1. De la reforma de los Estatutos de la Corporación;
  2. De la disolución de la Corporación;
  3. De las reclamaciones en contra de los miembros del Directorio y del Tribunal de Honor, para hacer efectiva la responsabilidad que les corresponda, por transgresión grave a la Ley o a los Estatutos, mediante su destitución, si los cargos fueran comprobados; sin perjuicio de las acciones civiles y criminales que la Corporación tenga derecho a entablarles;
  4. De la constitución de una Unión o Federación de Asociaciones, o la incorporación a una ya existente;
  5. De la compra, venta, hipoteca, permuta, cesión y transferencia de bienes raíces, de la constitución de servidumbres y prohibiciones de gravar y enajenar y del arrendamiento de inmuebles por un plazo superior a 3 (tres) años.-

Los acuerdos a que se refieren las letras a), b), d) y e) deberán reducirse a escritura pública que suscribirá, en representación de la Corporación, el Presidente conjuntamente con las personas que la Asamblea General Extraordinaria designe.-

Article 20.: Extraordinary General Assemblies shall be celebrated when the Board agrees to call them, or every time 10% of the active members request one to the President of the Board in written.-

At the Extraordinary General Assemblies only matters in the call shall be discussed; any agreement beyond these matters will be null and worthless.- The following are exclusive matters for Extraordinary General Assemblies:

  1. Reformations to the bylaws of the Corporation;
  2. Dissolution of the Corporation;
  3. Complaints against members of the Board and the Court of Honour, to enforce accountability on their part, for serious violation of the laws or the bylaws, by dismissal if the charges were proved, without prejudice to civil and criminal actions that the Corporation is entitled to engage,
  4. Consitution of a union or federation of associations, or the incorporation to one already established;
  5. Purchase, sale, mortgage, exchange, assignment and transfer of real estate, the establishment of rights and prohibitions of tax and transfer, and lease of property for a period exceeding 3 (three) years.-

The agreements referred to in points a), b) d) and e) shall be reduced to a public notice, signed on behalf of the Corporation, by the President together with persons appointed by the Extraordinary General Assembly.-

Artículo vigésimo primero: Las citaciones a las Asambleas Generales se harán por medio de un aviso que deberá publicarse por una vez, con 5 (cinco) días de anticipación a los menos y con no más de 20 (veinte) días, al día fijado para la Asamblea, en un diario de la capital de la provincia en que se encuentre ubicado el domicilio de la Corporación. En dicha publicación se indicará el día, lugar, hora y objeto de la reunión. No podrá citarse en el mismo aviso para una segunda reunión, cuando por falta de quórum no se lleve a efecto la primera.-

Asimismo se enviará carta al domicilio que los socios tengan registrados en la Corporación, con a lo menos 5 (cinco) días de anticipación y no más de 30 (treinta) al día de la Asamblea.-

Article 21.: Citations to General Assemblies shall be made by a notice that must be published once, with at least 5 (five) days prior to the date fixed for it and no more than 20 (twenty) days prior to it, in a newspaper of the capital of the province in which it is located the address of the Corporation. Such publication shall indicate the date, place, time and purpose of the meeting. A second meeting shall not be cited in the same ad, when is not put into effect the first for lack of quorum.-

Also letters shall be sent to the registered address by the members of the Corporation, with at least 5 (five) days in advance and no more than 30 (thirty) day of the Assembly.-

Artículo vigésimo segundo: Las Asambleas Generales Ordinarias y Extraordinarias serán legalmente instaladas y constituidas si a ellas concurriere, a lo menos, 1/3 (un tercio) de los socios activos. Si no se reuniere este quórum se dejará constancia de este hecho en el acta y deberá disponerse una nueva citación para día diferente, dentro de los 30 (treinta) días siguientes al de la primera citación, en cuyo caso la Asamblea se realizará con los socios activos que asistan.-

No podrán tomar parte de las Asambleas los socios que adeudaran a la fecha de la realización 3 (tres) o más cuotas sociales. Los excluidos por morosidad podrán regularizar su situación con la Tesorería hasta el momento de iniciarse las deliberaciones.-

Article 22.: Ordinary and Extraordinary General Assemblies shall be legally established and incorporated if they are attended by, at least, one third of the active members. If this quorum is not reached, it shall be registered on the record and a new assembly shall be summoned for a different day within 30 (thirty) days following the first citation, in which case the Assembly will be held with the attending active members.-

Members in debt of 3 or more social fees shall not be part of the assemblies. They will be able to regularize their situation with the Treasury until the deliberations begin.-

Artículo vigésimo tercero: Los acuerdos en las Asambleas Generales se adoptarán por la mayoría absoluta de los socios activos asistentes, salvo en los casos en que la Ley o los Estatutos hayan fijado una mayoría especial.-

Los socios activos tendrán derecho a un voto, pudiendo delegarlo en otro socio mediante una simple carta poder. Cada socio activo, además de hacer uso a su derecho a voto, sólo podrá representar a un socio activo. Los poderes serán calificados por el Secretario del Directorio o quien lo subrogue.-

Article 23.: Agreements taken in General Assemblies shall be adopted by an absolute majority of the attending active members, with the exception of the cases with a qualified majority, specifically established by law or the bylaws.-

Active members have the right of one vote and this could be delegated to another active member through a simple letter of authorization. Active members, besides his/her own right of vote, can represent only one other active member. The letters shall be ratified by the Secretary of the Board or the person.-

Artículo vigésimo cuarto: De las deliberaciones y acuerdos adoptados en las Asambleas Generales se dejará constancia un libro o registro que asegure la fidelidad de las Actas, que será llevado por el Secretario. Estas actas serán un extracto de lo ocurrido en la reunión y serán firmadas por el Presidente, por el Secretario o por quienes hagan sus veces, y además por 2 (dos) socios activos asistentes designados en la misma Asamblea para este efecto.-

En dichas Actas podrán los socios asistentes a la Asamblea estampar las reclamaciones convenientes a sus derechos, por vicios de procedimiento relativos a la citación, constitución y funcionamiento de la misma.-

Article 24.: The deliberations and agreements that take place in the General Assemblies shall be written in a special book or record to ensure the accuracy of the minutes, which will be led by the Secretary. These records shall be a summary of what happened in the meeting and will by the President, the Secretary or those acting for them instead, and also by 2 (two) attending active members designed by the Assembly for this effect.-

In these records, the attending Assembly members will be able to disclose their complaints about their rights, for procedural errors relating to the calling, setting up and running of the Assembly.-

Artículo vigésimo quinto: Las Asambleas Generales serán presididas por el Presidente de la Corporación y actuará como Secretario el que lo sea del Directorio, o las personas que hagan sus veces. Si faltare el Presidente, presidirá la Asamblea el Vicepresidente y, en caso de faltar ambos, un Director u otra persona que la propia Asamblea designe para ese efecto.- Article 25.: The General Assembly shall be chaired by the President of the Corporation and shall act as Secretary the member of the Board with that position or the persons acting in their stead. Should the President fail, the Vice-president will chair the Assembly and, in case of missing both, a Director or other person designated by the Assembly for that purpose.

TÍTULO QUINTO
DEL DIRECTORIO

SECTION 5
ON THE BOARD OF TRUSTEES

Artículo vigésimo sexto: La Corporación será dirigida y administrada por un Directorio compuesto de un Presidente, un Vicepresidente, un Secretario, un Tesorero y dos Directores. El Directorio durará 2 (dos) años en sus funciones pudiendo sus miembros ser reelegidos para los periodos siguientes. Los miembros del Directorio desempeñarán sus funciones en forma totalmente gratuita, pero tendrán derecho a ser reembolsados por los gastos, autorizados por el Directorio, que justificaren haber efectuado en el ejercicio de sus funciones.-

El Presidente del Directorio lo será también de la Corporación.-

Article 26.: The association will be directed and administered by a Board of Trustees composed by a President, a Vice-president, a Secretary, a Treasurer and two Directors. The Board will last for 2 years in office and its members will be able to be reelected for the following periods. The members of the Board will exercise their positions without perceiving any payment, but are entitled to be reimbursed for expenses authorized by the Board justified to have been done in the exercise of their functions

The President of the Board of Trustees will be also the President of the Corporation.-

Artículo vigésimo séptimo: El Directorio y el Tribunal de Honor se elegirán en Asamblea General Ordinaria de socios de acuerdo a las siguientes normas:
  1. Las elecciones se realizarán cada 2 (dos) años;
  2. Cada socio activo sufragará en forma libre y secreta en un solo acto, teniendo derecho a marcar tantas preferencias como candidatos haya por elegir, no pudiendo acumular preferencias en un candidato, ni repetir un nombre;
  3. Se proclamarán elegidos los candidatos que en la elección resulten con el mayor número de votos hasta completar los miembros del Directorio y del Tribunal de Honor, que corresponda elegir;
  4. Es incompatible el cargo de Director con el de miembro del Tribunal de Honor;
  5. No completándose el número necesario de miembros del Directorio o de miembros del Tribunal de Honor, o existiendo empate entre dos o más candidatos que ocupen el último lugar entre las más altas mayorías respectivas, se procederá a efectuar tantas elecciones como sea necesario;
  6. Habrá una Comisión de Elecciones la que deberá estar integrada siempre en forma paritaria por dos socios activos y dos miembros del Tribunal de Honor que no sean candidatos, debiendo elegir entre ellos un Presidente de Comisión quien dirimirá los empates que puedan producirse, con motivo de adoptar ésta un acuerdo o resolución. Dicha Comisión se constituirá en la Asamblea General en que corresponda celebrar las elecciones, y se integrará por los miembros del Tribunal de Honor que designe el Directorio, o en su defecto, por los socios activos que éste mismo designe, y por los integrantes de la Asamblea que ésta elija en el mismo acto;
  7. El recuento de votos será público.-
Article 27.: The members of the Board of Trustees and the Court of Honour shall be elected in an Ordinary General Assembly with the following rules
  1. Elections shall be called every 2 (two) years:
  2. Every active member shall have a free and secret vote in a single act, with the right to mark as many preferences as candidates to choose, not being allowed to accumulate the preferences for one candidate or repeat a name;
  3. The candidates with the highest amount of votes shall be proclaimed as elected until all the seats of the Board and the Court of Honour are announced;
  4. The office of Director is incompatible with being member of the Court of Honour;
  5. If it is not completed the required number of Board members or members of the Court of Honour, or there are any ties between two or more candidates to fill the last place among the highest respective majorities, as many elections as necessary shall be made;
  6. There will be an Election Commission which shall be composed of an equal number of two active members and two members of the Court of Honour who are not candidates, and they must choose between themselves a President of the Commission with the power to settle ties when they occur, with the reason of adopting agreements or resolutions. The Committee shall be constituted in the General Assembly established to hold the elections, and shall comprise the members of the Court of Honour appointed by the Board, or in their absence by the active members appointed by itself, and the members of the Assembly elected in the same act;
  7. The counting of votes will be public.-
Artículo vigésimo octavo: El Directorio elegido deberá asumir de inmediato sus funciones, sin perjuicio de las rendiciones de cuentas y la entrega de documentos que deba realizarse con posterioridad, para lo cual, deberá en ese acto fijarse una fecha.-

En la Asamblea General en que se elija el Directorio, o dentro de los 15 (quince) días siguientes a ella, el Directorio deberá elegir, de entre sus miembros, un Presidente, un Vicepresidente, un Secretario y un Tesorero.-

Si por cualquier causa no se realizaran las elecciones de Directorio en la oportunidad que establece el artículo décimo séptimo de estos Estatutos, el Directorio continuará en funciones, con todas sus obligaciones y atribuciones, hasta que sea reemplazado en la forma prescrita por los Estatutos.-

Article 28.: The elected Board shall immediately take office, without affecting to the accountabilities and the delivery of documents to be carried out subsequently, for which a date shall be set.-

In the General Assembly to elect the Board, or within 15 (fifteen) days after it, the Board shall elect from among its members a President, a Vice President, a Secretary and a Treasurer.-

If for any reason the election of Directors is not carried out at the time set by the Article 17. of these bylaws, the Board will continue in office, with all its obligations and responsibilities, until replaced in the manner prescribed by the bylaws.-

Artículo vigésimo noveno: En caso de fallecimiento, inhabilidad, renuncia, destitución, ausencia o imposibilidad absoluta de un Director para el desempeño de su cargo, el Directorio nombrará un reemplazante que durará en sus funciones el tiempo que reste para completar el período del Director reemplazado.-

Se entiende por ausencia o imposibilidad absoluta de un Director para el desempeño de su cargo, la inasistencia a 3 (tres) o más sesiones consecutivas, sin causa justificada, la que será calificada por el propio Directorio, con exclusión del involucrado.-

Cuando, por cualquier causa, el número de miembros del Directorio quede reducido a menos de la mayoría absoluta, deberá convocarse a elecciones por la Asamblea General de Socios, en el plazo de 7 (siete) días.

Article 29.: In case of death, disability, resignation, removal, absence or absolute incapacity of a Director for the performance of his duties, the Board shall appoint a replacement who shall hold office the remainder of the term to complete the Director replaced.-

The absence or absolute incapacity of a Director for the performance of his duties is understood as the failure to attend 3 (three) or more consecutive sessions without justified explanation, which will be qualified by the Board itself, excluding the involved.-

When, for whatever reason, the number of Board members is reduced to less than a majority, it shall call to elections by the General Assembly of Members, within 7 (seven) days.

Artículo trigésimo: Podrá ser elegido miembro del Directorio, cualquier socio activo, con 1 (un) año o más de antigüedad en la Corporación. Para estos efectos, se podrán imputar por uno cada dos días de antigüedad como socio adherente o cadete.-

No podrán ser Directores las personas que hayan sido condenadas por crimen o simple delito en los 15 (quince) años anteriores a la fecha en que se pretenda designarlos. Asimismo, no podrán serlo, las personas que hubieren sido condenadas a pena aflictiva.-

El Director que durante el desempeño del cargo fuere condenado por crimen o simple delito, cesará en sus funciones.-

Article 30.: Any active member with 1 (one) year or more of seniority in the Corporation may be elected to the Board. To this effect, every two days as adherent or junior member could be counted as one day of seniority.-

Directors shall not be people who have been convicted of any crime or misdemeanor in the 15 (fifteen) years preceding the date on which it is intended to be designated. Also, people sentenced to afflictive punishment shall not be Director.-

The Director that during the course of their activities is convicted of any crime or misdemeanor, shall cease to hold office.-

Artículo trigésimo primero: El Directorio deberá sesionar con la mayoría absoluta de sus miembros y sus acuerdos se adoptarán por la mayoría absoluta de los Directores asistentes, salvo en los casos que estos Estatutos señalen un quórum distinto. En caso de empate decidirá el voto del que preside.-

De las deliberaciones y acuerdos del Directorio se dejará constancia en un libro o registro de actas, que serán firmadas por todos los Directores que hubieren concurrido a la sesión.-

El Director que quisiere salvar su responsabilidad por algún acto o acuerdo del Directorio, deberá hacer constar su oposición en el acta respectiva, debiendo darse cuenta de ello en el siguiente Asamblea General de socios.-

El Directorio sesionará ordinariamente, por lo menos, una vez en cada trimestre calendario, en la fecha que acuerden sus integrantes. Una vez al año, a lo menos, el Directorio deberá celebrar una sesión pública, que comunicará por los medios que estime convenientes.-

El Directorio podrá sesionar extraordinariamente cuando lo juzgue necesario su Presidente o lo soliciten 2 (dos) o más de los miembros del Directorio, debiendo en este caso ser convocado por el Secretario. En estas sesiones sólo podrán tratarse las materias objeto de la citación, rigiendo las mismas formalidades de constitución y funcionamiento establecidas en este artículo para las sesiones ordinarias.-

Article 31.: The Board shall meet with the absolute majority of its members and its resolutions shall be adopted by an absolute majority of the Directors attending, except in cases that these bylaws indicate a different quorum. In case of a tie, it will be defined by the President.-

The discussions and agreements of the Board shall be recorded in a book or record, which shall be signed by all directors who have attended the meeting.-

If a Director wants to save his/her liability for any act or agreement of the Board, his opposition should be stated in the respective record and notify about it in the following General Assembly.-

The Board shall hold ordinary session, at least, once by every trimester of the year, on the date agreed by its members.- Once a year, at least, the Board shall hold a public meeting, which shall be notified by the means deemed appropriate.-

The Board may hold extraordinary meetings when deemed necessary by its President or on request of 2 (two) or more members of the Board, should this case be convened by the Secretary. These sessions shall be only about the subjects expressed on the citation, with the same formalities for setting up and operating established under this article for regular meetings.-

Artículo trigésimo segundo: El Directorio podrá suspender a cualquiera de sus miembros por faltas cometidas en el desempeño de sus funciones. Se requerirá el voto de los 2/3 (dos tercios) de sus componentes y los antecedentes serán pasados a la próxima Asamblea para que ratifique dicha resolución.- Article 32.: The Board may suspend any member for misconduct in the performance of their duties. It will require a vote of 2/3 (two thirds) of its members and the record will be passed to the next Assembly to ratify that decision.-
Artículo trigésimo tercero: Serán deberes y atribuciones del Directorio:
  1. Dirigir la Corporación, cumplir estos Estatutos, los reglamentos, las resoluciones de la Asamblea General y las suyas propias, y velar porque éstos se cumplan, al igual que las finalidades perseguidas por ella;
  2. Administrar los bienes sociales e invertir sus recursos. Aprobar los proyectos y programas que se encuentren ajustados a los objetivos de la Corporación;
  3. Llevar los libros de administración y de contabilidad requeridos por la ley y los que la Corporación estime convenientes y necesarios para su desenvolvimiento;
  4. Citar a Asamblea General de socios, tanto ordinaria como extraordinaria, en la forma y épocas que señalan estos Estatutos;
  5. Crear toda clase de comisiones, ramas, sucursales, filiales, anexos, oficinas y departamentos que se estime necesario para el mejor funcionamiento de la Corporación;
  6. Redactar los Reglamentos necesarios para la Corporación y las ramas y organismos que se creen, para el cumplimiento de sus fines, y someter dichos Reglamentos a la aprobación de la Asamblea General más próxima, pudiendo en el intertanto aplicarlos en forma provisoria, como asimismo realizar todos aquellos asuntos y negocios que estime necesario;
  7. Rendir cuenta en la Asamblea General Ordinaria anual, tanto de la marcha de la Corporación como la inversión de sus fondos, mediante memoria, balance e inventario, que en esa ocasión se someterán a la aprobación de sus socios;
  8. Sancionar a los socios;
  9. Calificar la ausencia e imposibilidad de sus miembros para desempeñar el cargo, a que se refiere el artículo vigésimo noveno de estos Estatutos;
  10. Remitir periódicamente memoria y balance al Ministerio de Justicia, conforme a la legislación vigente;
  11. Resolver las dudas y controversias que surjan con motivo de la aplicación de sus Estatutos y Reglamentos, dando cuenta a la Asamblea General más próxima;
  12. Las demás atribuciones que señalen estos Estatutos y la legislación vigente.
Article 33.: The rights and duties of the Board are:
  1. To rule the Corporation, enforce these bylaws, regulations, Assembly resolutions and its own ones, and ensure that these rules are followed, according to the objectives pursued by them;
  2. To administrate the Association's patrimony and make investments with its actives. To approve projects and programs following the objectives of the Corporation;
  3. To keep the administration and accounting books required by the law and those that the Association considers necessary for its normal functioning;
  4. To summon a General Assembly of members, ordinary or extraordinary, according to the regulations expressed in these bylaws;
  5. To establish any kind of commissions, branches, subsidiaries, annexes, offices and departments as deemed necessary for the best performance of the Corporation;
  6. To draft the regulations necessary for the Corporation and its created branches and agencies, to carry out its purposes, and submit those regulations to the next General Assembly for approval, while they can be applied in the meantime on a temporary basis, as well as perform all matters and business deemed as necessary;
  7. To present the accountability in the annual Ordinary General Assembly, both of the progress of the Corporation as the investment of its funds, through memory, balance and inventories, which at that time shall be subject to the approval of its members;
  8. To sanction members;
  9. To determine the absence and impossibility of its members to fill their posts, as established by the Article 29. of these bylaws;
  10. To submit regularly the memory and balances to the Ministry of Justice, according to the applicable law;
  11. To solve matters not anticipated on this Articles of Association informing them in the following Ordinary General Assembly to be summoned;
  12. Other attributions established by these bylaws and the applicable law.
Artículo trigésimo cuarto: Como administrador de los bienes sociales el Directorio estará facultado para comprar, adquirir, vender, permutar, dar y tomar en arrendamiento y administración, ceder y transferir todo clase de bienes muebles y valores mobiliarios; dar y tomar en arrendamiento bienes inmuebles por un período no superior a 3 (tres) años; constituir, aceptar, posponer y cancelar hipotecas, prendas, garantías y prohibiciones, otorgar cancelaciones, recibos y finiquitos; celebrar contratos de trabajo, fijar sus condiciones y poner término a ellos; celebrar contrato de mutuo y cuentas corrientes, abrir y cerrar cuentas corrientes, de depósitos, de ahorro y de créditos, girar y sobregirar en ellas; retirar talonarios y aprobar saldos; girar, aceptar, tomar, avalar, endosar, descontar, cobrar, cancelar, prorrogar y protestar letras de cambio, pagarés, cheques y demás documentos negociables o efectos de comercio; ejecutar todo tipo de operaciones bancarias o mercantiles; cobrar y percibir cuanto corresponda a la Corporación; contratar, alzar y posponer prendas, constituir, modificar, prorrogar, disolver y liquidar sociedades y comunidades, asistir a juntas con derecho a voz y voto; conferir y revocar poderes, mandatos especiales y transigir; aceptar toda clase de herencias, legados y donaciones; contratar seguros, pagar las primas, aprobar liquidaciones de los siniestros y percibir el valor de las pólizas, firmar, endosar y cancelar pólizas; importar y exportar; delegar sus atribuciones en uno o más socios o funcionarios de la Institución, sólo en lo que diga relación con la gestión económica de la Corporación o su organización administrativa interna; estipular en cada contrato que celebre los precios, plazos y condiciones que juzgue convenientes; anular, rescindir, resolver, revocar y terminar dichos contratos; poner término a los contratos vigentes por resolución, desahucio o cualquier otra forma; operar en el mercado de valores; comprar y vender divisas sin restricción; contratar créditos con fines sociales y ejecutar aquellos actos que tiendan a la buena administración de la Corporación.-

Sólo por acuerdo de una Asamblea General Extraordinaria de socios se podrá comprar, vender, hipotecar, permutar, ceder y transferir bienes raíces, constituir servidumbres y prohibiciones de gravar y enajenar y arrendar bienes inmuebles por un plazo superior a 3 (tres) años.-

Article 34.: As administrator of the social goods, the Board shall be empowered to buy, acquire, sell, exchange, give and take on lease and management, assign and transfer all kinds of real estate and securities; give and take on lease property for a period not than 3 (three) years up; accept, postpone and cancel mortgages, pledges, guarantees and prohibitions, award cancellations, receipts and releases; enter into employment contracts, setting the conditions and put an end to them, celebrate mutual agreements and accounts, opening and closing accounts, deposits, savings and loans, draft and overdraft them; receive checkbooks and approve balances; draw, accept, take, endorse, discount, charge, cancel, extend and protest bills of exchange, promissory notes, checks and other negotiable or commercial papers, run all sorts of commercial bank operations, collect and receive what corresponds to the Corporation, engage, lift and put off securities, constitute, modify, extend, dissolve and liquidate companies and communities, attend meetings with voice and vote; grant and revoke powers, special mandates and compromise; accept all kinds of legacies, bequests and donations, buy insurance, pay premiums, to approve settlements of claims and to perceive the value of policies, sign, endorse and cancel policies; import and export; delegate its powers to one or more members or officers of the institution, only in relation to economic management of the Corporation or its internal administrative organization; stipulate in each contract to hold the prices, terms and conditions it considers appropriate; cancel, rescind, resolve, revoke and terminate these contracts; to terminate existing contracts by resolution, eviction or otherwise; operating in the stock market; buying and selling currencies without restriction, contract loans for social and implement those actions that tend to the proper administration of the Corporation.-

Only by agreement of an Extraordinary General Meeting of members, the Corporation can buy, sell, mortgage, exchange, assign and transfer real property, easements and tax prohibitions and sell and lease real property for a period exceeding 3 (three) years .-

Artículo trigésimo quinto: Acordado por el Directorio o la Asamblea General, en su caso, cualquier acto relacionado con las facultades indicadas en el artículo precedente, lo llevará a cabo el Presidente o quien lo subrogue en el cargo, conjuntamente con el Tesorero u otro miembro del Directorio que éste designe. Ellos deberán ceñirse fielmente a los términos del acuerdo de la Asamblea o del Directorio en su caso, y serán solidariamente responsables ante la Corporación en caso de contravenirlo. Sin embargo, no será necesario a los terceros que contraten con la Corporación conocer los términos del acuerdo.- Article 35.: Agreed by the Board or the General Assembly, where appropriate, any act in relation to the powers referred to in the preceding article shall be conducted by the President or his/her subrogated to the position, together with the Treasurer or another member of the Board designated for this case. They should not deviate from the terms of the agreement of the Assembly or the Board as appropriate and will be jointly liable to the Corporation in the event of contravention. However, it is not necessary to disclose the terms of these agreements to third parties that contract with the Corporation

TÍTULO SEXTO
DEL PRESIDENTE Y DEL VICEPRESIDENTE

SECTION 6
ON THE PRESIDENT AND VICEPRESIDENT

Artículo trigésimo sexto: Corresponde especialmente al Presidente de la Corporación:
  1. Representar judicial y extrajudicialmente a la Corporación;
  2. Presidir las reuniones del Directorio y las Asambleas Generales de Socios;
  3. Ejecutar los acuerdos del directorio, sin perjuicio de las funciones que los Estatutos encomienden al Vicepresidente, Secretario, Tesorero y a otros miembros que el Directorio designe;
  4. Organizar los trabajos del Directorio y proponer el plan general de actividades de la Institución;
  5. Nombrar las comisiones de trabajo que estime convenientes;
  6. Firmar la documentación propia de su cargo y aquella en que deba representar a la Corporación;
  7. Firmar conjuntamente con el Tesorero o con el Director que haya designado el Directorio, los cheques, giros de dinero, letras de cambio, balances y, en general, todos los documentos relacionados con el movimiento de fondos de la Corporación;
  8. Dar cuenta anualmente en la Asamblea General Ordinaria de socios en nombre del Directorio, de la marcha de la Corporación y del estado financiero de la misma;
  9. Resolver cualquier asunto urgente que se presente y solicitar en la sesión de Directorio más próxima, su ratificación;
  10. Velar por el cumplimiento de los Estatutos, Reglamentos y acuerdos de la Corporación;
  11. Las demás atribuciones que determinen estos Estatutos y los Reglamentos.

Los actos del representante de la Corporación, son actos de ésta, en cuanto no excedan de los límites del ministerio que se le ha confiado; en caso contrario, sólo obligan personalmente al representante.-

Article 36.: The President of the Corporation has to:
  1. Represent the Corporation at court and out-of-court;
  2. Chair the meetings of the Board and the General Meetings of Members;
  3. Implement the resolutions of the board, without affecting the functions entrusted by the bylaws to the Vice President, Secretary, Treasurer and other members appointed by the Board;
  4. Organize the work of the Board and propose the plan of operations of the institution;
  5. Appoint working committees as he/she deems appropriate;
  6. Sign the documentation proper of his/her office and the one in which he/she should represent the Corporation;
  7. Co-sign with the Treasurer or the Director designated by the Board, checks, money orders, bills, statements and, in general, all documents related to the movement of funds of the Corporation;
  8. Report annually to the annual Ordinary General Meeting of members on behalf of the Board, on the progress of the Corporation and the financial status of the same;
  9. Resolve any urgent request that appears and request in the next board meeting, its ratification;
  10. Ensure compliance with the bylaws, regulations and agreements of the Corporation;
  11. All other powers determined by these bylaws and regulations.

The acts of the representative of the Corporation, are acts of it, as long as they don't exceed the limits of the ministry entrusted to him; otherwise, the representative is personally liable only.-

Artículo trigésimo séptimo: El Vicepresidente debe colaborar permanentemente con el Presidente en todas las materias que a éste le son propias.-

En caso de enfermedad, permiso, ausencia o imposibilidad transitoria, el Presidente será subrogado por el Vicepresidente, el que tendrá en tal caso todas las atribuciones que corresponden a aquél.-

En caso de fallecimiento, inhabilidad, renuncia, destitución, ausencia o imposibilidad absoluta del Presidente, el Vicepresidente ejercerá sus funciones hasta la terminación del respectivo período.-

En caso de impedimento o ausencia temporal del Vicepresidente lo reemplazará el Secretario.-

Article 37.: The Vice President should work with the President on all matters that correspond to it .-

In case of illness, leave, temporary absence or incapacity, the President shall be subrogated by the Vice President who shall have all the powers attributed to him in such case .-

In case of death, disability, resignation, removal, absence or absolute incapacity of the President, the Vice President shall serve until the completion of the respective period .-

In case of impediment or temporal absence of the Vice President, he/she will be replaced by the Secretary .-

TÍTULO SÉPTIMO
DEL SECRETARIO Y DEL TESORERO

SECTION 7
ON THE SECRETARY AND THE TREASURER

Artículo trigésimo octavo: Los deberes del Secretario serán los siguientes:
  1. Llevar el Libro o Registro de Actas del Directorio y el de la Asamblea General;
  2. Mantener el Registro de los Socios, Directores y demás autoridades que prevean los Estatutos;
  3. Despachar las citaciones a Asambleas de socios ordinaria y extraordinaria y publicar los avisos de citación de las mismas;
  4. Formar la tabla de sesiones del Directorio y de las Asambleas Generales, de acuerdo con el Presidente;
  5. Redactar y despachar con su firma y la del Presidente la correspondencia y documentación de la Corporación, con excepción de aquella que corresponda exclusivamente al Presidente y recibir y despachar la correspondencia en general. Contestar personalmente la correspondencia de mero trámite;
  6. Vigilar y coordinar que tanto los Directores como los socios cumplan con las funciones, labores y comisiones que les corresponden conforme a los Estatutos y Reglamentos, o les sean encomendadas para el mejor funcionamiento de la Corporación;
  7. Firmar las actas en calidad de Ministro de Fe de la Corporación y otorgar copia de ellas debidamente autorizadas con su firma, cuando se lo solicite algún socio;
  8. Calificar los poderes antes de las elecciones;
  9. En general, cumplir todas las tareas que se le encomiende el Directorio o la Asamblea.-

En caso de ausencia o imposibilidad temporal, el Secretario será subrogado por el socio activo que designe el Directorio.-

Article 38.: The duties of the Secretary shall be the following:
  1. Keep the books or records of the Board and the Assembly of Members
  2. Keep the Register of Members, Directors and other authorities established by the bylaws;
  3. Send the invitations for the ordinary and extraordinary assemblies of members and publish notices for these summons;
  4. Make the table of the sessions of the Board and the General Assemblies, in accordance with the President;
  5. Write and send with his/her signature and the President's one the mails and documents of the Corporation, except the ones that belongs exclusively to the President and receive and dispatch correspondence in general. To answer personally correspondence that are mere formality;
  6. Monitor and coordinate directors and members to comply with the duties, tasks and missions assigned to them under the bylaws and regulations, or entrusted to them for the better functioning of the Corporation;
  7. Sign the records as attester of the Corporation and provide duly certified copies under his/her signature, when requested by any member;
  8. Evaluate letters of authorization before elections;
  9. In general, to fulfill all duties assigned by the Board or the Assembly.-

In case of absence or temporal inability, the Secretary shall be subrogated by the active member appointed by the Board.-

Artículo trigésimo noveno: Las funciones del Tesorero serán las siguientes:
  1. Cobrar y recibir las cuotas ordinarias, extraordinarias y de incorporación de los socios, otorgando recibos por las cantidades correspondientes;
  2. Informar periódicamente al Directorio y al Tribunal de Honor de los socios morosos en sus obligaciones pecuniarias para con la Corporación;
  3. Depositar los fondos de la Corporación en las cuentas corrientes o de ahorro que ésta abra o mantenga, y firmar conjuntamente con el Presidente, o con quien designa el Directorio los cheques o retiros de dineros que se giren contra dichas cuentas;
  4. Llevar la contabilidad de la Corporación, de conformidad con los principios de contabilidad de aceptación general;
  5. Preparar el Balance que el Directorio deberá proponer anualmente a la Asamblea General;
  6. Mantener al día el inventario de todos los bienes de la Corporación;
  7. Informar al Directorio de los socios morosos en sus obligaciones pecuniarias para con la Corporación;
  8. En general, cumplir con todas las tareas que le encomiende el Directorio o la Asamblea.-

El tesorero, en caso de ausencia, o imposibilidad temporal, será subrogado por la persona que designe el Directorio entre los socios activos.-

Article 39.: The duties of the Treasurer shall be the following:
  1. Collect and receive ordinary, extraordinary and incorporation fees of the members, granting receipts for the given amounts;
  2. Report periodically to the Board and the Court of Honor about the belated members in their financial obligations to the Corporation;
  3. Deposit the funds of the Corporation in its deposit or saving accounts, and sign with the President or who appoints the Board checks or withdrawals of money drawn on those accounts;
  4. Keep the accountability of the institution, in accordance with the accounting principles generally accepted;
  5. Keep the accountability of the institution;
  6. Prepare the balance that the Board shall propose annually to the General Assembly;
  7. Keep up to date the inventory of all assets of the Corporation;
  8. Inform the Board of the members that are late with their financial obligations to the Corporation;
  9. In general, to fulfill all duties assigned by the Board or the Assembly.-

In case of absence or temporal incapacity, the Treasurer shall be subrogated by the active member appointed by the Board.-

TÍTULO OCTAVO
DEL TRIBUNAL DE HONOR

SECTION 8
ON THE COURT OF HONOUR

Artículo cuadragésimo: Habrá un Tribunal de Honor compuesto de tres socios activos, elegidos cada 2 (dos) años en la Asamblea General Ordinaria Anual en la forma y con los requisitos establecidos en el artículo vigésimo séptimo, a través del cual la Corporación ejercerá la potestad disciplinaria que le corresponde sobre sus socios.-

Los miembros del Tribunal de Honor durarán 2 (dos) años en sus funciones y podrán ser reelegidos indefinidamente.-

El Tribunal de Honor tendrá las facultades disciplinarias respecto de los integrantes de la Corporación, las que ejercerá mediante un procedimiento racional y justo. En el cumplimiento de sus funciones el Tribunal sólo podrá aplicar las sanciones que establece el artículo décimo quinto de estos Estatutos, y estará facultado para redactar un Reglamento que fije las normas de procedimiento que fueren necesarias para estos efectos, que deberá ser sometido a la aprobación de la Asamblea General.-

Article 40.: There will be an Court of Honour composed of three active members, elected every 2 (two) years at the annual Ordinary General Assembly in the manner and with the requirements established in the Article 27., by which the Corporation shall exercise the power to discipline its members.-

Members of the Court of Honour shall last 2 (two) years in office and may be reelected indefinitely.-

En el cumplimiento de sus funciones el Tribunal sólo podrá aplicar las sanciones que establece el artículo décimo quinto de estos Estatutos, y estará facultado para redactar un Reglamento que fije las normas de procedimiento que fueren necesarias para estos efectos, que deberá ser sometido a la aprobación de la Asamblea General.-

The Court of Honour shall have disciplinary powers over the members of the Corporation, which shall by used under a fair and rational procedure. Carrying out its functions, the Court shall apply only the sanctions provided in Article 15. of these bylaws, and shall be empowered to draft a Regulation laying down the rules of procedure necessary for these effects, which must be submitted for approval of the General Assembly.-

Artículo cuadragésimo primero: El Tribunal de Honor se constituirá dentro de los 30 (treinta) días siguientes a su elección, procediendo a designar, de entre sus miembros, un Presidente. Deberá sesionar con la mayoría absoluta de sus miembros y sus acuerdos se tomarán por la mayoría absoluta de sus integrantes. En caso de empate, decidirá el voto del que preside.-

Todas las resoluciones y acuerdos del Tribunal deberán constar por escrito y los suscribirán todos los miembros asistentes a la respectiva sesión.-

En caso de fallecimiento, inhabilidad, renuncia, destitución, ausencia o imposibilidad absoluta de alguno de los miembros del Tribunal de Honor para el desempeño de su cargo, el Directorio nombrará un reemplazante que durará en sus funciones sólo el tiempo que faltare para completar su período al miembro del Tribunal reemplazado, el cual deberá tener la calidad de socio activo de la Corporación. El tiempo de la ausencia o imposibilidad será de tres (3) meses contados desde la primera sesión a la que el integrante del Tribunal no concurriera.-

Article 41.: The Court of Honour shall be constituted within 30 (thirty) days following its election, and shall proceed to appoint from among its members a President. The Court shall meet with the absolute majority of its members and agreements shall be adopted by an absolute majority of the members. In case of a tie, it will be decided by the vote of the President.-

All resolutions and decisions of the Tribunal shall be in writing and signed by all members attending that session.-

In case of death, disability, resignation, removal, absence or absolute incapacity of any member of the Court of Honour for his tenure, the Board shall appoint a replacement who will hold office only the remainding time of the original term of the replaced member, which must be an active member of the Corporation. The time of the absence or incapacity shall be three (3) months after the first session to which the member of the Tribunal do not attend.-

TÍTULO NOVENO
DE LA MODIFICACIÓN DE LOS ESTATUTOS

SECTION 9
ON THE AMENDMENTS TO THE BYLAWS

Artículo cuadragésimo segundo: La reforma a los Estatutos podrá ser solicitada:
  1. Por acuerdo del Directorio, aprobado por las 2/3 (dos tercios) de sus miembros;
  2. Por petición escrita del 25% (veinticinco por ciento) de los socios activos.-
Article 42: The amendments to the bylaws may be requested:
  1. By agreement of the Board, approved by 2/3 (two thirds) of its members;
  2. By a written request of 25% (twenty five percent) of the active members.-
Artículo cuadragésimo tercero: La modificación de los Estatutos será acordada en Asamblea General Extraordinaria por los 2/3 (dos tercios) de los socios activos presentes.-

La Asamblea deberá celebrarse con asistencia de un Notario u otro Ministro de Fe legalmente facultado, que certificará el hecho de haberse cumplido con todas las formalidades que establecen estos Estatutos para su reforma.-

Article 43.: Amendments of the bylaws shall be agreed at an Extraordinary General Assembly by 2/3 (two thirds) of the attending active members.-

The Assembly should be held with the assistance of a notary or other legally authorized attester, who shall certify the fact to have fulfilled all the formalities established by these statutes for its reform.-

DE LA DISOLUCIÓN DE LA CORPORACIÓN

SECTION 10
ON THE DISSOLUTION OF THE CORPORATION

Artículo cuadragésimo cuarto: La Corporación podrá disolverse voluntariamente por acuerdo de una Asamblea General Extraordinaria adoptada por los 2/3 (dos tercios) de los socios activos presentes, con las mismas formalidades establecidas en el artículo precedente.-

Aprobada la disolución voluntaria o decretada la disolución forzada de la Corporación, sus bienes pasarán a la Institución de bien común, sin fin de lucro, con personalidad jurídica, y con domicilio en el país, que la Asamblea General de disolución designe o que determine el Presidente de la República de Chile, en su caso.-

Article 44.: The Corporation may be dissolved voluntarily by agreement of an Extraordinary General Assembly adopted by 2/3 (two thirds) of the attending active members, with the formalities provided for in the preceding article .-

After the voluntary dissolution or the forcible dissolution of the Corporation has been approved, its assets shall pass to the non-profit institution of common good, with legal personality and established in the country, designated by the dissolving General Assembly or determined by the President of the Republic of Chile, where appropriate.-

DISPOSICIONES TRANSITORIAS

SECTION 11
TRANSITORY DISPOSITIONS

Artículo primero transitorio: El presente Estatuto entrará en vigencia tan pronto sea aprobado por la Asamblea Ordinaria.- Article 1. Transitory: The present bylaws shall enter into force immediately upon its approval by an Ordinary General Assembly.-
Artículo segundo transitorio: Durante los 2 (dos) primeros años de vigencia de la Corporación, no se exigirá para ser Director, el requisito de antigüedad prescrito en el artículo trigésimo de estos Estatutos. Article 2. Transitory: During the first 2 (two) years of the Corporation is in force, the age requirement to be Director prescribed in the Article 30 of these bylaws shall not be required.-
Artículo tercero transitorio: Facúltese a don ____________________________ para que proceda a protocolizar en una Notaría Pública de esta ciudad, el Acta de la Asamblea y los Estatutos aprobados.-

Se confiere poder amplio al abogado habilitado para el ejercicio de la profesión, don ____________________________ con domicilio en _________________________, para que solicite a la autoridad competente la concesión de personalidad jurídica para esta Corporación y la aprobación de estos Estatutos, facultándolo para aceptar las modificaciones que el Presidente de la República o los organismos correspondientes estimen necesarias o convenientes introducirles, y, en general, para realizar todas las actuaciones que fueren necesarias para la total legalización de esta Corporación, estando facultado para delegar este mandato por simple instrumento privado.-

Article 3. Transitory: Mr./Mrs. ____________________________ is empowered to proceed to formalize in a public notary in this city, the Act of the Assembly and the approved bylaws.-

It gives broad power to the attorney entitled to exercise the profession, Mr./Mrs. ____________________________ residing at _________________________, to request the competent authority to grant legal status to the Corporation and the adoption of these bylaws is empowered to accept the changes that the President of the Republic or the appropriate bodies deem necessary or desirable to introduce, and in general, to perform all actions that are necessary for the full legalization of the Corporation, with authority to delegate this simple mandate for private instrument.-
