Título I - Datos generales[edit]

Title I - General information[edit]

Artículo 1 - Denominación y nacionalidad[edit]

Con la denominación de Wikimedia México se constituye el día x de xxxxxxxx de 2011 una entidad de carácter civil, conocida bajo la normativa mexicana como asociación civil, sin fines de lucro, la cual fija su domicilio en la Ciudad de México, Distrito Federal, en los Estados Unidos Mexicanos. Dicho nombre irá seguido de la denominación "Asociación Civil" o de su abreviatura A.C.

La Asociación es mexicana, por tanto los asociados fundadores y los futuros que la Asociación pueda tener convienen en que: "Los socios extranjeros actuales o futuros de la Asociación, se obligan formalmente con la Secretaria de Relaciones Exteriores a considerarse como nacionales, respecto a las acciones de dicha asociación, que adquieran o que sean titulares, así como de los bienes, derechos, concesiones, participaciones o intereses de que sea titular la asociación, o bien de los derechos y obligaciones que deriven de los contratos en que sea parte la propia asociación con autoridades mexicanas, y a no invocar, por lo mismo, la protección de su Gobierno, bajo la pena en caso contrario, de perder en beneficio de la Nación las participaciones sociales que hubieren adquirido."

Lo anterior en términos de la fracción primera del artículo veintisiete constitucional, del artículo décimo quinto de la Ley de Inversión Extranjera y del artículo catorce del Reglamento de la Ley de Inversión Extranjera y del Registro Nacional de Inversiones Extranjeras.


Article 1 - Name[edit]

With the name of Wikimedia México, this association is formed on (date) as a non-profit civil organization, known under Mexican laws as a non- profit civil organization, based in Mexico City, Mexico. The name will must follow with the words "Asociación Civil" or acronym "A.C.".

The association is mexican, therefore the founder and future members agree on: "The current and future foreign members are formaly binded with the mexican Foreign Affairs Ministery to consider themselves as mexican nationals, either regarding stocks of the association which could get or title, properties, rights, dealerships, shares or interests of the association stocks which could get or title, or rights and duties from contracts wich the association suscribes with mexican authorities; and they will not invoke, for same reasons, their own goverment protection, under penalty of lossing their stocks at a profit to Mexico."

The previous clause is agreed with first paragraph of the article twenty seven of the mexican constitution, with the article fifteen of the foreing investment law and with the article fourteen of the reglament to the foreing investment law and with the national register of foreing investment.

Artículo 2 - Objeto social de la Asociación[edit]

La Asociación Civil tendrá por objeto:

1. La promoción y difusión de música, artes plásticas, artes dramáticas, danza, literatura, arquitectura y cinematografía, conforme a la Ley que crea al Instituto Nacional de Bellas Artes y Literatura, así como a la Ley Federal de Cinematografía y que se encuentren en el dominio público, libres de derecho de autor u otorgados por alguna licencia compatible con los requisitos señalados en el pnto 1.2 de este objeto social.
2. Contribuir activamente a la difusión, mejoramiento y progreso de la educación, de la cultura y del saber en sus formas virtuales, electrónicas, digitales y/o impresas que existan a la fecha y/o pudiesen surgir, tales como el desarrollo de enciclopedias, colecciones de citas, libros educativos y otras compilaciones de documentos; así como de difusión de información y de diversas bases de datos, centrándose en el idioma español y con expansión hacia las lenguas que se hablen en territorio mexicano, que:
2.1. Se encuentren disponibles gracias a las tecnologías de Internet y similares, siempre que: se encuentren disponibles los datos fuente (en el caso de que dichas obras sean el resultado de compilar o procesar otros contenidos), utilicen un formato libre (entendiéndose como tal aquel que puede ser implementado sin restricciones para su publicación, difusión y/o manejo por cualquier persona con base en especificaciones técnicas documentadas y a disposición pública, sin que la implementación y el uso estén limitados por el pago de regalías), y la disponibilidad de la obra no se encuentre restringida por medidas técnicas.
De esta manera, se incluyen en esta definición todas aquellas obras que dentro del ámbito nacional o internacional sean consideradas dentro del concepto de código abierto y software libre.
2.2. El contenido de dichas obras sea libre, ya sea por las condiciones de la licencia con la que fue otorgada o por las leyes derechos de autor. Se entiende por "obra libre" la que se publica con:
a. la libertad de usar y disfrutar de los beneficios que otorga la obra sin el cobro de una contraprestación económica por dicho uso.
b. la libertad de estudiar dichas obras y aplicar el conocimiento adquirido de ellas.
c. la libertad de hacer cambios, mejoras u obras derivadas.
d. la libertad de hacer y redistribuir copias, totales o parciales, de la obra original o sus derivadas.
Y con las obligaciones de:
a: hacer mención de los autores originales así como los que hayan contribuido a la obra derivada
b. liberar el producto resultante de esta bajo la misma licencia, sin algún tipo de restricción y/o condicionante propia, en beneficio de un tercero que afecte el trabajo derivado.
Igualmente se consideraran obras libres aquellas que conforme a las legislaciones nacionales o internaciones de derechos de autor se encuentren en el dominio público.
3. Promover y sostener directa o indirectamente los proyectos albergados por Wikimedia Foundation, Inc., entidad sin fines de lucro registrada en el Estado de Florida, Estados Unidos de América, y especialmente las aplicaciones, trasposiciones, explotaciones o traducciones en las lenguas que se hablan en territorio mexicano o conocimiento relacionado directamente con México. Se consideran proyectos de Wikimedia Foundation Inc. a los que aparecen listados en el sitio oficial http://www.wikimedia.org/ o el que lo sustituya en el futuro. A estos fines, la utilización de las marcas de Wikimedia Foundation Inc., será en cada caso objeto de un contrato específico entre Wikimedia Foundation Inc. y Wikimedia México.
4. La promoción y difusión de las artes y medios audiovisuales que se encuentren en el dominio público, libres de derecho de autor u otorgadas por alguna licencia compatible con los requisitos señalados en el punto 1.2 de este objeto social.
5. Reunir fondos y destinarlos a dichos propósitos. Para tal efecto, podrá solicitar donativos a personas físicas y morales y realizar campañas tendientes a obtenerlos. Igualmente, podrá solicitar apoyos, subsidios y/o otros beneficios económicos otorgados por los gobiernos federales, estatales o municipales.
6. Mantener relaciones e intercambio cultural con otras entidades nacionales o extranjeras, públicas o privadas.
7. Mantener relaciones con autoridades nacionales e internacionales.

Article 2 - Purpose of the association[edit]

The Association's goals are

1. To promote and spread the music, the plastic arts, the dramatic arts, the dance, the literature, the arquitecture and the cinematography, in accordance with the law that create the Instituto National de las Bellas Artes, and with the federal law of the cinematography, provided that they are under public domain, copyright free or under free license in accordance with paragraph 1.2 of this document.
2. To actively contribute to the promotion, development and progress of education, culture and knowledge through the formation and distribution of various projects such as: encyclopedias, in virtual, electronical, digital and/or in printed forms, currently in existence or created in the future, collections of quotes, educational books and other document compilations; the availability of information through diverse databases, all focusing on Spanish and other languages spoken in Mexico's territory, which:
2.1. Are available through the Internet or similar technologies, provided that: the original sources of information are available (for works resulting from the compilation or the processing of other works), and resulting works are made available in a freely available format (defined as those which can be implemented without restrictions for publication, distribution and modification by any third parties based on documented technical specifications available to the public and does not require the payment of royalties), and the availability of the work is not restricted by technical means.
Thus, included in this definition are all works created for use nationally or internationally as they are considered within the concept of open source and free software.
2.2. The content of those works is free under licensing conditions and/or applicable copyright law. In this context, “free” shall be understood as any work that entitles the user to the following rights:
a. freedom to use it and to enjoy the benefits of its use
b. freedom to study it and to apply the knowledge acquired from it
c. freedom to make changes and improvements to it
d. freedom to make and distribute copies, in full or in part, of the original work or derivations from the original
And the following obligations:
a. To mention the original authors or creators as well as the contributors o creators in the derivative work.
b. To release any derived work with the same license without new restrictions or conditions for the benefit of third parties.
Equally, works in the public domain under national and international copyright law are considered free as well.
3. To promote and support directly or indirectly projects hosted by the Wikimedia Foundation, Inc., a non-profit organization incorporated in the State of Florida, United States of America; especially applications, transpositions, developments or translations into the languages spoken in the country of Mexico or knowledge about this country. The projects of the Wikimedia Foundation, Inc. are those listed in the official site http://www.wikimedia.org/ or any other replacing it in the future. To these ends, the use of the registered trademarks owned by the Wikimedia Foundation, Inc., will be subject to a specific agreements between Wikimedia Foundation Inc. and Wikimedia México on a case-by-case basis.
4. To promote and to spread the arts and audiovisual media in public domain, copyright free or under a copyright license with the skills descriptend in 1.2.
5. To collect funds and devote them to the aforementioned goals. In order to do this, the asociation may request donations to individuals and corporations and campaigns designed to get them. Also, request support, subsidies and/or other economic benefits from federal, state or municipal goverments.
6. To maintain relationships and cultural exchange with other national or foreign, public or private organizations.
7. To maintain relationships with government authorities.

Artículo 3 - Delegaciones en el país[edit]

La Asociación podrá establecer delegaciones descentralizadas en cualquier lugar geográfico de los Estados Unidos Mexicanos. El establecimiento de una delegación deberá ser solicitado por socios activos residentes en el lugar donde se desea establecer la misma y dicha solicitud, conteniendo objetivos particulares y plan de trabajo, podrá ser autorizada de manera provisoria por el Consejo Directivo, que deberá informar de dicha circunstancia a la siguiente Asamblea Ordinaria para su aprobación definitiva.

Article 3 - Sub-chapters within the country[edit]

The Association may establish sub-chapters anywhere within the country of Mexico. The establishment of a sub-chapter must be solicited by an active member who is a resident of the requested location. This request, containing specific goals and work plan, may be authorized on a provisional basis by the Board of Trustees, who must report such to the next Ordinary Assembly for final approval.

Artículo 4 - Capacidades de la Asociación[edit]

Para el cumplimiento de su objeto social la Asociación estará capacitada para

1. Adquirir, enajenar y gravar toda clase de bienes, muebles o inmuebles, semovientes, títulos, valores; ejercer derechos y contraer obligaciones, así como para realizar operaciones con cualquier institución bancaria o financiera, pública o privada, nacional o internacional, siempre y cuando estas actividades estén relacionadas con su objeto social o tendientes a realizarlo.
2. Gestionar el apoyo de las autoridades u organismos internacionales, federales, estatales, municipales, universitarias o privados necesarios para la consecución de los fines.
3. Asociarse, contratar u obligarse con otras instituciones privadas, sociedades o asociaciones que le permitan realizar su objeto social.
4. Reunir, adquirir y obtener instrumentos destinados a sus fines específicos.
5. Solicitar y recibir donaciones venidas de personas físicas o jurídicas, o de instituciones públicas o privadas, así como organizar campañas de recolección de los fondos necesarios para llevar a cabo sus objetivos
6. Contratar y emplear personal profesional, técnico o administrativo.
7. Conferir toda clase de mandatos
8. La organización de cursos, seminarios, pláticas o cualquier evento similar relacionados con su objeto social.
9. Celebrar convenios de colaboración con entidades públicas y privadas, nacionales e internacionales para el cumplimiento de su objeto social.

Para efectos de cumplir con el objeto social la asociación civil, podrá realizar todos los actos y actividades que sean necesarios para la subsistencia de la misma y el cumplimiento de los fines para los que se constituye.

La Asociación Civil no persigue fines de lucro y las actividades que tendrán como finalidad primordial el cumplimiento de su objeto social, por lo que no podrá intervenir en campañas políticas ni en actividades de propaganda o destinadas a influir en la legislación; no se considera que influye en la legislación la publicación de un análisis o de una investigación que no tenga carácter proselitista o la asistencia técnica a un órgano gubernamental que lo hubiere solicitado por escrito.



Article 4 - Legal powers of the Association[edit]

The association has the following legal powers:

1. Obtain, transfer and mortgage all kind of goods, properties, real estate, livestock, stock titles and other valuables; to execute rights and acquire obligations, as well as to perform operations with any banking or financial institution, public or private, national or international, only when such activities are related to the Association's objectives and by those designated by the Association to do so.
2. Negotiate support from international, national, provincial, municipal, university or private organizations or authorities in order to achieve its goals.
3. Associate, engage and contract with other private institutions, associations or societies which will work to achieve Association goals.
4. Gather, acquire and obtain legal instruments destined to its specific goals.
5. Request and receive donations from individuals or legal entities, public or private ; arrange fundraising campaigns in order to finance Association goals.
6. Contract and employ professional, technical and administrative personnel.
7. Authorize all kind of powers and proxy holders.
8. Organize curses, seminars, talks or any similar event relating with its goals.
9. Be in colaborating agreements with public and private, national or international organizations relating with its goals.

Designed to get association goals, it will can to execute all needed acts or activities, so support it and fulfill its goals for which it is made.

This Civil Association doesn't follow profit goals and its activities will have as principal aim the fulfillment its social goals. For this reason the association will not can to take part neither in politics, or propaganda or activites designed to influence in legislation. It will not taked as influence in legislation, neither publish non-proselytizing analysis or investigations, or technical assistance to a public institution who has requested it by writing.

Artículo 5 - Conformación del patrimonio social[edit]

El patrimonio social se conformará

1. De las cuotas que abonen los asociados, y las contribuciones extraordinarias que pudiesen resolverse en Asamblea.
2. De los bienes que adquiera en lo sucesivo por cualquier título, así como las rentas que los mismos produzcan.
3. De las donaciones, herencias, subvenciones o legados que se acuerden.
4. De los apoyos o estímulos que reciba.
5. Del producto de cualquier otro concepto que la ley permita.

Article 5 - Composition of the association assets[edit]

The association's assets will be the result of the sum of

1. Membership fees, and extraordinary donations that may be required by vote of the Assembly.
2. The goods that might be acquired in the future by any title, as well as the rent they might produce.
3. Donations, inheritances, grants or other legacies that might be accepted.
4. Subventions or incentives granted.
5. The product of any other concept permitted by law.

Artículo 6 - Destino de los fondos sociales[edit]

El patrimonio de la organización, se destinará exclusivamente a los fines propios de su objeto social, no pudiendo otorgar beneficios sobre el remanente distribuible a persona física alguna o a sus integrantes personas físicas o morales, salvo que se trate, en este último caso de alguna persona moral autorizada para recibir donativos deducibles en términos de la Ley del Impuesto sobre la Renta o se trate de la remuneración de servicios efectivamente recibidos. Lo estipulado en la presente disposición es de carácter irrevocable.

Article 6 - Destination of the association's funds[edit]

The association's funds will be used exclusively for the attainment of association goals and administrative expenses. It will not can grant benefits over remainders to any person or association, except those authorized to get deductible donations of the Impuesto sobre la Renta or in the case of remuneration for rendered services. This clause is irrevocable.

Título II - De los asociados[edit]

Title II - Membership[edit]

Artículo 7 - Admisión de socios[edit]

Los asociados son los sujetos que voluntariamente se adhieren a la Asociación y comparten con ella su filosofía, objeto y propósitos. Para ser admitido como socio los aspirantes deberán: Presentar una solicitud oficializada, firmada por el peticionante, consignando los siguientes datos:

1. Nombre completo
2. Fecha de nacimiento
3. Domicilio
4. Copia de la Credencial para Votar con fotografía (vigente) u otra identificación oficial vigente. Para el caso de las personas no mexicanas bastará con el pasaporte de su país natal.
5. Correo electrónico.

Los nombres y apellidos de todo aspirante a socio estarán disponibles para su consulta por los restantes socios en lugar designado por el Consejo Directivo por un plazo no menor de 30 (treinta) días, a fin de que puedan ser impugnadas por cualquier asociado si el solicitante no reuniera las condiciones expresadas en el presente artículo en cualquiera de sus partes, o careciera de las condiciones éticas necesarias.

El Consejo Directivo, después de haber sido planteada la solicitud, considerará la misma en base a los trámites y las impugnaciones que se hubiesen formulado. El Consejo Directivo podrá solicitar a los aspirantes otros datos no establecidos en la solicitud o exentar de alguno de ellos en los casos que señale el reglamento respectivo. El Consejo directivo resolverá la admisión o rechazo del aspirante en la siguiente reunión del Consejo Directivo.

En el caso de ser rechazado, el aspirante podrá reiterar su solicitud en la próxima reunión de Asamblea Ordinaria, pudiendo esta solicitud ser aprobada por mayoría simple.

La calidad de asociado socio es intransferible.

Article 7 - Member admission[edit]

Members are those individuals who voluntarily join the organization and share its philosophy, goals and purposes. In order to be admitted as a member, the applicant shall:

Present an official application form, signed by the petitioner and complete with the following information:

  1. Surname(s) and first name(s)
  2. Date of birth
  3. Address
  4. Photocopy of of official voting identification issued by the Mexican Federal Electoral Institute (Spanish: Instituto Federal Electoral, IFE) or passport of native country if not a Mexican citizen.
  5. E-mail address

The name(s) and surname(s) of every applicant will be accessible for the other members to consult at a location to be determined by the Board of Trustees for a period of not less than 30 (thirty) days, in order to enable the application to be challenged by any member in case that the applicant does not meet the conditions required by this article, or lacks the necessary ethical considerations.

Once the application is submitted, the Board of Trustees shall consider it according to the formal procedures including any possible challenges. The Board of Trustees is entitled to request from applicants information beyond that established in the application form, and rule on the applicant's admission or rejection during its next meeting.

In case of rejection, the applicant may resubmit the application during the next Ordinary Assembly meeting. The Assembly may approve the application by simple majority.

The membershio is nontransferable.

Artículo 8 - Composición de la Asociación[edit]

La Asociación estará compuesta por

1. Socios activos.
2. Socios honorarios.
3. Socios adherentes.
4. Socios cadetes.

La Asociación llevará un libro de registro de socios en el cual se inscribirán el nombre y el domicilio de cada uno, con indicación de sus aportaciones, en su caso. Este libro estará al cuidado del consejo directivo, que responderán de su existencia y de la exactitud de sus datos.

Article 8 - Composition of the Association[edit]

The members of the Association shall belong to one of the following categories:

1. Active members
2. Honorary members
3. Adjunct members
4. Junior members

The association will have a members' register book, on which will be registered every member name, address and, as appropriate, his fees. This book will be in Board care, which will be responsible of its existence and information accuracy.

Artículo 9 - Categorías de socios[edit]

1. Serán socios activos los que, teniendo al momento de ingreso de la solicitud mayoría de edad, fueren aceptados por el Consejo Directivo y se encuentren registrados con nombre de usuario en al menos un proyecto de Wikimedia Foundation Inc., habiendo realizado contribuciones utilizando dicho nombre de usuario, con la única excepción del supuesto considerado en el inciso siguiente.
2. El Consejo Directivo, siempre que no hubiera objeciones por parte de ninguno de sus integrantes, podrá designar como socios honorarios a las personas que, por su trayectoria en defensa y promoción de la cultura y el conocimiento libre, fueran propuestas a la misma por solicitud de al menos dos socios activos. Los socios honorarios están exceptuados de abonar la cuota social. Los socios honorarios que deseen tener los mismos derechos que los socios activos deberán solicitar su admisión en esa categoría, a cuyo efecto se ajustarán a las condiciones que el presente Estatuto exige para el ingreso a la misma, exceptuando la condición de colaboradores activos de al menos un proyecto de Wikimedia Foundation, Inc.
3. Serán socios adherentes los que fueren aceptados por el Consejo Directivo reuniendo las exigencias del artículo séptimo del presente estatuto, pero no se desempeñen como colaboradores activos de ningún proyecto de Wikimedia Foundation, Inc.
4. Serán socios cadetes aquellos aspirantes que no lleguen a la mayoría de edad al momento de solicitar su ingreso como asociado, pasando automáticamente a la categoría de socio activo o socio adherente según correspondiera, al momento de alcanzar la mayoría de edad. Estos deberán presentar copia de su acta de nacimiento, así como autorización de su padre o tutor.

Todos los socios que, sin importar su categoría, se encontraran presentes en la Asamblea Constitutiva, serán considerados socios fundadores, sin que esta denominación les otorgue privilegio alguno. El primer Consejo Directivo deberá confeccionar un diploma individual donde conste esta circunstancia.

Article 9 - Member categories[edit]

1. Active members shall be those who apply for said category, are of legal age by the time their application is submitted to the Board, have registered a username in at least one project of the Wikimedia Foundation, having made contributions to it with this username, with the sole exception of the case considered in the paragraph which immediately follows.
2. The Board may unanimously name any person as Honorary member because of his/her merits in the defense or promotion of free knowledge and culture, upon the nomination of the individual by at least two active members. Honorary members are excepted from payment of dues. The honorary members who wish to have the same rights that the active members may apply for their admission in that category, needing to fulfill the conditions that these Articles of Association require for active members, except for the condition of being an active contributor to at least one Wikimedia Foundation project.
3. An Adjunct member shall be any person applying for such category, accepted by the Board, fulfilling the requirements of the article 7 of these Articles of Association, who is not an active contributor to any Wikimedia Foundation project.
4. A Junior member shall be any person applying to such category, who has not yet come of legal age at the time of the application. They will be automatically promoted to the category of active member or adjunct member when of age. These applicants must present a copy of their birth certificate, along with written permission of their parent(s) or guardian(s).

All members regardless of their category, present at the Constituent Assembly, will be considered founding members. This denomination shall not grant any additional privilege. The first Board will issue certificates to each founding member to document this circumstance.

Artículo 10 - Capacidades de voz y voto de los socios[edit]

Los socios activos tienen voz y voto, y están capacitados para ocupar cargos de la Asociación. Los socios honorarios, adherentes y cadetes tienen voz pero no tienen voto, ni pueden ocupar cargos electivos.

Article 10 - Members' right to speak and to vote[edit]

Active members have both right to speak and vote, and are qualified to hold positions in the Association's Board. Honorary, adjunct and junior members have the right to speak but not to vote, and do not qualify to hold any elected position.

Artículo 11 - Obligaciones y derechos de los socios[edit]

Son obligaciones de los socios

1. Llenar la ficha de afiliación, sin falsear los datos que allí se enumeran.
2. Fijar domicilio y dar cuenta de su cambio.
3. Abonar puntualmente las cuotas que fije la Asamblea Ordinaria.
4. En caso de renuncia, presentar la misma por escrito, debiendo hallarse al día en sus pagos.
5. Respetar y cumplir estos estatutos, los reglamentos y disposiciones de la Asamblea de Asociados o del Consejo Directivo.
6. Informar por escrito al Consejo Directivo cualquier condición que se produjera y que le inhabilitara para continuar siendo socio.

Son derechos de los socios

1. Presentar por escrito al Consejo Directivo ideas y proyectos de utilidad que encuadren dentro de los fines de la Asociación.
2. Asistir a las reuniones del Consejo Directivo.
3. Asistir a las asambleas, deliberar, votar en las mismas, elegir y ser elegido para directivos, con las limitaciones fijadas por este Estatuto.
4. Cuando un socio, en ejercicio del derecho que le concede el artículo 2683 del Código Civil Federal, desee examinar los libros de contabilidad y demás documentos de la Asociación, deberá formular por escrito la solicitud correspondiente al Consejo Directivo.
5. Tener libre acceso a las dependencias de la institución, si las hubiere; y uso y goce de los beneficios que se acuerdan en este Estatuto.

Article 11 - Obligations and rights of members[edit]

Obligations of members are:

1. To file an application form completely and truthfully.
2. To give an address and notify of any changes.
3. To pay dues established by the Assembly.
4. In case of resignation, to submit same in writing after settling any debt with the Association.
5. To respect and comply with these Articles of Association, and any regulations and dispositions established by the Assembly or the Board.
6. To inform in writing to the Board of any change in that would prevent him/her from retaining his/her membership in the Association.

Rights of the members are:

1. To submit ideas and projects to the Board of Directors that conform to the goals of the Association.
2. To attend the meetings of the Board of Directors.
3. To attend general assemblies, as well as to deliberate, to vote, to elect and to be elected for Board's positions within the limitations determined by these Articles of Association.
4. When a member wants to examine the accounts and other documents of the organization, exercising the right granted by Article 2683 of the Mexico's Federal Civil Law, he/she should made a written request to the Board.
5. To have free access to the premises of the Association, if any; and to use and enjoy the benefits that are set in these Articles of Association.

Artículo 12 - Cesantía o suspensión de los socios[edit]

El Consejo Directivo, con el voto de las dos terceras partes de sus miembros, podrá declarar cesante, suspender o expulsar al socio cuya conducta afectare gravemente los intereses sociales, las disposiciones de los estatutos o entorpezca las resoluciones y funciones del Consejo Directivo. El afectado será citado a prestar descargo de la resolución dictada, salvo cuando sea por falta de pago de las cuotas sociales. El socio podrá apelar dentro de los 30 (treinta) días de haber sido notificado fehacientemente. La apelación será tratada en la primera Asamblea General Ordinaria a realizarse, la que decidirá definitivamente sobre su situación. Hasta tanto la Asamblea no se pronuncie, quedarán suspendidos sus derechos de socio. Las causas de expulsión son taxativamente enumeradas a continuación:

1. Falta de cumplimiento de las obligaciones impuestas por el Estatuto.
2. Por comisión de hechos fraudulentos o dolosos contra la asociación.
3. Por incapacidad declarada judicialmente.
4. Observar una conducta contraria a la ética, a la moral o a las buenas costumbres.
5. Haber cometido actos graves de deshonestidad, engañando o tratando de engañar a la Asociación para obtener un beneficio económico a costa de ello.
6. Hacer voluntariamente daño a la imagen de la Asociación, provocar desórdenes graves en su seno, observar una conducta notoriamente perjudicial a los intereses de la Asociación.
7. Haber perdido las condiciones requeridas en este Estatuto para ser asociado.
8. En el supuesto del artículo 13, que será resuelto por el Consejo Directivo.

Article 12 - Suspension and expulsion of members[edit]

The Board of Directors, with the vote of two thirds of its members, can terminate, suspend or expel a member whose conduct severely affects the interests of the association, the dispositions of the Articles of Association or hinder the resolutions and functions of the Board.

Such member will be submitted for termination or suspension through the said vote, except for those failing to pay dues. The member can appeal within 30 (thirty) days after being duly notified.

The appeal will be considered at the first Ordinary General Assembly to be convened after appeal, in which the matter will be ultimately decided. Until that final resolution, his/her membership rights will be suspended. The causes of expulsion are fully enumerated below:

  1. Failure to fulfill the obligations enumerated by the Articles of Association.
  2. Commit fraudulent acts against association.
  3. Declaring legal disability.
  4. To present conduct contrary to ethics, morals and good manners.
  5. To have performed seriously dishonest acts, deceived or attempted to deceive the Association to obtain an economic benefit from it.
  6. To voluntarily compromise the Association's image, provoke serious disturbances in within it, to present conduct that can seriously prejudice interests of the Association.
  7. To have lost the conditions required in these Articles of Association to be a member.
  8. To be in the situation described in Article 13, which will be resolved by the Board.

Artículo 13 - Expulsión por morosidad[edit]

El socio que adeudare un importe equivalente a 2 (dos) cuotas será suspendido por resolución del Consejo Directivo, y será invitado a regularizar su situación, perdiendo mientras tanto el derecho a votar y ser votado si correspondiera. El socio que ha sido suspendido y que no regularice su situación dentro del término de 6 (seis) meses o que llegue a adeudar un importe equivalente a 4 (cuatro) cuotas será declarado expulsado por resolución del Consejo Directivo, previa intimación por carta certificada, invitándolo a efectuar el pago dentro de los 30 (treinta) días de notificado. Podrá reincorporarse por una sola vez abonando el importe de su deuda, más los gastos que demande su gestión.

Article 13 - Member's expulsion because of debts[edit]

A member who is behind in membership fees by 2 (two) payments will be invited to correct his/her situation. In the meantime, his/her membership is suspended, losing the right to vote or be elected to office. A suspended member who does not fix the situation within 6 (six) months or is behind by 4 (four) payments will be declared expelled from by Board's resolution, after being contacted by registered letter inviting the member to pay off within 30 (thirty) days from the notification. The member will be able to restore his/her membership only once, paying the full amount of the back payments and any expenses associated with its collection.

Artículo 14 - De las cuotas sociales[edit]

La Asamblea General Ordinaria fijará, a propuesta del Consejo Directivo, el monto de la cuota social que deban abonar los socios y su forma de recaudación; siendo las cuotas semestrales, con excepción de las que, por casos extraordinarios y para hacer frente a gastos de la Asociación, se fijen en una Asamblea Extraordinaria. Si, por circunstancias particulares, un asociado se encontrara en dificultades para afrontar dicho pago, podrá solicitar al Consejo Directivo la exención de esta obligación, durante un plazo máximo de 12 (doce) meses, pudiendo volver a solicitarlo si sus dificultades continúan, y comprometiéndose a comunicar de inmediato si dichas circunstancias se modificaran. El Consejo Directivo deberá resolver el pedido en la reunión inmediata posterior a la recepción de la solicitud.

En caso de fallecimiento de alguno de los asociados la Asociación continuará con los sobrevivientes. Los herederos o legatarios no tendrán derecho a la devolución de las aportaciones realizadas por el socio fallecido.

En ningún caso, los asociados tendrán derecho a recuperar sus cuotas sociales.

Article 14 - Membership fee[edit]

The Ordinary General Assembly will determine, after receiving a proposal from the Board of Trustees, an amount and collection method for required membership dues payable every six months. Any special fees, such as those needed to deal with extraordinary circumstances or expenses of the Association, will be determined by an "Extraordinary Assembly". If a member cannot pay his/her dues due to extenuating circumstances, he/she may to request to be excused of this obligation by the Board of Trustees for a maximum term of 12 (twelve) months at a time. He/she may request such again if his/her difficulties continue, and committing himself/herself to communicate immediately if these circumstances change. The Board of Trustees must decide on the granting of this request at the meeting immediately following it receipt.

On the death of a member, the Association will continue with survivors. The heirs or legatees are not entitled to a refund of contributions made by the deceased member.

In any case, the partners shall not be entitled to recover their dues.

Título III - De la Asamblea[edit]

Artículo 15 - Asambleas Ordinarias[edit]

Las Asambleas Ordinarias se realizarán anualmente en el local que el Consejo Directivo designe al efecto, dentro de los tres meses posteriores al cierre del ejercicio con objeto de:

1. Discutir, aprobar o rechazar o modificar la Memoria, Balance General, Inventario, Cuenta de Gastos y Recursos, e Informe de la Comisión Revisora de Cuentas del ejercicio social, que termina el día 30 de junio de cada año.
2. Elegir, en su caso, los miembros de los órganos sociales, titulares y suplentes;
3. Fijar la cuota social y determinar las pautas para su modificación, las que serán instrumentadas por el Consejo Directivo;
4. Tratar cualquier otro asunto incluido en el Orden del Día;
5. Tratar los asuntos propuestos por un mínimo del 5% (cinco por ciento) de los socios y presentados al Consejo Directivo dentro de los 30 (treinta) días de cerrado el ejercicio anual.
6. Aprobar y modificar el Reglamento de la Asociación.

Article 15 - Ordinary Assemblies[edit]

Ordinary Assemblies will be convened annually at the location indicated by the Board for this purpose, within three months before the close of the business cycle with the following purposes:

  1. To discuss, approve, reject, or modify the Annual Report, Annual Accounting, Inventory, Expense Accounts and Resources, and the Report of the Audit Commission for each business cycle, which finish on June 30th of each year.
  2. To elect officers, deputies and other association authorities.
  3. To set the membership fee and to decide on guidelines to modify it, which will be carried out by the Board of Directors.
  4. To discuss any other proposed subject in the agenda.
  5. To deliberate on any topic proposed by a minimum of 5% (five per cent) of the total number of active members, and presented to the Board of Directors within 30 (thirty) days after the closing of the business cycle.
  6. To approve and modify the reglament of association.

Artículo 16 - Asambleas Extraordinarias[edit]

Las Asambleas Extraordinarias serán convocadas, siempre que el Consejo Directivo lo estime necesario, o cuando lo solicite la Comisión Revisora de Cuentas o el 10% de los socios con derecho a voto, siempre y cuando esta cantidad supere al número de miembros del Consejo Directivo. Estos pedidos deberán ser resueltos dentro de un término de 10 (diez) días y si no se tomase en consideración la solicitud o se denegare inmediatamente, a juicio de Notario Público se procederá conforme lo determina el (Art. 2670) del Código Civil Federal vigente para los Estados Unidos Mexicanos o la norma que en el futuro la reemplace.

Article 16 - Extraordinary Assemblies[edit]

Extraordinary Assemblies shall be convened when the Board of Trustees deems them necessary, or when the Audit Commission requests them. They can also be convened when 10% of the membership with right to vote requests them, as long as this quantity surpasses the number of members in the Board of Trustees. Such requests should be resolved within a period of 10 (ten) days. If the request is not addressed or is denied immediately, a notary public can intervene according to Article 2670 of the Federal Civil Code of the United Mexican States, or any norm that replaces it in the future.

Artículo 17 - Asuntos a tratar en las Asambleas[edit]

En las Asambleas no podrán tratarse asuntos que no estén en el orden del día. Los temas a tratarse y las fechas y horas de la convocatoria se harán conocer a los socios por circulares remitidas al domicilio del socio o mediante correo electrónico, con 10 (diez) días de anticipación, por lo menos, a las cuales se acompañará copia de la documentación a considerar. Se notificará por los medios que disponga el reglamento.

Article 17 - Matters to be addressed at Assemblies[edit]

At Assemblies only the matters in the agenda shall be discussed. The subjects to be discussed, along with the date and time of the assembly will be communicated to members by a letter sent to the members' addresses or e-mail at least 10 (ten) days in advance, contained in which will a copy of the documentation to review at minimum. The notification will be done through the channels defined in the complementary regulations.

Artículo 18 - Celebración de Asambleas[edit]

Las Asambleas se celebrarán en los días y horarios fijados, siempre que se hallen presentes la mitad más uno del total de los asociados activos con derecho a voto. Se celebrarán válidamente, aun en los casos de reforma del Estatuto, cuando se encuentre presente el 10% de los socios con derecho a voto, siempre y cuando, esta cantidad supere al número de miembros del Consejo Directivo, transcurrida media hora después de la establecida en la convocatoria. Los socios con derecho a voto ausentes podrán expresar su voto a la Asamblea, siempre y cuando no hayan dejado de concurrir a dos asambleas consecutivas, ya sea:

1. A través de carta certificada, dirigida al Presidente de la Asociación, a doble sobre, y que fuera recepcionada antes de la fecha de la Asamblea, cuando el asociado se encuentre fuera de la jurisdicción.
2. A través de un poder, excepto para actos de elección de autoridades.

Article 18 - Commencement of Assemblies[edit]

The Assemblies will be held on scheduled days and times, if a quorum of one-half plus one of the active members are present at the start time. They will also be held in a valid manner, even in cases of the reform of the Articles of Association, if 10% of active members are present, if this quantity exceeds the number of members of the Board, and if a half an hour (thirty minutes) after of the established starting time has passed.

The absent active members will be able to express their votes to the Assembly, as long as they have not missed two consecutive previous Assemblies, by the following means:

1. Through a registered letter addressed to the President of the Association, in double envelope, and having been received before the Assembly's date, when the member is out of the jurisdiction.
2. Through power-of-attorney, except in the act of election of authorities.

Artículo 19 - Impedimentos para tomar parte de la Asamblea[edit]

No podrán tomar parte de las Asambleas los asociados que adeudaran a la fecha de la realización 2 (dos) o más cuotas sociales. Los excluidos por morosidad podrán regularizar su situación con la Tesorería hasta el momento de iniciarse las deliberaciones.

Article 19 - Impediments to taking part in the Assembly[edit]

Members who are behind in due by 2 (two) payments or more cannot take part in the Assemblies. Members excluded because of debt can correct their status with the Treasury up to the moment before the start of deliberations.

Artículo 20 - Adopción de resoluciones[edit]

Todas las resoluciones se adoptarán por mayoría absoluta de votos, siendo esta obligatorias para todos los socios, no obstante su ausencia a las asambleas. Ninguna resolución podrá ser reconsiderada sino a solicitud y con la aprobación de las dos terceras partes de los votos. Los miembros del Consejo Directivo no podrán votar en asuntos relacionados con su propia gestión, esto aplicará igualmente para la Comisión Revisora de Cuentas.

Article 20 - Adoption of resolutions[edit]

All resolutions will be adopted by simple majority of votes, with such resolutions then binding on all members. No resolution can be subject of reconsideration except at request and with the approval of two third of the votes. The members of the Board of Trustees are not entitled to vote in matters related to their own management, the same apply to the Audit Commission.

Puesto a votación el asunto, si resultara empatado se reabrirá su discusión. Si en la segunda votación se repitiera el empate, el presidente decidirá con su voto.

Article 21 - Resolution voting that results in a tie[edit]

In case voting on a matter results in a tie, the discussion will be reopened. If in the second voting the tie remains, the President will have the deciding vote.

Artículo 22 - Intervención del Presidente al debate[edit]

El Presidente podrá intervenir en los debates delegando la presidencia en la persona que corresponda sustituirlo y sólo tiene voto en caso de doble empate.

Article 22 - Participation of the President in debates[edit]

The President may take part in debates, if he/she delegates the presidency in the corresponding deputy. This deputy will have the vote in case of a double tie.

Artículo 23 - Suscripción y aprobación del acta[edit]

Las asambleas designarán a dos de los socios presentes para suscribir y aprobar, en nombre de la misma, el acta respectiva que firmarán conjuntamente con el Presidente y el Secretario.

Article 23 - Accreditation and approval of the act[edit]

The assemblies will designate two of the participating members to accredit and to approve the respective act in name of the assembly, which they should sign together with the President and the Secretary.

Artículo 24 - Del Consejo Directivo[edit]

El Consejo Directivo es el órgano de gestión y representación de la Asociación por delegación de la Asamblea General, y estará formada por un Presidente, un Vicepresidente, un Secretario, un Tesorero y un número de vocales no inferior a tres y no mayor a cinco. Estos cargos no serán acumulables en una misma persona y su mandato durará hasta la celebración de la tercera Asamblea General Ordinaria siguiente a aquella en la que fueron elegidos, aunque podrán ser reelegidos un número indefinido de veces.

Las vacantes en cualquiera de los cargos de la Junta Directiva que se pudieran producir durante el mandato de ésta serán cubiertas provisionalmente por los miembros de la misma, o por una persona designada interinamente por el Consejo Directivo, que deberá ser confirmada en su puesto por la siguiente Asamblea General.

Article 24 - Definition of the Board of Trustees[edit]

The Board of Trustees is the administrative and representative board for the association, with powers delegated to to by that Assembly. It consists of a President, a Vice-president, a Secretary, a Treasurer and other officers which will number no less than three and no more than five. Multiple offices will not be held by the same person. Board members' terms will last until the third Ordinary General Assembly after they were first elected. Board members can be reelected an indefinite number of times.

Vacancies in any office of the Board of Directors which may occur during a term, will be covered provisionally by the other members of the Board or by a person designated for this purpose by the Board on an interim basis. This person must be confirmed by the next General Assembly.

Artículo 25 - Elección del Consejo Directivo[edit]

Los miembros del Consejo Directivo serán elegidos individualmente por la Asamblea General Ordinaria mediante el voto directo de los asociados en condiciones de votar. Para los puestos de Presidente, Vicepresidente, Secretario y Tesorero será necesaria mayoría absoluta en la votación. Para los restantes puestos bastará con mayoría simple.

Si en una segunda votación ninguno de los candidatos a alguno de los puestos que requieren mayoría absoluta alcanza el número de votos necesario podrá autorizarse su elección mediante mayoría simple. Si tras cinco votaciones ninguno de los candidatos es elegido el Presidente tendrá voto de calidad para designar a una persona entre los candidatos con mayor número de votos.

De la misma manera se procederá con la elección de los miembros de la Comisión Revisora de Cuentas.

Article 25 - Election of the Board of Trustees[edit]

The members of the Board of Trustees will be chosen individually by the Ordinary General Assembly by means of the direct vote of the members who have this right. Election to President, Vice President, Secretary and Treasurer positions require a majority of over 50% for any candidate. For the remaining positions, the largest percentage of votes (over or under 50% of the total) will suffice.

If none of the candidates for any of the positions that require an absolute majority reaches the required number of votes during a second round of balloting, the election may be decided by whoever wins the most votes. If after five rounds of balloting none of the candidates is elected, the President will have a casting vote to appoint a person among the candidates with most votes.

The election of the members of the Association's Audit Commission shall proceed in the same way.

Artículo 26 - Requisitos para ser miembro del Consejo Directivo[edit]

Para ser miembro del Consejo Directivo se requiere ser socio activo, mayor de edad, estar al corriente en sus cuotas y tener una antigüedad de 1 (un) año como mínimo como asociado.

El presente artículo no aplicará para la elección del primer consejo tras constitución de la asociación salvo lo referente a la mayoría de edad.

Article 26 - Board of Trustee's membership requirements[edit]

To be a member of the Board of Trustees, it is necessary to have been an active member of the association for at least one year be of legal age and be current on all dues owed to the Association.

This article will not to apply for the first Board election before the partnership creation except regarding age.

Artículo 27 - Sesiones del Consejo Directivo[edit]

El Consejo Directivo tendrá la obligación de reunirse en sesión ordinaria al menos 1 (una) vez al mes en el lugar, fecha y hora fijados por la primera reunión del período, y en sesión extraordinaria cuando lo juzgue conveniente, bastando para ello la resolución del presidente o la petición por escrito de cuatro de sus miembros, debiendo en este caso ser convocada por el secretario en el plazo máximo de 7 (siete) días corridos.

Article 27 - Board sessions[edit]

The Board of Trustees will have the obligation of holding ordinary meetings at least once monthly at the location, date and hour determined in the first meeting of the term. It may meet in extraordinary sessions when considered appropriate through a resolution of the President or at the written request of four of its members. In either case, the secretary must convene it in no more than 7 (seven) days.

Artículo 28 - Limitaciones en las sesiones del Consejo Directivo[edit]

En las sesiones del Consejo Directivo sólo podrá tomarse resoluciones sobre temas presentados en el orden del día.

Article 28 - Limitations of the Board's sessions[edit]

Sessions of the Board of Trustees may only resolve matters defined on the agenda.

Artículo 29 - Requisitos para la deliberación del Consejo Directivo[edit]

El Consejo Directivo deliberará con un quórum de la mayoría absoluta de sus miembros. Sus resoluciones serán válidas y aprobadas por mayoría absoluta de votos presentes. A ese efecto cada miembro tendrá un voto. En caso de empate el presidente tendrá voto doble.

Article 29 - Requirements for Board deliberations[edit]

The Board of Trustees will deliberate with a quorum of a simple majority of its members. Its resolutions will be valid with a simple majority of votes of those members present. To that effect, each member will have one vote. In case of tie the President will have a double vote.

Artículo 30 - Reconsideración de resoluciones[edit]

Ninguna resolución será reconsiderada sino a petición y aprobación de un número de miembros equivalente por lo menos a las tres cuartas partes de los presentes, o dos tercios de los que se hallaban presentes en el acto en que se dictó la resolución.

Article 30 - Reconsideration of resolutions[edit]

No resolution will be reconsidered except by request and approval three-quarters of members present, or two thirds of the number of members present when the resolution was first adopted.

Artículo 31 - Pérdida de grado en el Consejo Directivo[edit]

Todos los miembros del Consejo Directivo que faltaren sin causa justificada a tres reuniones ordinarias consecutivas o a tres extraordinarias consecutivas o no, perderá el carácter de tal, debiendo comunicársele dicha separación por escrito. De inmediato el Consejo se integrará designando en su lugar los suplentes respectivos.

Article 31 - Loss of standing by members of the board[edit]

All the members of the Board of Trustees who miss without justification three consecutive ordinary meetings or three extraordinary meetings (consecutive or not), will lose their standing as members of the Board, and shall be informed of this determination in writing. The Board will immediately convene to designate their replacements.

Artículo 32 - Suspensión de miembro del Consejo Directivo[edit]

El Consejo Directivo podrá suspender a cualquiera de sus miembros por faltas cometidas en el desempeño de sus funciones. Se requerirá el voto de los dos tercios de sus componentes y los antecedentes serán pasados a la próxima asamblea para que ratifique esa resolución.

Article 32 - Suspension of member of the Board[edit]

The Board of Trustees may suspend any of its members after failure to exercise his/her functions adequately. The vote of two-thirds of the Board's members will be required, and the complaint will be passed to the next assembly to confirm that resolution.

Artículo 33 - Elecciones extraordinarias por falta de miembros en el Consejo Directivo[edit]

Cuando, por cualquier causa, el número de miembros del Consejo Directivo quede reducido a menos de la mayoría absoluta, deberá convocarse a elecciones por la asamblea general de asociados, en término de 7 (siete) días.

Article 33 - Extraordinary elections by lack of members in the Board[edit]

When, for any reason, the number of members of the Board of Trustees is reduced to less than the majority of available positions, elections will be summoned by the General Assembly, within 7 (seven) days.

Artículo 34 - Deberes y atribuciones del Consejo Directivo[edit]

Son deberes y atribuciones del Consejo Directivo

1. Cumplir estos estatutos, los reglamentos, las resoluciones de la asamblea y las suyas propias.
2. Administrar el patrimonio de la Asociación.
3. Convocar a asamblea.
4. El Consejo Directivo está facultado para reglamentar la distribución y destino de los fondos.
5. Nombrar y renovar el personal y fijar su remuneración.
6. Llevar los libros de administración y de contabilidad requeridos por la ley y los que la Asociación estime convenientes y necesarios para su desenvolvimiento.
7. Confeccionar la memoria, balances, inventarios, cálculos de gastos y recursos y presentarlos a la Asamblea General Ordinaria.
8. Nombrar comisiones y subcomisiones internas.
9. Integrar el número de sus miembros en caso de renuncia, cesantías, fallecimiento, con sus sustitutos reglamentarios.
10. Distribuir las tareas y dictar la reglamentación interna del Consejo.
11. Aceptar o rechazar las renuncias de socios y miembros.
12. Confeccionar los reglamentos de la entidad, someterlos a la aprobación de la asamblea, sin cuyo requisito no podrán entrar en vigencia, y presentarlos ante Notario Público para su protocolización.
13. Resolver las cuestiones no previstas en estos estatutos dando cuenta a la asamblea general de asociados, en la próxima extrordinaria que se convoque.
14. Amonestar o suspender a los socios.

Article 34 - Duties and powers of the Board[edit]

The duties and powers of the Board are:

1. To enforce the Articles of Association, Association regulations, Assembly resolutions and resolutions of the Board.
2. To administrate the Association's assets.
3. To summon an Assembly.
4. The Board is authorised to regulate the distribution and destination of funds.
5. To hire and rehire personnel and set their salary.
6. To keep administrative records and accounting books required both by the law and those that the Association considers necessary for its normal functioning.
7. To create records, balance sheets, inventory, expense records and financial resource calculations and present them to the Ordinary General Assembly.
8. To name internal commissions and sub-commissions.
9. To fill its positions in the event of resignations, suspensions, death, with duly appointed substitutes.
10. To distribute tasks and dictate the Board's internal regulation.
11. To accept or reject associates' and members' resignations.
12. To compose the Association's regulations, and submit them for the Assembly´s approval, without which they cannot to enter in effect, and present the resulting document with notary public for notarization.
13. To provisionally resolve matters not anticipated in these Articles of Association, to be confirmed at the Ordinary General Assembly to be summoned.
14. To admonish and suspend members.

Artículo 35 - Deberes y atribuciones del Presidente[edit]

El Presidente representará a la Asociación en todos los actos jurídicos y sociales y en todas las circunstancias en que la misma intervenga. Sus deberes y atribuciones son

1. Presidir las reuniones del Consejo Directivo y de las asambleas.
2. Hacer cumplir las resoluciones dictadas por ella.
3. Autorizar los pagos dispuestos por el Consejo Directivo.
4. Firmar los libros y documentos de la entidad.
5. Otorgar con la firma del Secretario y del Tesorero los instrumentos privados y escrituras públicas de adquisición, enajenación, constitución y extensión de derechos reales sobre inmuebles y los documentos que obliguen a la sociedad. En la misma forma se procederá para el otorgamiento de poderes que la entidad confiera para el cumplimiento de los actos.
6. Otorgar con la firma del Secretario los demás actos jurídicos.
7. Resolver conjuntamente con el Secretario, en caso de urgencia, asuntos de importancia para la sociedad, debiendo convocar al Consejo Directivo para la ratificación de la medida.

Article 35 - Duties and powers of the President[edit]

The President will represent the Association in all legal and social acts and in all circumstances in which the Association is part.

The duties and attributions of the President are:

  1. To preside over Board and Assembly meetings.
  2. To enforce the resolutions dictated by this.
  3. To authorize the payments stipulated by the Board.
  4. To sign the books and documents of the Association.
  5. To sign, together with the Secretary and Treasurer, private instruments and public documents related to the acquisition, expropriation, constitution and extension of the rights on real-state and legally-recognized debt instruments. The same procedure will apply for the signing of instruments needed to complete these transactions.
  6. To sign, along with the Secretary other legal documents.
  7. To resolve together with the Secretary, in case of urgency, important matters for the Association, being obligated to summon the Board to confirm them at a later time.

Artículo 36 - Deberes y atribuciones del Vicepresidente[edit]

El Vicepresidente ejercerá las funciones del Presidente o del Tesorero en caso de ausencia, impedimento, renuncia o fallecimiento. En estos dos últimos casos lo reemplazará hasta la próxima Asamblea General Ordinaria en que se hará cargo de la presidencia como titular. En caso de impedimento o ausencia del Vicepresidente lo reemplazará el Secretario.

Article 36 - Duties and powers of the Vice-president[edit]

The Vice-president will execute the President or Treasurer's functions in case of absence, inability to perform, resignation or death. In the last two cases, he/she will replace him/her until the next Ordinary General Assembly, in which he/she will formally assume the position of presidency.

In case of inability to perform or absence of the Vice-president, he/she will be replaced by the Secretary.

Artículo 37 - Deberes y atribuciones del Secretario[edit]

1. Suscribir conjuntamente con el Presidente todos los actos, contratos y documentos de la Asociación.
2. Redactar la correspondencia, notas y documentos de la entidad.
3. Llevar el registro de socios, conjuntamente con el Tesorero y los libros y registros que el Consejo Directivo le encomiende.
4. Mantener los archivos de la Asociación.
5. Guardar los sellos.
6. Determinar las tareas del personal y fiscalizar su asistencia.
7. Redactar las actas de la asamblea y del Consejo Directivo.
8. Presentar las memorias y documentos de la asamblea.
9. Verificar y anunciar el resultado de las elecciones.
10. En caso de ausencia del Secretario será reemplazado por el Prosecretario.

Article 37 - Duties and powers of the Secretary[edit]

The Secretary's duties and powers are:

1. To sign, together with the President all acts, contracts and documents of the Association.
2. To compose the correspondence, notes and documents of the entity.
3. To keep the membership list, together with the Treasurer, as well as the books and files that the Board entrusts to him/her.
4. To maintain the Association's records.
5. To guard the seals.
6. To determine the duties of paid personnel and control their attendance.
7. To compose the Assembly's and Board's resolutions and acts.
8. To present the Assembly's documents and records.
9. To verify and announce the result of the elections.
10. In case of absence of the Secretary he/she will be replaced by the Vice-secretary.

Artículo 38 - Deberes y atribuciones del Tesorero[edit]

Son sus deberes y atribuciones

1. Percibir todas las sumas de dinero y valores que ingresen a la Asociación y depositarlas a nombre de la entidad en una cuenta bancaria especial, a excepción de las cantidades que el Consejo Directivo fije para gastos ordinarios.
2. Efectuar los pagos dispuestos por el Consejo Directivo con autorización del Presidente.
3. Llevar los libros de contabilidad, el registro de socios de acuerdo con el Secretario, ocupándose de todo lo relacionado con el cobro de las cuotas sociales y los demás que el Consejo Directivo indique.
4. Realizar los balances e inventarios parciales o anuales.
5. Presentar mensualmente, bimestralmente, trimestralmente, cuatrimestralmente, semestralmente o anualmente, al Consejo Directivo, balances del movimiento de fondos y comprobantes de tesorería.
6. Denunciar ante el Consejo Directivo los socios morosos.
7. Firmar los recibos de las cuotas pagadas por los asociados.
8. Firmar con el presidente las libranzas bancarias, los libros de contabilidad y los documentos de tesorería y conservar el archivo de tesorería y comprobantes de la misma.
9. Verificar sin autorización previa los pagos corrientes de impuestos, alquileres, alumbrado y gastos menores, debiendo rendir cuenta en la primera reunión del Consejo Directivo.

Article 38 - Duties and powers of the Treasurer[edit]

The duties and powers of the Treasurer are:

1. To receive all monies and valuables received by the Association and deposit them in name of the entity into a special bank account, except for quantities the Board might define for ordinary expenses.
2. To make payments stipulated by the Board with the authorization of the President.
3. To manage the accounting books and the membership list together with the Secretary, taking care of all matters related to the payment of membership fees and others the Board might determine.
4. To balance the books and to perform semi-annual or annual inventories.
5. To present monthly, bi-monthly, tri-monthly, every four months, semi-annually or annually an audit of transactions and receipts to the Board.
6. To report debtor members to the board.
7. To sign receipts of the membership fees paid.
8. To sign with the President bank statements, the accounting books, the treasury documents and to keep archive of the treasury and its records.
9. To make, without previous authorization, the payment of ordinary taxes, rents, services and minor expenses, having to report them in the next Board meeting.

Artículo 39 - Deberes y atribuciones de los vocales[edit]

Son deberes y atribuciones de los vocales:

1. De los vocales titulares:
a. Asistir con voz y voto a las sesiones del Consejo Directivo.
b. Desempeñar las comisiones y tareas que el Consejo Directivo les confíe.
2. De los vocales suplentes:
a. Reemplazar por orden de lista a los titulares o a otros miembros del Consejo Directivo hasta la próxima Asamblea General Ordinaria en caso de renuncia, licencia, impedimento, enfermedad, muerte o cualquier otro impedimento que cause la separación permanente de un titular, con iguales derechos y obligaciones.

Article 39 - Duties and powers of the officers[edit]

The duties and powers of the officers are:

1. Of the officers:
a. To attend with voice and vote meetings of the Board of Directors.
b. To carry out the commissions and tasks that the Board assigns them.
2. Of the deputy officers:
a. To substitute for the officers or other members of the board by list order until the next Ordinary General Assembly in case of resignation, absence, in ability to perform, illness, death or any cause for the permanent separation of a member from the board, holding equal rights and obligations.

Artículo 40 - Sufragio: padrón de elecciones[edit]

El Consejo Directivo confeccionará un padrón de los socios con derecho a voto. Se exhibirá en Secretaría con 30 (treinta) días de anticipación a la fecha de la asamblea ordinaria en que se renueven los miembros del Consejo Directivo y/o de la Comisión Revisora de Cuentas, a efecto de que los interesados hagan las reclamaciones por error u omisión.

Artículo 41 - De la administración financiera de la asociación[edit]

Los ejercicios sociales correrán del primero de enero al treinta y uno de diciembre de cada año.

El estado financiero anual se practicará al final de cada ejercicio y deberá concluirse dentro del mes siguiente a la clausura del mismo, quedando como los demás documentos a disposición de los asociados.

Article 40 - Suffrage: voter registry[edit]

The Board will create the voter registry of those with the right to vote. It will be exhibited at the Secretary's office thirty (30) days before the date of the next Ordinary General Assembly in which the Board or the Audit Commission members will be re-elected, giving an opportunity to those interested in protesting any error or omission.

Article 41 - Financial administration[edit]

The financial year for the association will be counted from January 1th to 31th december.

The annual financial statement will be calculated at final of every financial year and will conclude within next month counted from the close of it. The statement will be avalaible to members.

Artículo 42 - Deberes y atribuciones de la Comisión Revisora de Cuentas[edit]

La Comisión Revisora de Cuentas estará conformada por tres personas electas con los mismos requerimientos que para los principales puestos del Consejo Directivo señaladas en el artículo 25 y tendrá los siguientes deberes y atribuciones:

1. Examinar los libros y documentos de la Asociación, por lo menos cada tres meses.
2. Fiscalizar la administración, comprobando con frecuencia el estado de caja.
3. Dictaminar sobre la memoria, balance general, inventario y cuentas de gastos y recursos presentados a la Asamblea General Ordinaria por el Consejo Directivo.
4. Convocar a la Asamblea General Ordinaria cuando el Consejo Directivo omitiese hacerlo.
5. Solicitar la convocación a la asamblea extraordinaria cuando lo juzgue necesario, poniendo los antecedentes que fundamentan su pedido en conocimiento de Notario Público cuando se negare a acceder a ello el Consejo Directivo.
6. Vigilar la liquidación de la Asociación.

En todos los casos, la Comisión Revisora de Cuentas cuidará de ejercer sus funciones de modo de no entorpecer la regularidad de la administración de la Asociación.

Article 42 - Duties and powers of the Audit Commission[edit]

The Audit Commission will be composed by three persons elected with the same requirements for the main positions of the Board of Trustees mentioned in Article 25 and will and have the following duties and powers:

1. To examine the books and documents of the Association, at least every three months.
2. To audit the administration, checking cash funds with frequency.
3. To review the records, balance sheets, inventory and expense and income transactions to be presented to the General Ordinary Assembly by the Board.
4. To summon the General Ordinary Assembly if the Board does not.
5. To request the gathering of an Extraordinary Assembly whenever considered necessary, presenting the arguments for such to the notary public if the Board refuses to comply.
6. To oversee the liquidation of the Association.

In all cases, the Audit Commission execute its functions carefully in without interfering is the normal administration of the Association.

Artículo 43 - Reforma del Estatuto[edit]

Estos artículos podrán reformarse

1. A pedido de las dos terceras partes del Consejo Directivo.
2. A petición escrita del 75% (setenta y cinco por ciento) de los socios con derecho a voto, como mínimo.

La reforma será tratada y resuelta en la Asamblea Extraordinaria convocada en la forma que determina el Artículo 16. La modificación del presente Estatuto sólo tendrá validez si cuenta con el voto afirmativo de la mayoría absoluta de la totalidad de los socios con derecho a voto presentes en la asamblea. Ningún socio podrá tener más de un voto.

Article 43 - Reform of the Articles of Association[edit]

The present articles may be reformed

1. By request of two-thirds of the Board.
2. By written request of no less than 75% (seventy-five percent) of the active members.

Reforms shall be treated and resolved in an Extraordinary Assembly called as described in Article 16.

Modification to the present Articles of Association will be valid only if it is supported by the affirmative vote of over 50% of the total number of active members with voting rights present in the assembly. No member shall have more than one vote.

Artículo 44 - Disolución de la Asociación[edit]

La Asociación sólo podrá ser disuelta por la voluntad de sus asociados en Asamblea convocada al efecto, constituida de acuerdo a las condiciones del Artículo 18. Para hacer efectiva la disolución, se deberá contar con una cantidad de votos igual o superior al 75% de los miembros presentes en la asamblea. También podrá liquidarse:

  1. Por haber concluido el término fijado para su duración.
  2. Por haberse conseguido el objeto de la asociación o por imposibilidad de realizarse el mismo, y;
  3. Por resolución dictada por autoridad competente.

Artículo 45 - Liquidación de la Asociación[edit]

De hacerse efectiva la disolución, se fijarán las bases de la liquidación y se nombrará una Comisión Liquidadora por la Asamblea de Asociados, la que deberá llevarla bajo las bases siguientes:

  1. Se continuarán las operaciones pendientes de la manera más conveniente a la Asociación cobrando los créditos y pagando las deudas.
  2. Se formulará el estado financiero de liquidación, el cual deberá ser aprobado por asamblea.

La Asociación, al momento de su liquidación y con motivo de la misma, destinará la totalidad de su patrimonio a personas morales autorizadas para recibir donativos deducibles del Impuesto sobre la Renta. Lo estipulado en la presente disposición es de carácter irrevocable.

Article 44 - Dissolution of the Association[edit]

The association can only be dissolved by the will of its members gathered in an Assembly convened for that purpose, constituted accordingly to the conditions described in Article 18. To place the dissolution into effect, at least 75% of the present members in the assembly must vote for the dissolution. Other causes of dissolution:

I.- Finish of during time
II.- Finish association goals or impossibility to achieve them.
III.- For authority resolution.

Artículo 45 - Liquidation of the Asociación[edit]

If the dissolution becomes effective, the reasons for the liquidation will be defined, and a Liquidation Commission should be named by the members of the Assembly, wich must follow the next rules:

I.- The association will continue its unsolved operations in the better way for itself, charging credits and paying bills.
II.- It will maked liquidation financial statement wich will must approved in assembly.

For the liquidation, the association will assign its whole heritage to others association authorized to get deductible donations of the Impuesto sobre la Renta. This clause is irrevocable.


Título VIII - Disposiciones Transitorias[edit]

Artículo 44 - Entrada en vigencia del Estatuto[edit]

El presente Estatuto entrará en vigencia tan pronto sea aprobado por la Asamblea Ordinaria.

Facúltase al Presidente y/o Vicepresidente a tramitar la inscripción del presente Estatuto ante Notario Público, a fin de que se realicen los trámites de ley.

Queda autorizado el Consejo Directivo para aceptar las modificaciones que se determinen por virtud de requerimientos exigidos por la ley mexicana en vigor.

Article 44 - Enacting the Articles of Association[edit]

These Articles of Association will be in force immediately after being approved by an Ordinary Assembly.

The President and/or Vice-president are authorized to proceed with the registration of this Articles of Association before a notary public.

The Board of Directors is authorized to accept amendments required by current Mexican law.

Artículo 45[edit]

Para la elección del primer Consejo Directivo no regirá el requisito de antigüedad de los socios que se postulen a la misma.

For the first election of the Board, the requirement of one year's active membership is waived.
