Italian version[edit]

Articolo 1: Costituzione e nome[edit]

Per contribuire attivamente alla diffusione, miglioramento ed avanzamento del sapere e della cultura nel mondo, è costituita tra i firmatari una associazione apartitica, apolitica, non a scopo di lucro, regolata dalla legge italiana nonché dal presente Statuto, avente per denominazione Wikimedia Italia - Associazione per la diffusione della conoscenza libera (di seguito per brevità indicata come Wikimedia Italia).

Articolo 2: Filiazione[edit]

La Wikimedia Italia collabora con la Wikimedia Foundation, Inc., associazione costituita seconde le leggi dello stato della Florida (USA), ma non ne assume la rappresentanza legale per l'Italia. Wikimedia Italia ha il diritto di utilizzare i marchi ed i logo appartenenti all'associazione non a scopo di lucro di diritto americano Wikimedia Foundation, Inc. Questa autorizzazione può essere unilateralmente revocata in qualunque momento dalla Wikimedia Foundation, Inc.

Articolo 3: Scopi[edit]

"Wikimedia Italia" non ha fini di lucro. Essa si propone di operare nel settore della cultura e del sapere. Per contribuire attivamente alla diffusione, miglioramento ed avanzamento del sapere e della cultura nel mondo, la Wikimedia Italia ha per obiettivo di contribuire allo sviluppo di enciclopedie, di raccolte di citazioni, di libri educativi e di altre raccolte di documenti, di informazioni e di database informatici che hanno come caratteristica:

  1. di essere completamente liberi;
  2. di essere disponibili in linea con le tecnologie di Internet e derivati;
  3. di presentare un contenuto che è modificabile dall'utilizzatore;
  4. di avere un contenuto libero, questo vuol dire che può essere distribuito gratuitamente ad esempio con le condizioni della licenza di documentazione di tipo GNU Free Documentation License, redatta dalla Free Software Foundation Inc., ed in particolare dalla sua filiale europea al sito http://www.fsfeurope.org/.

In particolare Wikimedia Italia si dà come obiettivo di promuovere e sostenere, direttamente o indirettamente, gli sviluppi, i trasferimenti, le traduzioni in lingua italiana dei progetti della Wikimedia Foundation, Inc. Anche se Wikimedia Italia è soggetta alla legge italiana, i suoi obiettivi includono il sostegno ai progetti della fondazione nel suo complesso e non solamente a quelli in lingua italiana. I contorni dei suoi scopi sono costituiti dall'uso della lingua italiana per il suo funzionamento e non da un criterio di nazionalità. I progetti della Wikimedia Foundation, Inc. comprendono, in maniera non esaustiva, i seguenti siti internet:

La realizzazione di questi scopi può evidentemente implicare l'installazione e la gestione di server a supporto della fondazione Wikimedia. D'altra parte Wikimedia Italia non ha interesse a intervenire nella gestione collettiva di questi siti, specialmente per quanto concerne le regole, le decisioni, i contenuti o qualunque altro atto collettivo. Questo non impedisce per nulla ai suoi membri di esprimersi a titolo personale su questi argomenti. Se, tuttavia, verranno installati dei server sotto la responsabilità di Wikimedia Italia, spetterà a questa di vigilare sul rispetto della legge vigente nel territorio dove saranno installati i server, anche se ciò dovesse implicare una ingerenza sul contenuto degli articoli. Tale ingerenza sarà strettamente limitata ad assicurare il pieno rispetto della legge. L'associazione potrà partecipare a progetti e riunioni in Italia ed in altri paesi. Tuttavia nessuna partecipazione potrà avvenire senza l'accordo della locale associazione affiliata alla Wikimedia Foundation, Inc., se esistente. Wikimedia Italia potrà altresì svolgere tutte le attività connesse al proprio fine istituzionale, nonché tutte le attività accessorie, in quanto ad esse integrative, anche se svolte in assenza delle condizioni previste in detto articolo, purché nei limiti consentiti dalla legge. La Wikimedia Italia persegue i propri fini sia direttamente, che in collaborazione con altre organizzazioni ed enti aventi il medesimo fine istituzionale e può compiere tutte quelle operazioni mobiliari e finanziarie ritenute necessarie, utili e opportune alla realizzazione dei predetti scopi.

Articolo 4: Sede[edit]

Wikimedia Italia ha la sede al domicilio del suo Presidente, se questi risiede in Italia. In caso contrario la sede dell'associazione è fissata nel territorio della Repubblica Italiana con semplice decisione del Consiglio Direttivo.

Articolo 5: Durata[edit]

La durata dell'associazione è di 99 anni a partire dalla data della firma del presente Statuto. Rinnovabile per decisione dell'Assemblea generale straordinaria.

Articolo 6: Soci[edit]

L'associazione è composta di soci ordinari, soci sostenitori e soci onorari. Tutti i soci hanno diritti ed obblighi nei confronti dell'associazione che possono variare a seconda della tipologia di socio in cui ricadono.

L'ammissione all'associazione non può essere effettuata per un periodo temporaneo. Tuttavia è facoltà di ciascun associato recedere dall'associazione mediante comunicazione in forma scritta inviata all'associazione. Le quote sono in ogni caso intrasferibili. La qualifica di socio ordinario e sostenitore si perde a seguito di dimissioni, di decesso, di morosità, di radiazione da parte del Consiglio Direttivo per grave motivo. La decisione di radiazione pronunciata dal Consiglio Direttivo è provvisoria in attesa di ratifica da parte dell'assemblea generale ordinaria.

L'esclusione del socio per gravi motivi, ai sensi dell'art. 24 Codice Civile, è deliberata dal Consiglio direttivo, anche nel caso in cui il socio non provveda al versamento della quota annuale stabilita dal Consiglio. I soci recedenti od esclusi e che, comunque abbiano cessato di appartenere all'associazione, non possono riprendere i contributi versati e non possono vantare alcun diritto sul patrimonio dell'associazione.

Articolo 7: Soci ordinari[edit]

Lo status di socio ordinario è attribuito a chiunque sia interessato a supportare le attività dei progetto Wikimedia e che soddisfi i seguenti requisiti:

  1. sia maggiorenne;
  2. abbia contribuito, utilizzando un proprio "nome utente", a qualsiasi progetto Wikimedia in lingua italiana in data antecedente alla domanda di ammissione all'associazione;
  3. faccia pervenire al Consiglio Direttivo, con le modalità previste dal regolamento, la domanda di ammissione accompagnata dall'accettazione dello Statuto in vigore della Wikimedia Italia e dalla copia di un documento d'identità valido.
  4. venga ammesso dal Consiglio Direttivo in quanto condivide gli scopi dell'associazione e viene ritenuto idoneo al loro perseguimento;
  5. abbia versato la quota annuale, con le modalità previste dal regolamento, prima dell'assemblea generale ordinaria nella quale intende esercitare il proprio diritto di voto, con riserva tuttavia dell'applicazione delle disposizioni indicate appresso.

Il Consiglio Direttivo non è in nessun caso tenuto a motivare le proprie decisioni riguardo all'accettazione o al rigetto delle domande di ammissione degli aspiranti soci. Il socio ordinario è tenuto al pagamento di una quota associativa annua che verrà deliberata ogni anno dal Consiglio Direttivo, con le modalità previste dal regolamento, e valida per l'anno successivo.

Articolo 8: Soci sostenitori[edit]

Le persone e le società che contribuiscono con donazioni significative all'associazione per permettere il mantenimento, il miglioramento ed ulteriori implementazioni dei progetti dell'associazione, possono essere indicati al Consiglio Direttivo per la nomina a socio sostenitore con le modalità stabilite nel regolamento. Lo status del socio sostenitore permette ogni diritto tranne quello di avere incarichi o di votare. Tali soci saranno elencati (in modo anonimo, se richiesto) in posizione evidente sul sito principale della Wikimedia Italia. La qualifica di socio sostenitore è attribuita per l'anno nel quale viene effettuata la donazione. Il Consiglio Direttivo non è in nessun caso tenuto a motivare le proprie decisioni riguardo all'accettazione o al rigetto delle proposte di ammissione per i soci sostenitori.

Articolo 9: Soci onorari[edit]

I soci onorari vengono indicati dalla Assemblea per i loro particolari meriti. Hanno gli stessi diritti dei soci ordinari, ma non è loro richiesto il pagamento delle quote sociali, né di contribuire attivamente ai progetti Wikimedia.

Articolo 10: Patrimonio[edit]

Il patrimonio dell'associazione è costituito da:

  • contributi degli aderenti;
  • contributi di privati;
  • contributi dello Stato, di enti o di istituzioni pubbliche, privati o

persone fisiche finalizzati al sostegno della cultura;

  • contributi di organismi internazionali;
  • beni mobili ed immobili che pervengono all'associazione a qualsiasi

titolo, donazioni e lasciti testamentari;

  • rimborsi derivanti da convenzioni;
  • entrate derivanti da attività commerciali e produttive marginali;
  • fondi di riserva derivanti da eventuali eccedenze di bilancio.

Per l'adempimento dei suoi compiti l'associazione dispone delle seguenti entrate:

  • quote associative;
  • versamenti effettuati a titolo di liberalità da chiunque aderisca

all'associazione;

  • ricavato dall'organizzazione di manifestazioni o partecipazione ad

esse;

  • ogni altra entrata che concorra ad incrementare l'attivo sociale,

quali ad esempio: fondi pervenuti a seguito di raccolte pubbliche occasionali anche mediante offerte di modico valore; contributi corrisposti da amministrazioni pubbliche per lo svolgimento di attività aventi finalità sociali, sottoscrizione a premi.

Articolo 11: Scioglimento dell'associazione[edit]

In caso di scioglimento dell'associazione, per qualunque causa, il patrimonio sarà devoluto ad altra organizzazione non lucrativa di utilità sociale o a fini di pubblica utilità, sentito l'organismo di controllo di cui all'art. 3 comma 190 della Legge 23 dicembre 1996, n. 662, salvo diversa destinazione disposta dalla legge vigente al momento dello scioglimento. Il contributo associativo è intrasmissibile ad eccezione dei trasferimenti a causa di morte e non è rivalutabile.

Articolo 12: Organi dell'associazione[edit]

Sono organi dell'associazione:

  • l'Assemblea dei soci;
  • il Consiglio Direttivo;
  • il Presidente.

Articolo 13: Assemblea[edit]

L'assemblea dei soci è l'organo sovrano della "Wikimedia Italia" e può prendere tutte le decisioni necessarie ad un corretto funzionamento della vita associativa. Essa è costituita da tutti i soci di cui all'art. 6. Ogni socio ha diritto ad un voto. I soci fondatori non hanno nessuna particolare prerogativa. L'assemblea è presieduta dal Presidente ovvero, in caso di sua assenza, dal Vicepresidente ovvero, in caso di sua assenza dal socio più anziano presente. L'assemblea può essere convocata in qualunque località decisa dal Consiglio Direttivo. L'assemblea può essere ordinaria e/o straordinaria.

Articolo 14: Assemblea ordinaria[edit]

L'assemblea ordinaria è convocata almeno una volta all'anno dal Consiglio Direttivo entro tre mesi dalla chiusura dell'esercizio sociale. L'assemblea è altresì convocata ogni qualvolta il Consiglio Direttivo lo ritenga opportuno ed, in generale, con le modalità ed il preavviso stabiliti nel regolamento e fatte salve le disposizioni di legge. All'assemblea ordinaria devono annualmente essere sottoposti per l'approvazione:

  • la relazione del Consiglio Direttivo sull'andamento dell'associazione;
  • il bilancio dell'esercizio sociale.

L'assemblea delibera inoltre in merito:

  • alla nomina del Consiglio Direttivo;
  • all'approvazione del regolamento interno dell'associazione;
  • ad altri argomenti che siano proposti all'ordine del giorno;
  • alla ratifica degli atti del Consiglio Direttivo effettuati in urgenza;
  • alla politica generale e di indirizzo per le attività dell'associazione.

Hanno diritto di intervenire in assemblea tutti i soci in regola con il pagamento della quota sociale. Ogni socio ha diritto ad un voto, e può farsi rappresentare da altro socio, conferendo ad esso delega scritta. I soci potranno avere, per ogni assemblea, un numero massimo di deleghe stabilito dal regolamento. In prima convocazione le deliberazioni dell'assemblea ordinaria, sono adottate a maggioranza semplice dei voti espressi, come meglio precisato nel regolamento. L'assemblea è valida se sono rappresentati almeno il 50% dei soci. Se non viene raggiunto il numero minimo di soci necessario, l'assemblea ordinaria può essere convocata in un momento temporale successivo. In seconda convocazione, giusto art. 21 CC, non esistono vincoli numerici, mentre le deliberazioni sono assunte sempre a maggioranza semplice dei soci rappresentati.

Articolo 15: Assemblea straordinaria[edit]

L'assemblea straordinaria viene convocata dal Consiglio direttivo e con le modalità previste nel regolamento, per deliberare su:

  • la modifica dello Statuto;
  • la proroga della durata dell'associazione, come previsto all'art. 5;
  • lo scioglimento dell'associazione, come previsto all'art. 19;

Per modificare lo Statuto e per la proroga della durata dell'associazione, occorre che esprimano il loro voto almeno tre quarti degli associati e la delibera viene assunta a maggioranza semplice. Per deliberare lo scioglimento dell'associazione, occorre il voto favorevole di almeno tre quarti degli associati.

Articolo 16: Consiglio Direttivo[edit]

  • Il Consiglio Direttivo è eletto dall'assemblea dei soci ed è composto da un numero di persone stabilito nel regolamento e comunque non inferiore a cinque. Resta in carica per il periodo previsto nel regolamento e comunque non inferiore ad un anno. I suoi componenti possono essere rieletti. Le dimissioni, la decadenza e la sostituzione dei componenti del Consiglio Direttivo vengono stabilite nel regolamento.
  • Il Consiglio Direttivo nella sua prima riunione elegge tra i propri componenti il Presidente ed un Vice Presidente, fatto salvo quanto stabilito nell'atto costitutivo per la nomina del primo Presidente.
  • Il Consiglio Direttivo si riunisce, con le modalità e la frequenza stabilite nel regolamento. Alle riunioni possono essere invitati a partecipare altri soci ed esperti esterni. Le riunioni del Consiglio Direttivo sono valide quando è presente la maggioranza dei suoi componenti, arrotondata all'unità superiore. Di ogni riunione deve essere redatto il verbale nel registro delle riunioni del Consiglio Direttivo.
  • Compete al Consiglio Direttivo:
    • compiere tutti gli atti di ordinaria e straordinaria amministrazione;
    • fissare le norme per il funzionamento dell'associazione, redigendo il regolamento che deve essere approvato dall'assemblea;
    • sottoporre all'approvazione dell'assemblea il bilancio preventivo possibilmente entro la fine del mese di dicembre e comunque con il bilancio consuntivo entro la fine del mese di aprile successivo dell'anno interessato;
    • determinare gli interventi alle linee di indirizzo contenute nel programma generale approvato dall'Assemblea, promuovendo e coordinando le attività;
    • eleggere il Presidente e il Vice Presidente, fatto salvo quanto stabilito nell'atto costitutivo per la nomina del primo Presidente;
    • accogliere o respingere le domande degli aspiranti soci ordinari e le proposte per i soci sostenitori, il parere espresso dal Consiglio Direttivo è vincolante e non deve essere motivato;
    • il Consiglio Direttivo delibera inoltre sull'attribuzione della qualifica di socio sostenitore;
    • deliberare in merito all'esclusione dei soci;
    • ratificare, nella prima seduta successiva, i provvedimenti di competenza del Consiglio Direttivo adottati dal Presidente per motivi di necessità e di urgenza.

Il Consiglio Direttivo può delegare al Presidente l'ordinaria amministrazione. Le eventuali sostituzioni di componenti del Consiglio Direttivo effettuate nel corso del periodo di validità dello stessso, devono essere convalidate dalla prima assemblea convocata successivamente alla nomina. I componenti così nominati scadono con gli altri componenti. La carica di membro del Consiglio Direttivo è gratuita, salvo il rimborso delle spese sostenute per l'associazione secondo le condizioni fissate nel regolamento. Il Consiglio Direttivo prepara il budget e fissa il valore della quota annuale, organizza lo svolgimento delle assemblee generali ordinarie e straordinarie e prepara il relativo ordine del giorno. Rende operativi gli strumenti tecnici ed amministrativi necessari alla raccolta di donazioni. L'utilizzo delle riserve è deciso dal Consiglio Direttivo per la realizzazione degli scopi fissati nell'art. 3 del presente Statuto, dopo avviso, di sollecitazione, ai soci sostenitori dell'associazione. Il Consiglio Direttivo autorizza tutti gli acquisti, vendite od affitti di proprietà immobiliari nonchè i contratti di qualunque tipo intercorsi tra l'associazione e persone fisiche o morali, di diritto pubblico o privato, secondo le modalità specificate nel regolamento. In particolare tutte le operazioni il cui valore supera una soglia fissata nel regolamento, sono soggette a votazione del Consiglio Direttivo a maggioranza semplice. Il Consiglio Direttivo, delegando tali compiti ad uno dei suoi membri, dovrà tenere un libro cassa, cura l'aggiornamento e la tenuta del libro dei soci, del libro dei verbali delle assemblee e del libro dei verbali del Consiglio Direttivo. Detti libri devono essere in ogni momento consultabili dai soci che hanno altresì diritto di chiederne, a loro spese, estratti. Il Consiglio Direttivo assicura il rispetto dello Statuto e del regolamento ed in generale del buon funzionamento dell'associazione. Con riserva delle disposizioni successivamente indicate, il Consiglio Direttivo non ha lo scopo di controllare la gestione od il contenuto dei siti in lingua italiana dipendenti dalla Wikimedia Foundation, Inc., salvo a disporne direttamente in caso di bisogno per annunci, comunicati, pagine di votazione o quant'altro serve per effettuare le assemblee generali o per qualsivoglia ragione connessa alle necessità di conduzione della Wikipedia Italia.

Articolo 17: Presidente[edit]

Il Presidente è eletto dal Consiglio direttivo tra i propri componenti a maggioranza semplice dei voti, fatto salvo quanto stabilito nell'atto costitutivo per la nomina del primo Presidente.

  • Il Presidente ha la firma e la rappresentanza sociale e legale dell'associazione nei confronti di terzi e in giudizio ed è autorizzato ad eseguire incassi e accettazione di donazioni di ogni natura a qualsiasi titolo da Pubbliche Amministrazioni, da Enti e da Privati, rilasciandone liberatorie quietanze;
  • ha la facoltà di nominare avvocati e procuratori nelle liti attive e passive riguardanti l'associazione davanti a qualsiasi Autorità Giudiziaria e Amministrativa;
  • convoca e presiede le riunioni dell'Assemblea, del Consiglio Direttivo;
  • in caso di necessità e di urgenza, di concerto con il Vicepresidente, assume i provvedimenti di competenza del Consiglio Direttivo, sottoponendoli a ratifica nella prima riunione successiva.

In caso di assenza, di impedimento o di cessazione le relative funzioni sono svolte dal Vice Presidente, che convoca il Consiglio Direttivo per l'approvazione della relativa delibera. Di fronte agli associati, ai terzi ed a tutti i pubblici uffici, la firma del Vice Presidente fa piena prova dell'assenza per impedimento del Presidente. Al Presidente spetta la rappresentanza dell'associazione in giudizio e di fronte ai terzi. Il Presidente può aprire e chiudere conti correnti bancari e postali con le modalità stabilite dal regolamento. Per le operazioni di gestione corrente agisce in prima persona o tramite un suo delegato. Il Presidente custodisce somme e valori dell'associazione ed esegue ogni operazione di cassa tenendo aggiornata la contabilità. Nessun compenso è dovuto al Presidente, salvo l'eventuale rimborso spese per attività istituzionale secondo le modalità indicate nel regolamento.

Articolo 18: Esercizi sociali e bilancio[edit]

L'esercizio sociale si chiude al 31 dicembre di ogni anno. Il Consiglio Direttivo deve tempestivamente predisporre il bilancio dell'esercizio da sottoporre all'approvazione dell'assemblea entro tre mesi dalla chiusura dell'esercizio sociale. La bozza di bilancio, nei quindici giorni che precedono l'assemblea che lo approva, ed il bilancio, dopo la sua approvazione, devono essere tenuti presso la sede dell'associazione a disposizione dei soci che lo volessero consultare e ne volessero chiedere copia. È fatto divieto all'Associazione di distribuire, anche in modo indiretto, utili e avanzi di gestione nonché fondi, riserve o capitale durante la vita dell'organizzazione, a meno che la destinazione o la distribuzione non siano imposte per legge o siano effettuate a favore di altre ONLUS che per legge, Statuto o regolamento facciano parte della medesima ed unitaria struttura. Gli utili e gli avanzi di gestione dovranno essere impiegati obbligatoriamente per la realizzazione delle attività istituzionali o di quelle ad esse direttamente connesse.

Articolo 19: Scioglimento e liquidazione[edit]

L'associazione si scioglie per delibera dell'assemblea o per inattività dell'assemblea protratta per oltre due anni. L'assemblea delibera lo scioglimento dell'associazione e la nomina dei liquidatori stabilirà i criteri di massima per la devoluzione del patrimonio residuo. I liquidatori, tenuto conto delle indicazioni dell'assemblea e sentito l'organismo di controllo di cui all'art. 3 comma 190, della legge 23 dicembre 1996 n. 662, sceglieranno l'organizzazione non lucrativa di utilità sociale operante in identico o analogo settore cui devolvere il patrimonio residuo.

Articolo 20: Controversie[edit]

Tutte le eventuali controversie sociali tra i soci e tra questi e l'associazione, saranno sottoposte, in tutti i casi non vietati dalla legge e con esclusione di ogni altra giurisdizione, alla competenza di un collegio di tre probiviri da nominarsi dall'assemblea. Essi giudicheranno 'ex bono et aequo' senza formalità di procedura. Il loro lodo sarà inappellabile.

Articolo 21: Norme applicabili[edit]

Per tutto quanto qui non previsto dal presente Statuto si applicano le norme del Libro 1°, Titolo II del Codice Civile, alla Legge n. 266 dell'11 agosto 1991, alla legislazione regionale sul volontariato, nonché quelle previste dal D. Lgs. 4 dicembre 1997 N. 460.

Article 1: "Constitution and name"[edit]

In order to contribute actively to the the diffusion, the improving, the advancement of the collective knowledge and culture in the world, the subscribers consistute a non-party-affiliated, non-political, non-profit association, ruled by the applicable laws of Italy, named "Wikimedia Italia - società per la diffusione della conoscenza libera (further in this document shortly referred as Wikimedia Italia).

Article 2: "Affiliation"[edit]

"Wikimedia Italia" collaborates with the Wikimedia Foundation, Inc, association constituted according to the laws of the Florida state (USA).

"Wikimedia Italia" is granted the right to use trademarks and logos belonging to the non-profit association "Wikimedia Foundation, Inc."; this authorization can be unilaterally revoked by the Wikimedia Foundation, Inc. in any moment.

Article 3: "Intents"[edit]

"Wikimedia Italia" has no profit purpose. It intends to operate in the field of the culture and knowledge. In order to actively contribute to the diffusion, the improvement and the progress of the knowledge and culture in the world, Wikimedia Italia aims at supporting the development of encyclopedias, quote collections, educational books and collections of other documents, information and electronic databases having the following characteristics:

  • they are completely free
  • they are available on-line through the internet technologies and their derivatives
  • they have a content editable by the user
  • they have a free content, that can be distributed freely under the conditions of licenses like the GNU Free Documentation License, issued by the Free Software Association Inc., and particularly by its European branch on the site http://www.fsfeurope.org/.

Particularly, Wikimedia Italia intends to promote and support, directly and indirectly, the developments, the transfers, the translations in Italian language of the projects of the Wikimedia Foundation, Inc.

Even though Wikimedia Italia is subject to the Italian laws, its purposes include the support to the projects of the Association on the whole, and not only to the ones in Italian language. The usage of the Italian language is functional to the work of the association but it does not mean a definition of the association purposes on a national basis.

The projects of the Wikimedia Foundation, Inc. include, among the others, the following internet sites:

The fulfilling of these purposes might possibly imply the installation and the management of servers supporting the Wikimedia Association.

On the other hand, Wikimedia Italia has no interest in entering in the collective management of those sites, especially for what concerns the rules, the decisions, the contents and any other collective act. This does not prevent the association members to express their personal opinions about those policies.

If, however, one or more servers will be installed under the responsiblity of "Wikimedia Italia", the association will have to monitor the compliance with the laws enforced in the territory where those servers will be installed, also in case such compliance should imply a direct influence on the content of the pages. Such influence will be strictly limited to guarantee a full compliance with the law.

The association is able to participate to projects and mettings in Italy and abroad. However, no participation will be allowed without the agreement of the local branch of the Wikimedia Foundation, Inc., if existing.

Wikimedia Italia is able to carry out all the activities related to its fundamental objective and all the accessory and integrative activities, even though they are carried out in lack of the conditions defined in this article, so long as they remain within the limits of the applicable laws. "Wikimedia Italia" pursues its aims both directly and in collaboration with other organizations having the same objective and can carry out all the financial operations judged necessary, useful and opportune for the fulfilling of the above mentioned intents.

Article 4: "Official location"[edit]

The official location of Wikimedia Italia is the domicile of its president, if he/she resides in Italy. Otherwise, the seat is a place in the territory of the Italian Republic established by simple decision of the Directive Council.

Article 5: "Duration"[edit]

The duration of the association is 99 years, starting from the date of the signature of this act. It can be renewed by a decision of the extraordinary general Assembly.

Article 6: "Members"[edit]

The association is constitued by "ordinary members", "supporting members" and "members for life". All the members have rights and obligations toward the association that may vary depending on the type of membership they belong to.

The membership has not a predefined expiration time. However, every member can cancel his/her membership with a written communication sent to the association. The subscription fees cannot be transferred to anybody else.

The ordinary membership and the supporting membership are lost in case of resignation, death, arrearage, cancellation by the directive council for serious reason. The cancellation declared by the directive council is temporary, in wait for approval of the ordinary general assembly.

According to the art. 24 of the Codice Civile, the cancellation of a member for serious reasons is declared by the directive council also in case the member does not pay the annual subscription fee, decided by the council. The members whose membership is cancelled for whatever reason cannot claim the subscription fees already paid and cannot enforce any right on the estate of the association.

Article 7: "Ordinary members"[edit]

The status of "ordinary member" is acknowledged to everyone is interested in supporting the acitivies of Wikimedia projects and complies with the following requirements:

  1. is major of age
  2. has contributed with an own "user name" to any Wikimedia project in Italian language before the date of the admission request
  3. has sent to the directive council, according to the rules explained in the regulations, a request of admission together with the acceptation of the enforced Statute of Wikimedia Italia and the copy of a valid identity document
  4. is admitted by the directive council because agrees with the association intents and is judged proper to their pursue
  5. has paid the annual subscription fee, according to the rules explained in the regulations, before the ordinary general assembly in which he/she intends to enforce his/her right to vote, with reserve of the application of the mentioned dispositions.

The directive council in any case has not the obligation to justify its decisions about the acceptation and the rejection of admissions requests submitted by the aspiring members.

The ordinary member is obliged to pay an annual subscription fee, decided every year by the directive council, according to the rules explained in the regulations, valid for the subsequent year.

Article 8: "Sustaining membership"[edit]

All persons or businesses who are donors of funds to the Association for the purpose of advancing, improving and bettering Wikimedia Association's projects may be recommended to the Wikimedia Italia Board of Trustees to become Sustaining members of this Association under such rules as the Board may establish and approve. If the recommendation is accepted by the Board, such membership shall be with all privileges except that of holding office and voting. Such members shall be listed (anonymously if requested) in some prominent place on the main online site of the Association. Sustaing membership last for one year, starting from the donation. The Board is not due to explain his reasons for the acceptance or the reject of sustaining membership proposals.

Article 9: "Members for life"[edit]

In recognition of his role as Founder of Wikipedia Jimmy Wales is granted life membership. Life members shall have all the privileges of contributing active members except they shall be exempt from paying dues and shall not be required to make any contributions to any Wikimedia project.

Article 10: "Finances"[edit]

Budget of the Association is formed by:

  • Donations from members; (see above)
  • Donations from individuals;
  • Donations from the State, Public Agencies, Public Institutions and/or individuals for educational purposes;
  • Donations from International Organizations;
  • Tangible and intagible assets donated to the Association by any mean, including donations from individuals and wills;
  • Refunds granted by agreements;
  • Incomes deriving from secondary marketing and manufacturing activities;
  • Budget surplus from previous years budget, if any.

To accomplish its scope, the Association uses the following incomes: a) Membership fees; b) Freely contributed donations from any member of the Association; c) Revenues from participating to or arranging events; d) Any other income contributing to the budget, such as: funding from occasional public campaigns, even by means of little donations from individuals; contributions from Public Administrations to manage social activities; lotteries.

Article 11: "Dissolution of Association"[edit]

In case of dissolution of the Association, for any cause, the assets will be devolved to other no-profit organization or for social purposes, after to have listened the structure of control of which to the art. 3 paragraph 190 of Law 23 Decembers 1996, n. 662, except different destination in obedience to the provisions of the enforced law at the moment of the dissolution. The associative contribution is intransferable to exception of the conveyance owing to dead and it is not revaluable.

Article 12: "Organs of the Association"[edit]

The following are the organs of the association: - the Assembly of the associates; - the Board; - the President.

Article 13: "Assembly"[edit]

The Assembly of the associates is the sovereign organ of the "Wikimedia Italia". It can make all the decisions necessary for the smooth life of the Association.

It is composed by all the Associates as defined in Art. 6. Every associate will cast a single vote in the ballots. The Founding Associates have no particular prerogative.

The President presides the Assembly; in case of his/her absence, the Vice-president does; it neither President nor Vice-President are present, the older associate present will preside the Assembly.

The Board may choose any location for the convention of the Assembly.

The Assembly can be ordinary and/or extraordinary.

Article 14: "Ordinary assembly"[edit]

The ordinary Assembly is convened at least once to year by the Board within three months beginning from the closing of the social period. The Assembly is also convened every time the Board thinks it right and, generally, with the established procedures and warning in the rules and under provisions of the law.

To the ordinary Assembly they must annually be submitted for the approval:

- the report of the Board on the state of the Association; - the balance sheet;

The Assembly deliberates furthermore on: - the nomination of the Board; - the approval of the internal rules of the Association - other arguments that are proposed on the agenda. - the ratification of the urgent acts of the Board - the general policy and the course of the activities of the Association

They have right to take part in Assembly all the associates up-to-date with the payment of the social amount.

Every associate has right to only one vote, and it can be represented by another associate, appointing him written delegation. The associates will be able to have, for every meeting, a maximum number of delegations established by the rules.

At first meeting the deliberations of the ordinary assembly, are approved with simple majority of the expressed votes, how it is better specified in the rules. The assembly is valid if it represents at least 50% of the associates.

If it does not reach the necessary minimal quorum of associates, the ordinary assembly can be convened in following time. In second meeting, in accordance with art. 21 CC, the quorum does not exist, and the resolutions are always caught with the simple majority of the associates represented.

Article 15: "Extraordinary Assembly"[edit]

The extraordinary Assembly is convened by the Board and with the procedures provided in the rules, in order to deliberate on:

  • the modification of the Charter;
  • the extension of the duration of the Association, as provided in the art.5;
  • the dissolution of the Association, as provided in the art.19.

In order to modify the Charter and for the extension of the duration of the Association, it is necessary that they express their votes at least three quarters of associates and the resolution is taken by the simple majority.

In order to resolve the dissolution of the Association, it is necessary the favorable votes at least of three quarters of the associates.

Article 16: "Board"[edit]

- The Board is appointed by the Assembly and is composed by a number of persons as established in the Internal Rules, with a minimum of five persons. It remains in charge for the period established in the Regulations, with a minimum of one year. Its members may be reappointed. Quitting, forfeit and substitution of the members of the Board are established in the Regulations.

- During its first reunion, the Board chooses among its members the President and Vice-president, with the exception of the nomination of the first President which is established as per the Act of Constitution of the Association.

- The Board holds it meetings with the modalities and the frequency established in the Internal Rules.

The Board may invite other associates and external experts to attend its meetings.

The meetings are valid when the majority of its member is present, rounded off to the next unit.

A report of each meeting must be written and held in the official Registry of the Board.

- The Board has as its duties:

  • to make any actions for ordinary and extraordinary administration;
  • to define the norms for the operation of the association, writing up the Internal Rules that must be approved by the Assembly;
  • to present to the Assembly for its approvation the budget estimate, if possibile by the end of the month of December and anyway the actual budget by the end of the month of April in the next year;
  • to determine how to fulfill the general lines of development in the general program approved by the Assembly, promoting and coordinating the various activities;
  • to elect the President and Vice-president, with the exception of the nomination of the first President which is established as per the Act of Constitution of the Association.
  • to accept or to reject to the application by prospective associates and the proposals for the Supporters: the opinion the Board express is binding, and it does not have to be motivated
  • moreover, the Board deliberates on the attribution of the qualification of Supporter.
  • to deliberate with respect to the exclusion of the Associates;
  • to ratify, in the first successive meeting, the provisions of competence of the Board that the President adopted for urgency and necessity reasons.

The Board may delegate to the President the tasks of ordinary administration. Any substitutions of members of the Board during the period of its validity must be convalidated in the first Assembly summoned after the nomination. Those members expire together with the others members.

Board member are not paid for their duties, except for the recovery of expenses supported for the Association, as per the Internal Rules.

The Board prepares the budget and fixes the value of the association quota for each year, organizes both ordinary and extraordinary Assemblies and prepares their agendas. Actualizes the technical and administrative instruments needed for the collection of donations. It may decide to use the reserves of the Association to fulfil the scopes indicated at the point 3 of this Charter, after a sollicitation, to the Supporters of the Association.

The Board authorizes all the purchases, sales or rents of real estate property, and the physical or moral contracts of any type between the association and persons, or corporations, as per the Internal Rules. In particular, all the operations whose value exceeds a fixed threshold set in the Internal Rules are subject to a simple majority voting in the directive council.

The Board, delegating any of the member shall keep the Book of Money Operations, the Book of the Reports of the Assemblies, the Book of the Reports of the Board, and the Assiociates' Logbook, all of them officially stamped by the Italian Government. The books can be viewed by members, that have the right to ask for extracts, paying the expenses.

The Board assures the respect of the Charter and the Internal Rules, and of the good operation of the Association. Except for the dispositions indicated below, the Board does not have the scope to control the management or the content of the sites in Italian language from the Wikimedia Foundation, Inc., but it may use them directly in case of need for announcements, communications, voting pages or whatever needed in order to carry out the Assemblies them or for any reason related to the needs of conduction of Wikimedia Italia.

The Board may suspend or revoke the technical rights - that habitually derive from the prerogatives of a Sysop - given to the user of a site or a member of the association, in particular for infraction to the present Charter, for not respecting the Internal Rules, or for serious reason of such nature to create moral or material prejudgment to the association. The decision of suspension or of revoke is ratified at the next ordinary Assembly. If the Assembly ratifies the suspension a further ratification must be made by the community afferent to the site, within 15 days from the decision of the assembly. A decision of revoke of the technical rights that has not been ratified, has the effect of restituting to the interested party the technical rights which were taken from it. In the same way and for the same reasons, the Board may revoke in all or in part the editing rights on a site to a member of the Association, with ratification of the decision at the next ordinary Assembly. Finally the editing rights of any user who is not member of the Association may be revoked with the same conditions, but only for serious reasons which lead to a moral and material prejudgment to the association.

Article 17: "President"[edit]

The President is elected by the Board among its members with a simple majority, with the exception of the nomination of the first President which is established as per the Act of Constitution of the Association.

  • he is the legal representative of the Association with respect to third parties and may sign documents; he is authorized to collect money and accept donations of whichever nature and reason from Public Administration, Agencies and private cizitens, giving them an official receipt;
  • he may choose lawyers and proxies in the arguments regarding assets and liabilities of the Association, in front of whichever Judicial and Administrative authority;
  • he convenes and he presides the reunions of the Assembly and of the Board;
  • in case of urgency and necessity, in accord with the Vice-president, he assumes the duties of competence of the Board, which will have to be ratified in the first successive reunion of the Board.

In the case of absence, impediment, or cessation of the President, all his functions are carried out by the Vice-president, that will convene the Board for the approval of the relative deliberation.

The signature of the Vice-President suffices to state the absence or impediment of the President to Associates, third parties and all the Public Offices.

The President is the representative of the Association in judgment and against third parties.

The President may open and close bank and post accounts, details shall be set in the Internal Rules. For the operations of everyday management, he acts in first person or through a delegate he chooses.

The President keeps money and monies of the Association, and executes every money operation, keeping trace of the accounting.

The Board will keep the Book of Money Operations, the Book of the Reports of the Assemblies, the Book of the Reports of the Board, and the Assiociates' Logbook, all of them officially stamped by the Italian Government. The task will be delegated to one of the members of the Board.

The President will get no compensation for his/her duties, except a reimbursement for the expenses made during institutional activity, according to the modalities indicated in the Internal Rules.

Article 18: "Fiscal year and financial report"[edit]

The fiscal year ends every year on the 31st of December. The Board has to prepare a financial statement to be approved by the Assembly within three months from the end of the fiscal year. In the 15 days before the meeting of the assembly the draft of the financial statementvhas to be available at the seat of the association for every member who should examine it or request a copy, same after the approval for the approved financial statement. It is forbidden to distribute even in indirect way any profit, revenues, provisions or assets during life of the association unless destination or distribution are imposed by law or made in favour of other non-profit association which for law, charter or bylaw is part of the same and unitary structure. Profit must be exclusively destinated to the realisation of institutional activities or activities related to them.

Article 19: "Dissolution and winding-up"[edit]

The dissolution of the association takes place after deliberation of the assembly or continued inactivity of the assembly for more then two years.

The assembly deliberates the dissolution of the association and the nomination of the liquidators will establish the criteria for the distribution of the residual assets. The liquidators, holding in consideration the indications of the assemby and the advise of the the control body (art. 3 paragraph 190, law n. 662 - 23rd dicember 1996) will choose the nonprofit organization of identical operating social usefullness or in analogous field which to devolve the residual assets

Article 20: "Disputes"[edit]

All eventual disputes between associates or between these and the association will be submitted, if not otherwise stated by the law and with exclusion of other jurisdictions, to the competence of a college of three arbitres to be appointed by the assembly. They will judge 'ex bono et aequo' without procedural formalities. Their decision will be inappellable.

Article 21: "Current laws"[edit]

For everything not provided in this Bylaws, following laws: Titolo II del Codice Civile (Civil Law), alla Legge n. 266 dell'11 agosto 1991, the regional laws for nonprofit and volunteer associations, and D. Lgs. 4 dicembre 1997 N. 460 will be applied.

Read, approved and signed in Canino (VT), on 17 June 2005
